ADGM — Abu Dhabi Global Market — operates a dedicated company registry under the ADGM Registration Authority. The register records directors and, within the beneficial ownership framework, persons who exercise ultimate control. What the record shows, and where it stops, is determined by the access rules that apply to foreign requesters — not by the completeness of the underlying filing.
The angle here is control: who directs the company, who holds the shares, and what a shareholder can enforce against that structure from outside the jurisdiction. Those three questions map directly onto what the ADGM register does and does not disclose.

ADGM companies are incorporated under the ADGM Companies Regulations 2020. The Registration Authority maintains the official register. Every company must file and keep current: the registered name, the registered address within ADGM, the names and appointment dates of directors, and the share register showing each shareholder's name, share class, and nominal holding.
The register is searchable by company name and by registration number. A registered company search returns the current status — active, in liquidation, struck off — and the filed particulars of directors and shareholders as at the date of the last filed update.
Director appointments and resignations must be notified to the Registration Authority within a prescribed period. The register therefore reflects the current appointed directors, not a historical sequence unless a full filing history is retrieved.
Shareholder information in the public layer shows the registered holder. Where the registered holder is a corporate entity — whether incorporated in ADGM, in the UAE mainland, or in a third jurisdiction — the register shows that entity's name and jurisdiction of incorporation. It does not trace the ownership of that entity.

Beneficial ownership: the filing obligation and the access ceiling
ADGM introduced a beneficial ownership framework requiring companies to identify and record the natural persons who ultimately own or control them. The obligation applies to ADGM-incorporated entities. The filing is made to the Registration Authority.
The access position for foreign requesters is the critical variable. The ADGM beneficial ownership register is not a fully open public register in the manner of, for example, the UK PSC register. Access is subject to conditions. For a foreign requester without a registered presence in ADGM, the ceiling on what can be retrieved is defined by the Registration Authority's access policy — and that ceiling is stated before any payment is committed.
This means the beneficial ownership layer may be partially or fully inaccessible depending on the requester's status and the stated purpose of the request. The report establishes what can be retrieved within that ceiling, names the point at which the record stops, and identifies what further steps — if any — are available.

Control: what can be established and how
For a cross-border buyer verifying a counterparty or acquisition target, the control question has three components.
Directorial control. The register shows who is currently appointed as director. It does not show whether a director acts under a power of attorney or a side agreement that constrains their authority. It does not show shadow directors. What is established is the formal appointment record.
Shareholder control. The register shows the registered shareholder and the nominal holding. Where the shareholder is a natural person resident in the UAE or another jurisdiction, the record is a name. Where the shareholder is a corporate entity, the record is a name and a jurisdiction. The chain above that entity is not visible from the ADGM register alone.
Ultimate beneficial control. The UBO filing, where accessible, names the natural person(s) who ultimately own or control the company above a defined threshold. The threshold and the definition of control follow the ADGM UBO Regulations. Where the UBO filing is accessible, it provides the deepest layer available from official sources. Where it is not accessible to the foreign requester, the record stops at the registered shareholder.
The report maps all three layers, states what was retrieved from each, and identifies the precise point at which the official record ends.

Cross-border corporate chains: where the record breaks
ADGM is a common law free zone operating within Abu Dhabi. Its companies may be owned by UAE mainland entities, by other free zone entities, or by offshore holding structures. Each link in that chain sits in a different registry with different disclosure rules.
A UAE mainland LLC is registered with the relevant emirate's Department of Economic Development. Shareholder information there follows mainland disclosure rules, which differ from ADGM's. A BVI or Cayman holding company above the ADGM entity is registered in a jurisdiction where beneficial ownership is not publicly accessible.
The ADGM register shows the immediate registered shareholder. It does not show what sits above that shareholder. For a corporate chain that passes through multiple jurisdictions, the record breaks at the first link that falls outside ADGM's filing scope.
The report identifies each break point by name, states which registry governs that link, and states the access conditions that apply to a foreign requester at that link. This is the structural output of a Coverage Level B engagement: the chain is traced to the point where official sources stop, and the stopping point is named explicitly.

The limit of what the sources allow
The ADGM register is the authoritative source for the formal corporate record of an ADGM-incorporated entity. Its limits are structural, not incidental.
The register does not show nominee arrangements. Where a director or shareholder acts as nominee for an undisclosed principal, that relationship is not recorded in the public register. It may be recorded in a private nominee agreement held by the parties.
The register does not show trust structures. Where shares are held by a trustee, the register shows the trustee as registered holder. The beneficial interest under the trust is not visible from the register.
The register does not trace corporate chains beyond the immediate registered holder. A corporate shareholder incorporated outside ADGM is identified by name and jurisdiction; its own ownership is not traced through the ADGM register.
The UBO register, where accessible, addresses the ultimate natural person. Where it is not accessible to the foreign requester, the gap between the registered shareholder and the ultimate natural person remains open in the official record.
The report states each of these limits explicitly, with reference to the specific point in the chain where the record ends. A limit that is named is a result. A limit that is not named is a gap in the analysis.
Where the sources disagree
Two categories of divergence arise in ADGM corporate records.
Filed particulars versus current state. The register reflects the last filed update. If a director was appointed or a shareholder changed after the last notification was filed, the register does not yet show the current position. The filing obligation exists; the timing of compliance varies. A register extract and a company's own internal records may therefore diverge.
Registered shareholder versus UBO filing. Where the UBO filing is accessible, the registered shareholder and the named beneficial owner may be different persons. That divergence is itself a material fact. The report records both the registered holder and the UBO filing entry, and notes any discrepancy between them.
Where the UBO filing is not accessible, the divergence cannot be assessed from official sources. The report states this condition explicitly.

FAQ
What does the ADGM register show about directors? The register shows each currently appointed director by name and date of appointment. It shows resignations and removals as filed. It does not show whether a director operates under a side agreement, a power of attorney, or any arrangement that limits or redirects their authority. The formal appointment record is what the register provides.
Can a foreign requester access the ADGM beneficial ownership register? Access is subject to conditions set by the Registration Authority. The ceiling on what a foreign requester can retrieve is defined by the access policy and is stated before any payment is made. The report establishes what falls within that ceiling and names the point at which the record stops.
What happens when the registered shareholder is a corporate entity? The ADGM register identifies the corporate shareholder by name and jurisdiction of incorporation. It does not trace the ownership of that entity. The Standard and Extended tiers retrieve the next layer through the relevant external registry and identify each subsequent break point.
Does the report cover UAE mainland entities in the ownership chain? The Extended tier includes parallel retrieval from UAE mainland DED registries where a mainland entity appears in the corporate chain. Each mainland registry has its own access conditions; those conditions are applied and the results stated.
What is Coverage Level B? Coverage Level B means the corporate chain is traced to the point where official sources stop, and that stopping point is named explicitly. It does not mean the ultimate beneficial owner is identified in every case. Where the official record ends before the natural person, the report names the last established link and the reason the chain cannot be extended further from official sources.
How long does the report take? Timing depends on the access conditions that apply at each layer. The ceiling for foreign requesters at the ADGM UBO register affects retrieval time. An indicative timeline is provided at the point of engagement, before work begins.
