Director and ubo in Sweden: what can be established

Control over a Swedish company is distributed across three layers: the board of directors, the registered shareholders, and the beneficial owners recorded under anti-money-laundering legislation. Each layer has a distinct source, a distinct access path, and a distinct ceiling. An international buyer verifying a Swedish counterpart needs to know which layer answers which question — and where each source stops.

The angle here is control: who directs the company, who holds the shares, and what enforcement rights attach to each position. Bolagsverket is the primary source for all three layers. The depth of what it discloses, and the conditions under which it discloses it, determine the scope of any verification exercise.

What Bolagsverket records about directors and board members

Bolagsverket maintains the Swedish Companies Register (Aktiebolagsregistret). Every Swedish aktiebolag must register its board of directors, the managing director (verkställande direktör), and any authorised signatories. These records are public.

The register shows:

  • Full name and personal identity number of each board member
  • Role designation (chair, ordinary member, deputy)
  • Date of appointment and, where applicable, date of removal
  • Name and personal identity number of the managing director
  • Signatory authority: who may bind the company and under what conditions

Registration of a new director or removal of an existing one takes effect legally upon registration, not upon the underlying board resolution. A buyer verifying control must therefore check the register date, not the resolution date.

The register does not show the content of board resolutions, voting records, or internal delegation of authority below the signatory level. Instructions given by a controlling shareholder to the board are not recorded anywhere in the public register.

What the share register shows — and what it does not

Swedish law requires every aktiebolag to maintain a share register (aktiebok). For companies with a share capital above the statutory threshold, the share register is held by Euroclear Sweden AB, not by Bolagsverket. For smaller companies, the register is maintained by the company itself.

Bolagsverket holds information on the total number of shares and share classes as filed in the articles of association. It does not hold the full shareholder list for companies whose register is at Euroclear.

For Euroclear-registered companies, the shareholder register is accessible to persons with a legitimate interest. The register shows registered holders, not beneficial owners. A nominee account (förvaltarregistrerat konto) appears as a single entry under the nominee's name. The identity of the underlying beneficial holder is not visible in the Euroclear record.

For companies maintaining their own share register, the register is not publicly filed. It is available to shareholders and, in certain circumstances, to third parties with a demonstrated interest.

The practical consequence: for a significant proportion of Swedish companies, the registered shareholder layer does not reveal the economic owner. This is the point at which the beneficial ownership register becomes relevant.

The beneficial ownership register

Sweden implemented the EU's beneficial ownership registration requirements through the Act on Measures against Money Laundering and Terrorist Financing (penningtvättslagen). Bolagsverket holds the register of beneficial owners (verkliga huvudmän).

Companies are required to identify and register their beneficial owners — defined as natural persons who ultimately own or control more than 25 percent of shares or voting rights, or who exercise control through other means. Where no natural person meets the threshold, the company must register the senior managing official as the beneficial owner.

The register is held at Bolagsverket. Access to the data is available through the Bolagsverket portal. The access path and the scope of data returned depend on the category of requester and the stated purpose.

What the register shows when accessed:

  • Name of the registered beneficial owner
  • Nature and extent of the beneficial interest (ownership, voting rights, other means of control)
  • Date of registration

What the register does not show:

  • The underlying documentation on which the company based its identification
  • Intermediate holding structures above the registered layer
  • Beneficial owners below the 25 percent threshold
  • Arrangements that transfer economic rights without transferring voting rights

The register reflects what the company has declared. It is not independently verified by Bolagsverket against underlying ownership documents. A discrepancy between the declared beneficial owner and the actual control structure is not detectable from the register alone.

Annual accounts and financial filings

Swedish aktiebolag are required to file annual accounts (årsredovisning) with Bolagsverket. The filing obligation applies to all registered companies; the scope of disclosure varies by company size category.

Filed accounts are public and available through Bolagsverket. They show:

  • Balance sheet and income statement
  • Notes, including related-party transactions where disclosure is required
  • Auditor's report (for companies above the statutory audit threshold)
  • Board's proposed allocation of profit or loss

Annual accounts do not show the identity of shareholders or beneficial owners. They show the financial position of the legal entity. Related-party disclosures in the notes may indicate transactions with controlling shareholders, but the identity of those shareholders must be established from the share register or the beneficial ownership register, not from the accounts.

Filing deadlines are set by law. Late filings attract a penalty fee. The absence of a filed account for a given year does not mean the company did not trade; it may mean the filing is overdue.

Insolvency and enforcement records

Swedish insolvency proceedings — bankruptcy (konkurs), company reorganisation (företagsrekonstruktion), and liquidation — are registered with Bolagsverket and published in the Official Gazette (Post- och Inrikes Tidningar, POIT).

A search of the Bolagsverket register returns the current status of the company, including any registered insolvency or liquidation proceedings. The POIT publishes notices of petitions, decisions, and completion of proceedings.

A negative result in the insolvency register means no proceeding is currently registered. It does not mean no petition has been filed. A petition filed and not yet decided may not appear immediately in the register. The gap between filing and registration is a known limitation of the source.

Enforcement records against individuals — including directors and beneficial owners — are held by the Swedish Enforcement Authority (Kronofogdemyndigheten). These records are separate from the Bolagsverket register. A director with no insolvency record at Bolagsverket may have active enforcement proceedings at Kronofogden.

The limit of what the sources allow

The Bolagsverket register is the authoritative source for directors, registered shareholders, and declared beneficial owners. It is not the source for actual control.

The ceiling of what the sources allow is stated here, before payment:

Directors. The register shows who is registered. It does not show who instructs the board, what authority has been delegated internally, or whether a registered director acts independently.

Shareholders. For Euroclear-registered companies, the share register shows registered holders. Nominee accounts are a single entry. The identity of the person behind a nominee is not in the register.

Beneficial owners. The register shows what the company has declared. The declaration is not verified by Bolagsverket against underlying documents. A structure designed to remain below the 25 percent threshold, or to transfer economic rights without voting rights, does not appear in the register.

Financial filings. Annual accounts show the financial position of the legal entity. They do not identify shareholders or beneficial owners.

Insolvency. A negative result is not a guarantee. The gap between petition and registration is a structural limitation of the source.

Kronofogden. Enforcement records against individuals are a separate source, not integrated with Bolagsverket.

Where the chain stops, the report names the stopping point and the reason. No source is presented as complete when it is not.

Where the sources disagree

A discrepancy between the declared beneficial owner in the Bolagsverket register and the registered shareholder in the Euroclear record is itself a result. It may reflect a legitimate nominee arrangement, an incomplete or outdated declaration, or a structural separation of economic and voting rights.

A discrepancy between the registered director and the signatory authority stated in filed documents is also a result. It may indicate a change in authority not yet registered, or an internal delegation that does not appear in the public record.

Where sources disagree, the report records both positions and identifies the source of each. No reconciliation is offered that goes beyond what the sources state.

FAQ

Does Bolagsverket publish the full shareholder list for all Swedish companies?

No. For companies whose shares are registered with Euroclear Sweden, the shareholder register is held by Euroclear, not Bolagsverket. Bolagsverket holds the articles of association and the total share structure, but not the individual shareholder list. For companies maintaining their own share register, the register is not publicly filed.

What does the beneficial ownership register actually verify?

The register records what the company has declared. Bolagsverket does not independently verify the declaration against underlying ownership documents. The register is the authoritative source for the declared position; it is not an audit of the actual ownership structure.

Is a negative insolvency result conclusive?

No. A negative result means no proceeding is currently registered. A petition filed and not yet decided may not appear in the register. The gap between filing and registration is a structural limitation of the source, not an error in the search.

What is the difference between a registered director and a beneficial owner in Swedish law?

A director is a member of the board of directors or the managing director, registered with Bolagsverket and authorised to act on behalf of the company. A beneficial owner is a natural person who ultimately owns or controls the company, registered under anti-money-laundering legislation. The same person may hold both positions; they may also be different persons entirely.

Can a nominee shareholder conceal the beneficial owner in Sweden?

A nominee account at Euroclear appears as a single entry under the nominee's name. The identity of the underlying holder is not in the Euroclear record. The beneficial ownership register is intended to address this gap, but it records what the company has declared, not what Euroclear shows. A discrepancy between the two is a result in itself.

What enforcement records are available against a Swedish director?

Enforcement records against individuals are held by Kronofogdemyndigheten, separate from Bolagsverket. A director with no insolvency record at Bolagsverket may have active enforcement proceedings at Kronofogden. Both sources are checked at Standard and Extended tiers.
