Director and ubo — Spain: step by step

Who controls a Spanish company is not a single-register question. The answer is assembled from three separate official sources, each with its own access condition, its own update cycle, and its own ceiling. Before signing a shareholders agreement, knowing which layer stops the chain — and why — determines what a buyer can actually enforce.

Control in Spain sits at two levels: the registered director, who acts on behalf of the company, and the beneficial owner, whose identity is held in a separate register with restricted access. These two levels are not always the same person. The gap between them is the object of this report.

What the Registro Mercantil shows about directors

The Registro Mercantil is Spain's commercial register. It records the identity of administrators (administradores), their appointment and revocation dates, and the scope of their representation powers.

For a sociedad limitada (SL) or sociedad anónima (SA), the register shows whether the company has a sole administrator, joint administrators, or a board of directors. It records the NIF (tax identification number) of each director and the notarial deed reference for each appointment.

The register does not show: - Shareholders or their percentage holdings (those appear in the deed of incorporation and subsequent amendments, not in a searchable index) - Side agreements between directors and shareholders - Powers of attorney granted outside the registered scope

Certified extracts (notas simples and certificaciones) are available through the Registro Mercantil Central. A nota simple is informational; a certificación carries evidentiary weight. For pre-signing due diligence, a certificación is the appropriate instrument.

Shareholder identity and the deed layer

Spanish law does not maintain a publicly searchable shareholders register equivalent to Companies House in the UK. Shareholder identity for an SL is recorded in the deed of incorporation (escritura de constitución) and in subsequent deeds of transfer (escrituras de transmisión), all notarised and filed with the Registro Mercantil.

Accessing the current ownership structure requires:

  1. Identifying the NIF or registered name of the target entity
  2. Requesting the full filing history (historial registral) from the Registro Mercantil
  3. Reading each deed in sequence to reconstruct the current cap table

This is not a single-document retrieval. A company incorporated in 2008 with five subsequent transfers requires six separate documents to establish the current state. Each document is in Spanish, in notarial format, and references prior deeds by protocol number.

Foreign requesters without a Spanish NIF or NIE face an additional step: the Registro Mercantil requires identification of the requester. The mechanism for satisfying this requirement without a Spanish identifier is the access condition that stops most foreign requesters at this stage.

The beneficial owner register: access conditions

Spain's Registro de Titularidades Reales (RTR) was established under the Fourth Anti-Money Laundering Directive and is maintained by the Consejo General del Notariado. It records the ultimate beneficial owner (UBO) of Spanish legal entities — defined as any natural person holding, directly or indirectly, more than 25% of the shares or voting rights, or exercising control by other means.

Access to the RTR is not public by default. Following the CJEU judgment in Case C-37/20 (WM and Sovim SA v Luxembourg Business Registers), Spain aligned its access rules with the ruling. Access requires:

  • A declaration of legitimate interest (declaración de interés legítimo)
  • Identification of the requester
  • A stated purpose linked to anti-money laundering, due diligence, or a specific transaction

The declaration must be submitted in Spanish. A foreign requester without a Spanish legal representative faces a practical barrier: the system does not provide an English-language interface, and the legitimate interest declaration is a substantive document, not a checkbox.

The RTR does not show: - Beneficial owners holding below the 25% threshold - Control exercised through contractual arrangements not reflected in the share register - Foreign entities in the chain above the Spanish entity, unless those entities have separately filed

Insolvency and enforcement history

The Registro Público Concursal records insolvency proceedings (concurso de acreedores) against both companies and individuals. It also records the sección de calificación — the judicial determination of whether an insolvency was culpable (culpable) and which persons are held responsible.

A director named in a culpability finding is disqualified from managing companies for a period set by the court. This disqualification is recorded in the Registro Mercantil, not only in the Registro Público Concursal. Cross-referencing both registers is necessary to establish a complete picture.

Two limitations apply:

First, per Article 6 of Royal Decree 892/2013, personal data in the Registro Público Concursal is deleted after the statutory retention period. An absence of a record does not prove an absence of prior proceedings; it may reflect deletion.

Second, a filed insolvency petition that has not yet been admitted by the court does not appear in the register. The gap between filing and admission can extend to several weeks.

The limit of what the sources allow

The three registers described above establish the formal layer of control: who is registered as director, who is recorded as beneficial owner in the RTR, and whether insolvency proceedings have been opened.

They do not establish:

  • Whether a nominee director is acting under an undisclosed instruction agreement
  • Whether the beneficial owner recorded in the RTR is itself controlled by a further layer of foreign entities
  • Whether a shareholders agreement already in force between existing shareholders restricts the rights that a new signatory would otherwise hold
  • Whether the company has issued participaciones sin voto (non-voting shares) or other instruments that alter the economic and governance split

The RTR ceiling is 25%. A person holding 24.9% through a single vehicle, or 15% through two separate vehicles, does not appear in the RTR as a beneficial owner. The register reflects the threshold, not the economic reality below it.

The Registro Mercantil shows the current registered state. It does not show the negotiating history, the side letters, or the oral agreements that may have preceded the current structure.

This is the ceiling of what the sources allow. It is stated before payment.

Where the sources disagree

Discrepancies between the RTR and the Registro Mercantil arise in two recurring patterns.

The first is a timing gap. A change of beneficial owner must be notified to the RTR within ten days of the change. A transfer of participaciones must be notarised and filed with the Registro Mercantil, a process that can take several weeks. During this window, the RTR may show the new beneficial owner while the Registro Mercantil still shows the prior shareholder structure — or vice versa.

The second is a threshold gap. The RTR records beneficial owners above 25%. The Registro Mercantil records shareholders of any percentage, but only through the deed layer, not through a searchable index. A shareholder holding 20% appears in the deeds but not in the RTR. A buyer relying on the RTR alone will not see this person.

Both gaps are documented in the report. A discrepancy between sources is itself a result.

FAQ

What is the difference between a director and a beneficial owner in Spain? A director (administrador) is the person registered to act on behalf of the company. A beneficial owner is the natural person who ultimately owns or controls the entity, as defined under anti-money laundering law. They may be the same person or different persons. The report establishes both identities from separate official sources.

Why does the RTR require a legitimate interest declaration? Following the CJEU judgment in 2022, EU member states may no longer provide unrestricted public access to beneficial ownership registers. Spain requires a declaration stating the purpose of the request. Without it, the RTR does not respond to the query. The declaration is prepared and submitted as part of the Standard and Extended tiers.

Can a foreign requester access the Registro Mercantil without a Spanish identifier? The Registro Mercantil Central accepts requests from foreign persons, but the identification requirement must be satisfied. The mechanism varies depending on whether the requester is an individual or a legal entity and whether they hold a European identification document. This access condition is managed as part of the report process.

What does the deed-layer reconstruction involve? It involves requesting the full filing history of the target entity, reading each notarised deed in sequence, and mapping the transfers of participaciones from incorporation to the current date. The output is a chronological ownership table showing each change of shareholder, the percentage transferred, and the notarial reference.

Does an absence of an insolvency record confirm clean status? No. The Registro Público Concursal deletes personal data after statutory retention periods. A filed petition not yet admitted by the court does not appear. An absence of a record is noted in the report with this qualification.

What is not covered at any tier? No tier covers oral agreements, undisclosed nominee arrangements, or instruments that have not been filed with any official register. The report establishes what the official sources show and names the point at which the chain stops.
