Who controls the company, and what can a shareholder enforce against that person? These are the two questions that determine whether a shareholders agreement is worth signing. In Germany, the answer begins in the commercial register and ends at a boundary that the law draws deliberately.
The angle here is control: not what the company does, but who holds the levers — directorship, voting rights, beneficial ownership — and what the official record shows about each layer.

The Handelsregister is the primary source for directorship. Since 1 August 2022, under DiRUG, the full register content and filed documents are accessible at handelsregister.de without registration and without charge. Output is PDF and scanned documents; no structured data feed is available.
For a GmbH, the register shows the current managing director or directors, the date of appointment, and any registered limitations on authority (Prokura, Einzelvertretungsberechtigung). Removal is also registered. A director who has been removed but whose removal has not yet been filed remains the registered director — the register reflects the filing date, not the effective date of the board resolution.
For an AG, the register shows members of the Vorstand and, separately, the Aufsichtsrat. Supervisory board composition is material to control: in companies subject to co-determination, employee representatives hold seats that affect voting dynamics on key decisions.
The Gesellschafterliste — the shareholder list filed with the register — names each GmbH shareholder, their share amount, and their percentage. This list is updated on every transfer of shares. The most recently filed version is the operative one. A gap between the filing date and the transaction date is normal; the list does not update in real time.

What the transparency register discloses about beneficial owners
Germany's Transparenzregister operates under the Geldwäschegesetz (GwG). It records the beneficial owner (wirtschaftlich Berechtigter) of each registered entity — defined as any natural person holding more than 25 % of shares or voting rights, or exercising control by other means.
Where the beneficial owner cannot be identified, the entity must file a notification to that effect. The register does not leave the field blank; it records either a named person or a formal statement of non-identification.
Access requires registration on the portal. A declaration of legitimate interest (berechtigtes Interesse) is mandatory. For foreign requesters — individuals or entities without a German registration number — the portal requires additional identity verification. This step is not discretionary. It is the condition that stops most foreign requesters before they reach the data.
The register entry shows the beneficial owner's name, date of birth, nationality, country of residence, and the nature and extent of the beneficial interest. It does not show the contractual basis of that interest — the underlying trust deed, nominee agreement, or shareholder agreement that created it.

The shareholder agreement layer: what the register does not reach
A shareholders agreement (Gesellschaftervereinbarung) is a private contract. It is not filed with the Handelsregister. Its existence is not disclosed in the Transparenzregister. The register shows the legal owner of shares; it does not show drag-along rights, tag-along rights, pre-emption clauses, or veto arrangements that sit in a side agreement.
This matters for control analysis. A shareholder holding 26 % of a GmbH may, by agreement, have the right to block any resolution requiring a simple majority. That veto is invisible in the register. The register shows the share percentage; the agreement determines what that percentage can actually do.
Before signing a new shareholders agreement, the question is not only who is named in the register. The question is what obligations and rights already exist between the parties — and whether the incoming party is being asked to join a structure whose terms are already fixed.
The filed Gesellschafterliste and the Transparenzregister entry establish the starting point. They do not establish the full picture.
Where the sources disagree
Discrepancies between the Gesellschafterliste and the Transparenzregister entry are not rare. They arise when:
- A share transfer has been filed in the commercial register but the transparency register entry has not yet been updated.
- A holding structure places a legal entity between the registered shareholder and the natural person, and the beneficial ownership calculation is disputed or delayed.
- The entity has filed a non-identification notice in the transparency register while the commercial register shows a named shareholder.
Each discrepancy is itself a finding. A gap between the two registers does not mean one is wrong; it means the two records reflect different moments or different legal concepts. Identifying the gap is the first step; explaining it requires document-level analysis.
Insolvency and enforcement records
A director's name in the commercial register says nothing about insolvency history. German insolvency proceedings are recorded in the Insolvenzbekanntmachungen portal (insolvenzbekanntmachungen.de). Entries are time-limited; they are removed after statutory periods expire. An absence of a current entry does not confirm the absence of a prior proceeding.
The Schuldnerverzeichnis (debtor register) records enforcement failures — returned writs, unpaid judgments. Access is through the central portal of the Länder courts. The register covers natural persons and legal entities separately.
Neither record is consolidated with the commercial register. Cross-referencing requires separate queries against each system.

The limit of what the sources allow
The Handelsregister shows who is registered as director and who is listed as shareholder. It does not show who gives instructions to the director, or whether the director acts under a side agreement that limits their formal authority in practice.
The Transparenzregister shows the beneficial owner as declared. It does not show the contractual structure that created the beneficial interest. After the CJEU ruling in C-37/20, public access to UBO registers across the EU is restricted by default. The German transparency register requires a legitimate interest declaration; access is not open to the general public.
The Gesellschafterliste shows the current legal ownership of shares. It does not show encumbrances, pledges, or options over those shares unless they have been separately registered.
The ceiling of what the sources allow is stated before payment. The report establishes what the official record shows, identifies where the chain stops, and names the layer at which it stops. It does not reconstruct what sits behind that layer.

Frequently asked questions
Does the Handelsregister show all shareholders of a German GmbH? The Gesellschafterliste filed with the register names each shareholder and their percentage. The list reflects the most recently filed version. A transfer completed but not yet filed will not appear. The register does not show pledges or options over shares unless separately registered.
What stops a foreign requester from accessing the transparency register directly? The portal requires registration and a declaration of legitimate interest. Foreign individuals and entities without a German registration identifier face an additional identity verification step. This step is mandatory and is not waived by the portal operator. The path exists; it requires specific documentation and, in most cases, a German-language submission.
What does a non-identification notice in the transparency register mean? It means the entity has formally declared that no natural person meets the statutory threshold for beneficial ownership, or that the beneficial owner could not be identified. The notice is itself a registered fact. It does not mean the entity has no beneficial owner; it means the entity has stated it cannot identify one under the GwG criteria.
Can a shareholders agreement override what the register shows? A shareholders agreement is a private contract between the parties. It does not alter the register entry. It can, however, create rights and obligations — veto rights, transfer restrictions, drag-along obligations — that determine what the registered share percentage can actually do. The register shows the percentage; the agreement governs its exercise.
Is the annual financial statement available from the Handelsregister? GmbH entities above certain size thresholds are required to file annual accounts (Jahresabschluss) with the Bundesanzeiger. Filed accounts are accessible through the Unternehmensregister. The Handelsregister itself links to filed documents. Not all entities comply with filing obligations; an absence of filed accounts is itself a finding.
