Director and ubo — Germany: sources and limits

Before a shareholders agreement is signed, two questions carry the most weight: who formally controls the company, and who controls it in practice. In Germany, those two questions point to different sources — and neither source answers both.

The Handelsregister names the managing directors (Geschäftsführer) and, for a GmbH, the current shareholder list (Gesellschafterliste). The Transparenzregister records the beneficial owner (wirtschaftlich Berechtigter) as declared by the company itself. The gap between what is filed and what is true is the core risk in any pre-signing review.

What the Handelsregister shows — and what it does not

The Handelsregister is the primary source for formal control. For a GmbH, it contains:

  • the current managing directors, their powers of representation, and any restrictions
  • the current Gesellschafterliste, showing each shareholder by name and percentage
  • historical versions of both, allowing a reconstruction of changes over time
  • filed annual accounts where submission is mandatory

Since DiRUG came into force on 1 August 2022, the full content of the register — including filed documents — is accessible at handelsregister.de without registration and without charge. What the buyer pays for, when engaging this firm, is the removed path: identifying the correct registration court, locating the company by its Handelsregisternummer, reading German-language PDFs, cross-referencing historical Gesellschafterlisten, and producing a structured English-language summary with source citations.

The Gesellschafterliste is filed by the notary at the time of any share transfer. It reflects the position as of the last notarial act. A transfer agreed but not yet notarised will not appear. A pledge over shares may not appear unless separately registered. These are structural limits of the source, not gaps in the search.

What the Transparenzregister shows — and what it does not

The Transparenzregister records the beneficial owner as declared by the obliged entity (the company itself). For a GmbH, the beneficial owner is typically the natural person holding more than 25 % of the shares or voting rights, or exercising control by other means.

Three structural limits apply.

First, the declaration is self-reported. The register does not independently verify the accuracy of what is filed. A discrepancy between the Gesellschafterliste and the Transparenzregister entry is itself a finding — and a material one before signing.

Second, following the CJEU judgment in C-37/20 (November 2022), unrestricted public access to UBO registers across the EU was suspended. In Germany, access to the Transparenzregister now requires demonstration of a legitimate interest. The conditions for satisfying that requirement, and the fee structure, are set by the Bundesanzeiger Verlag as operator of the register. Third, where a GmbH is held through a chain of intermediate entities — each registered in a different jurisdiction — the Transparenzregister entry will name the declared UBO at the top of the chain. It will not map the intermediate structure. That mapping requires parallel registry searches in each relevant jurisdiction.

The Unternehmensregister and filed financial statements

The Unternehmensregister (unternehmensregister.de) aggregates filings from the Handelsregister, the Bundesanzeiger, and other official sources. For companies subject to mandatory publication, it holds annual accounts, audit reports, and corporate announcements.

A GmbH below the thresholds of § 267 HGB (small company) is required to file a balance sheet and notes, but not a profit and loss account. The filed document therefore shows the asset and liability structure without revenue. A GmbH classified as medium or large must file the full set.

The financial statements in the Unternehmensregister are the filed versions — not necessarily the most recent management accounts. The gap between the filing date and the balance sheet date can be significant. For a pre-signing review, the filing date and the balance sheet date are both recorded in the report.

Cross-border ownership chains

A GmbH held by a foreign parent presents a layered problem. The Handelsregister shows the immediate shareholder — the foreign entity — by name and registered address. It does not show who owns that entity.

The Transparenzregister entry will name the declared UBO. But the chain between the GmbH and that person runs through at least one foreign jurisdiction. Verifying that chain requires registry access in each intermediate jurisdiction.

The coverage of this report at the Extended tier includes parallel searches in up to three additional jurisdictions where the ownership chain leads. Each additional jurisdiction is identified during the initial Handelsregister review and confirmed before the search is extended.

The angle of this report is control: who formally controls the GmbH, what the Gesellschafterliste shows, what the Transparenzregister declares, and where the two diverge. What a shareholder can enforce under the shareholders agreement is a separate legal question — one this report does not answer.

The limit of what the sources allow

The Handelsregister shows the shareholder of record as of the last notarial filing. It does not show:

  • a share transfer agreed but not yet notarised
  • a pledge or security interest over shares unless separately registered
  • a voting trust or side agreement between shareholders
  • the beneficial owner behind a corporate shareholder

The Transparenzregister shows the declared UBO. It does not independently verify the declaration. It does not map the intermediate ownership chain. Access requires demonstration of legitimate interest; the conditions are set by the operator and are subject to change.

The Unternehmensregister shows filed accounts. It does not show management accounts, intra-group transactions, or off-balance-sheet arrangements.

The ceiling of what the sources allow is stated before payment. Where a source does not answer the question, the report names the source, states what it shows, and identifies the point at which the chain stops.

Where the sources disagree

A discrepancy between the Gesellschafterliste and the Transparenzregister entry is the most common finding in a pre-signing review. It arises in three patterns:

  • The Gesellschafterliste names a corporate shareholder; the Transparenzregister names a natural person as UBO. The intermediate structure is not visible in either source.
  • The Transparenzregister entry has not been updated following a share transfer that is already reflected in the Gesellschafterliste.
  • The company has filed a "Mitteilung nach § 20 GmbHG" claiming an exemption from separate Transparenzregister filing because the information is already in the Handelsregister. The exemption is valid only in defined circumstances; its application is noted in the report.

Each discrepancy is recorded as a finding, not resolved as an error. Resolution requires either a direct enquiry to the company or legal advice — neither of which is within the scope of this report.

FAQ

What does the Gesellschafterliste actually show? The Gesellschafterliste is a notarially certified list of shareholders, filed with the Handelsregister at the time of each share transfer. It shows each shareholder by name, registered address (for legal entities), and percentage of share capital. It reflects the position as of the last notarial act. A transfer agreed but not yet completed before a notary will not appear.

Why does the Transparenzregister sometimes show different information from the Gesellschafterliste? The two registers serve different legal purposes and are maintained separately. The Transparenzregister records the declared beneficial owner — the natural person at the top of the ownership chain. The Gesellschafterliste records the immediate shareholder of the GmbH. Where the immediate shareholder is a legal entity, the two registers will name different persons. A discrepancy in the same layer — for example, different percentages — is a material finding and is recorded as such.

Can a foreign buyer access the Handelsregister directly? Yes. Since DiRUG (01.08.2022), handelsregister.de is accessible without registration and without charge. The practical barriers are language (German only), the need to know the correct registration court and Handelsregisternummer, and the PDF/scan format of the output. This firm removes those barriers and produces a structured English-language summary.

What happens if the ownership chain leads outside Germany? The Handelsregister will show the immediate foreign shareholder by name. It will not show who owns that entity. The Transparenzregister will show the declared UBO. The intermediate structure requires parallel searches in each relevant foreign jurisdiction. The Extended tier covers up to three additional jurisdictions.
