Poland operates two separate official registers for control-layer information. The Krajowy Rejestr Sądowy (KRS) records directors, management board members, and supervisory board members. The Centralny Rejestr Beneficjentów Rzeczywistych (CRBR) records declared beneficial owners. Each register has its own access rules, its own declared-data logic, and its own ceiling.
The angle here is control: who directs the company, who holds the economic interest, and what a shareholder can enforce against the record. Both questions have a documentary answer in Poland — and both answers have a defined stopping point.

Who controls the company: the KRS layer
The KRS is the primary corporate register for Polish entities. It records the management board (zarząd) and, where applicable, the supervisory board (rada nadzorcza). Each entry states the member's name, the date of appointment, and the scope of representation — whether the member acts alone or jointly.
For a sp. z o.o. (limited liability company), the KRS also records the list of shareholders (lista wspólników) when the share capital does not exceed a threshold set by the Commercial Companies Code. Above that threshold, shareholder data moves to a notarial deed and is not visible in the public register extract.
For a spółka akcyjna (joint-stock company), the KRS records the management and supervisory boards. Shareholder identity is not recorded in the KRS for bearer or dematerialised shares; it resides with the securities depository or the company's own share register.
The KRS extract (odpis) is the standard evidentiary document for corporate identity in Polish transactions. It states the current state of the register and the history of changes. Both a current extract and a full historical extract are available.

Beneficial ownership: the CRBR layer
Poland implemented the EU Anti-Money Laundering Directives through the Act on Counteracting Money Laundering and Terrorism Financing. The CRBR was established under that Act. Entities required to register include sp. z o.o., spółka akcyjna, spółka komandytowa, and spółka komandytowo-akcyjna, among others.
The CRBR entry records the beneficial owner's first name, surname, nationality, state of residence, PESEL number (or date of birth where PESEL is unavailable), and the nature and extent of the control exercised. The entity itself is responsible for the accuracy of the declaration. The register does not independently verify the declared structure.
Following the CJEU judgment in Joined Cases C-37/20 and C-601/21, public access to beneficial ownership registers across EU member states was restricted. Poland implemented access limitations. The current access regime — which fields are visible to which categories of requester, and under what conditions — is subject to ongoing regulatory adjustment. The applicable rules must be confirmed at the time of each extraction.
For cross-border due diligence, the practical consequence is this: CRBR data is available, but the extraction path depends on the requester's status and declared purpose. An extraction performed without confirming the current access conditions may return incomplete data or be refused.

Shareholder rights and what the record supports
A shareholder in a Polish sp. z o.o. holds rights defined by the Commercial Companies Code and the company's articles of association (umowa spółki). The articles are filed with the KRS and are part of the public record. They state voting rights, dividend entitlements, and any restrictions on share transfer.
What the KRS record supports:
- Confirming the identity and authority of the management board at a given date
- Confirming whether representation requires joint signatures
- Confirming the articles of association as filed, including any amendments
- Confirming the registered share capital and, for smaller sp. z o.o., the shareholder list
What the KRS record does not support:
- Confirming actual economic control where a nominee shareholder is used
- Confirming the terms of any shareholders' agreement (umowa wspólników), which is a private document not filed with the register
- Confirming whether a pledged share has been enforced
The CRBR record supports confirming the declared beneficial owner. It does not confirm the accuracy of that declaration or the completeness of the ownership chain above the 25% threshold.

Financial statements and insolvency
Polish sp. z o.o. and spółka akcyjna entities are required to file annual financial statements with the KRS. Filed statements are accessible through the KRS portal. The filing obligation applies to the previous financial year; the deadline is set by the Accounting Act.
The KRS also records insolvency proceedings, restructuring proceedings under the Restructuring Law (Prawo restrukturyzacyjne), and liquidation. A search of the KRS for insolvency entries is part of standard counterparty verification in Poland.
The Krajowy Rejestr Zadłużonych (KRZ) — the National Register of Debtors — was introduced to consolidate insolvency and restructuring data. It operates alongside the KRS. A negative result in either register does not exclude a proceeding that has been filed but not yet entered.

Where the sources disagree
The KRS shareholder list and the CRBR beneficial ownership declaration are prepared and filed by different obligated parties, at different times, under different legal obligations. Discrepancies between the two are possible and are themselves informative.
A shareholder list in the KRS may show a corporate entity as the registered shareholder. The CRBR may show a natural person as the beneficial owner of that corporate entity. The chain between the two is declared, not verified. Where the declared chain passes through a non-EU jurisdiction, the CRBR entry reflects only what the Polish entity reported — the foreign link is not independently confirmed by any Polish register.
Where the KRS shareholder list and the CRBR entry point to different natural persons, or where the CRBR entry is missing for an entity that is legally required to register, that discrepancy is recorded in the report as a finding, not resolved by inference.
The limit of what the sources allow
The KRS and CRBR together cover the declared layer of corporate control in Poland. The ceiling of what the sources allow is stated before payment.
KRS ceiling. The KRS records what was filed. It does not record undisclosed nominee arrangements, side agreements between shareholders, or the economic terms of any transaction. For sp. z o.o. entities above the share capital threshold, the shareholder list is not in the public register. For spółka akcyjna, shareholder identity is not in the KRS at all.
CRBR ceiling. The CRBR records what was declared by the obligated entity. The register does not verify the declaration. A beneficial owner holding exactly 25% or less is not required to be registered. A chain of corporate entities, each holding below the threshold, may result in no natural person appearing in the CRBR at all — this is a structural feature of the register, not a data gap.
Access ceiling. Following CJEU C-37/20, the access regime for CRBR data is not uniform across requester types. The extraction path must be confirmed at the time of the request. This affects turnaround time and the completeness of the returned data.
Language and format. KRS documents are issued in Polish. CRBR data is in Polish. All documents require translation for use in non-Polish proceedings. Certified translation is not included in the report unless specified at the Extended tier.
The report states, at each finding, which register it draws from, what the register shows, and where the chain stops. No inference is drawn beyond the documentary record.

FAQ
What is the difference between the KRS and the CRBR? The KRS is the commercial register. It records the legal structure of the company: directors, shareholders (for smaller sp. z o.o.), articles, capital, and insolvency entries. The CRBR is the beneficial ownership register. It records the natural persons who ultimately own or control the entity above the 25% threshold, as declared by the entity itself. The two registers are maintained separately and are not automatically synchronised.
Can the beneficial owner be confirmed for any Polish company? The CRBR covers most commercial entities registered in Poland. However, the register records declarations, not verified facts. Where the ownership chain passes through a non-Polish entity, the CRBR entry reflects only what the Polish obligated entity declared about that chain. The foreign link is not confirmed by any Polish register.
What happens if the CRBR entry is missing? An absent CRBR entry for an entity that is legally required to register is itself a finding. It may indicate a filing failure, a pending update, or an entity that considers itself exempt. The report records the absence and identifies the applicable registration obligation.
How long does extraction take? KRS extracts are available electronically. CRBR extraction time depends on the current access regime and the requester's status. Turnaround estimates are confirmed at the time of the request, not in advance of it.
Is the shareholder list always visible in the KRS? For sp. z o.o. entities, the shareholder list is filed with the KRS when the share capital does not exceed the threshold set by the Commercial Companies Code. Above that threshold, the shareholder list is maintained by the company and updated through notarial deed; it is not in the public register extract. For spółka akcyjna, shareholder identity is not recorded in the KRS.
What does the report not resolve? The report does not resolve nominee arrangements, the terms of private shareholders' agreements, the economic substance of declared ownership structures, or the identity of persons holding below the 25% CRBR threshold. These limits are stated in the report at the relevant finding.
