Registro delle Imprese is the authoritative source for corporate control in Italy. It names directors, registered shareholders, and — since the 2017 transposition of the Fourth AML Directive — beneficial owners recorded under the titolare effettivo regime. Control over an Italian company is therefore traceable at three distinct layers, each with its own access condition, depth, and ceiling.
The angle that matters for a cross-border buyer is not merely who signs: it is who holds the power to bind the company, who can override the board, and at what ownership threshold the record stops disclosing names. Those three questions drive the structure of this page.

Every Italian società a responsabilità limitata (S.r.l.) and società per azioni (S.p.A.) must file director appointments and revocations with the local Camera di Commercio. The entry states the director's full name, fiscal code, date of appointment, powers granted, and — where applicable — the scope of joint or several signing authority.
The register records the formal appointment. It does not record:
- Whether a director acts under instructions from a controlling shareholder
- Side agreements restricting or expanding the powers shown in the deed
- Informal governance arrangements that sit outside the filed statuto
A certified extract (visura camerale certificata) carries an official timestamp and is admissible in Italian proceedings. A standard visura is informational and carries no evidentiary weight without certification.

Registered shareholders: depth and ceiling
For an S.r.l., the shareholders' register (libro soci) was abolished as a mandatory corporate book in 2009. Since then, share transfers must be filed with the Camera di Commercio within thirty days of execution. The register therefore reflects the ownership position as of the last filed transfer — not necessarily the current position if a recent transfer has not yet been filed.
For an S.p.A., bearer shares were eliminated by D.Lgs. 58/1998 for listed companies and by subsequent reform for unlisted ones. Registered shareholders appear in the shareholders' register held by the company; the Camera di Commercio holds the statuto and capital structure but not the full shareholder list for an S.p.A. unless a filing obligation has been triggered.
| Company type | Shareholder data at Camera di Commercio | Depth |
|---|---|---|
| S.r.l. | Names, percentages, transfer history | High — subject to filing lag |
| S.p.A. (unlisted) | Capital structure, major shareholders above filing threshold | Medium |
| S.p.A. (listed) | Capital structure; Consob disclosures for stakes above 3% | Medium — Consob layer required |
| Branch of foreign entity | Registered representative only; parent structure not filed locally | Low |
The filing lag for S.r.l. transfers is the most common source of discrepancy between the register and actual ownership. A transfer executed today may not appear in the register for up to thirty days, and late filings occur.

Beneficial owners: the titolare effettivo regime
Italy transposed the Fourth AML Directive through D.Lgs. 90/2017, which amended D.Lgs. 231/2007. The titolare effettivo regime requires companies to identify and record the natural person(s) who ultimately own or control more than 25% of the shares or voting rights, or who exercise control by other means.
The Registro dei titolari effettivi became operational in phases. Access to the beneficial owner section of the register is not unrestricted: a requester must declare a legitimate interest (interesse legittimo) as defined under the implementing decree. Following the CJEU judgment in Joined Cases C-37/20 and C-601/20 (WM and Sovim, November 2022), Italy — in line with other EU member states — restricted general public access. Access now requires a demonstrated case-by-case interest.
What the titolare effettivo record shows when access is granted:
- Name, date and place of birth, country of residence, and fiscal code of the beneficial owner
- The nature and extent of the beneficial interest (direct ownership, indirect ownership, or other means of control)
- The date of the entry
What it does not show:
- The internal structure of a foreign holding entity above the Italian company
- Trust arrangements where the trustee is the registered shareholder and the settlor or beneficiary is not separately disclosed
- Nominee relationships not declared to the chamber

Where the sources disagree
Three situations produce discrepancies between the layers of the Italian record.
Register versus statuto. The statuto filed with the Camera di Commercio may grant veto rights, reserved matters, or drag-along provisions that are not visible in the director or shareholder entry. The statuto is a filed document and is retrievable; it must be read alongside the visura.
Titolare effettivo versus shareholder register. The beneficial owner declaration is self-reported by the company. Where the declared beneficial owner differs from the person who would be identified by tracing the shareholder chain, the discrepancy is itself a finding. The register does not resolve it; it records both data points.
Filing date versus transaction date. For S.r.l. share transfers, the gap between execution and filing can produce a register that shows a seller as current owner after a completed sale. Cross-referencing the notarial deed date against the filing date identifies this gap.

The limit of what the sources allow
The Italian register operates at the boundary of the Italian legal entity. It shows what has been filed with the Camera di Commercio. It does not show what sits above the Italian company in a multi-tier structure.
Specifically, the record stops at the following points:
- A foreign holding company is identified by name and jurisdiction in the shareholder entry; its own ownership structure is not part of the Italian record.
- A trust holding Italian shares appears as a legal person in the register; the beneficiaries of the trust are not disclosed in the Italian filing.
- A beneficial owner declared at 25.1% satisfies the statutory threshold; a person holding 24.9% through a separate vehicle does not appear in the titolare effettivo section.
- Voting agreements and shareholder pacts (patti parasociali) are not filed with the Camera di Commercio for private companies; they are contractual documents held by the parties.
The ceiling of what the sources allow is stated before payment. An Extended report names the point at which the Italian record stops and identifies what additional layer — foreign registry, notarial deed, Consob filing — would be required to continue the chain.

FAQ
What is the difference between a director entry and a beneficial owner entry in the Italian register? The director entry records the person authorised to act on behalf of the company. The beneficial owner entry records the natural person who ultimately owns or controls the company above the 25% threshold. The two entries may name different people, the same person, or — where the beneficial owner has not been declared — only one of the two will exist.
Does the Italian register show who controls an S.r.l. through a foreign holding company? The register shows the foreign holding company as a shareholder by name and jurisdiction. The ownership structure of that foreign company is not part of the Italian record. Establishing control at that level requires a separate query to the relevant foreign registry.
What is a legitimate interest for the purpose of accessing the titolare effettivo section? The implementing decree defines legitimate interest by reference to AML obligations, journalistic investigation in the public interest, and certain professional due diligence contexts. A cross-border buyer conducting pre-acquisition due diligence may qualify; the declaration must be specific and documented. The Camera di Commercio assesses each request individually.
How current is the shareholder data for an S.r.l.? The register reflects the last filed transfer. Italian law requires filing within thirty days of execution. Late filings occur. A report identifies the filing date and flags any gap between the most recent transfer date and the extraction date.
Can a patto parasociale be retrieved from the register? For private companies, no. Patti parasociali are contractual documents between shareholders and are not filed with the Camera di Commercio. For listed companies, Consob requires disclosure of shareholder agreements above certain thresholds. The Extended tier includes a Consob check where relevant.
What does the report deliver if the titolare effettivo section is inaccessible? The report records the access attempt, the stated reason for refusal or restriction, and the last available shareholder entry. The point at which the record stops is itself a documented finding.
