The question of who controls a Spanish company is not answered by a single register. Control is distributed across at least three official layers: the commercial register, the central beneficial ownership register, and the tax identification system. Each layer shows a different slice of the same structure.
The angle here is control — not incorporation history, not financial performance. The question is: who holds the votes, who appoints the directors, and what can a shareholder enforce against that structure under Spanish law.

The Registro Mercantil is Spain's commercial register. For a Sociedad de Responsabilidad Limitada (S.L.), the register holds the deed of incorporation, subsequent capital modifications, and the current list of directors. Shareholder identity at the S.L. level is recorded in the founding deed and in notarised deeds of transfer. These documents are filed with the provincial register and, for certain data, with the Registro Mercantil Central (RMC) in Madrid.
For a Sociedad Anónima (S.A.), registered shares are held in the company's own shareholder register, not in the Registro Mercantil. The commercial register records the board of directors and statutory capital, but not individual shareholders unless they hold a registered block disclosed in a notarised act.
Access to Registro Mercantil filings is public. Certified extracts (notas simples and certificaciones) are available on request. The RMC also operates a central database that aggregates filings from all provincial registers.

The register shows the formal ownership layer. It does not show whether a shareholder acts on behalf of another person, whether a shareholders' agreement redistributes economic rights, or whether a holding company above the Spanish entity is itself controlled by an undisclosed principal.
The beneficial ownership register — RETF
Spain implemented the Fourth and Fifth Anti-Money Laundering Directives through Ley 10/2010 and its subsequent regulations. The Registro de Titularidades Reales (RETF), administered by the Consejo General del Notariado, holds beneficial ownership declarations for Spanish legal entities.
Under Spanish law, a beneficial owner is a natural person who ultimately owns or controls, directly or indirectly, a percentage of shares or voting rights at or above the threshold set by regulation, or who otherwise exercises control by other means.
Following the Court of Justice of the European Union judgment in Joined Cases C-37/20 and C-601/20 (WM and Sovim, November 2022), Spain restricted public access to the RETF. Access is now limited to:
- competent authorities (tax, judicial, law enforcement);
- notaries and other obligated entities in the course of due diligence;
- persons who demonstrate a legitimate interest, subject to assessment.
A request based on legitimate interest requires a written application. The registrar assesses whether the interest is specific, documented, and proportionate. There is no automatic entitlement. The outcome of the assessment is not guaranteed.

Shareholders' agreements and control not on the register
Spanish law permits shareholders' agreements (pactos parasociales). These agreements are binding between the parties but are not filed with the Registro Mercantil and do not appear in any public register. They may redistribute economic rights, establish tag-along or drag-along obligations, or grant veto rights to a minority holder.
A shareholders' agreement can place effective control with a party who holds no registered shares. The commercial register will not reflect this arrangement. The RETF may reflect it if the arrangement meets the threshold for beneficial ownership, but access to that record is restricted as described above.
The gap between registered ownership and effective control is the structural limit of the source layer in Spain.
Director appointments and the power to bind the company
The Registro Mercantil records the current directors and their powers of representation. For an S.L., the register shows whether the company is managed by a sole administrator, joint administrators, or a board. The scope of representation — whether a director acts alone or jointly — is stated in the registered deed.
A director's appointment and revocation take effect against third parties from the date of registration. An unregistered revocation does not bind a third party acting in good faith.
The register does not show:
- internal delegation of authority below board level;
- powers of attorney granted outside the registered deed;
- de facto directors who exercise management without formal appointment.

Financial statements and the ownership signal they carry
Spanish S.A. and S.L. entities above certain size thresholds are required to file annual accounts (cuentas anuales) with the Registro Mercantil. Filed accounts include the balance sheet, profit and loss account, and notes. The notes may disclose related-party transactions, participations in other entities, and the identity of the dominant group.
Small companies file abbreviated accounts. Micro-entities file a further simplified format. The level of disclosure in the notes varies accordingly.
Filed accounts are available from the Registro Mercantil. They are not real-time: the filing deadline is within seven months of the financial year end, and the register processes filings with a further delay. The most recent filed accounts may be one to two years behind the current position.

The limit of what the sources allow
The Registro Mercantil shows the formal ownership and management layer as filed. It does not show beneficial ownership, nominee arrangements, or control exercised through unfiled agreements.
The RETF holds beneficial ownership declarations. Access is restricted. A legitimate interest application may succeed or fail; the outcome depends on the registrar's assessment of the specific request. There is no public query interface.
For a Spanish S.A., individual shareholders are not in the commercial register at all. The shareholder register is held by the company itself and is not publicly accessible.
The chain of control can be traced to the point where the registered layer ends. Beyond that point — upstream holding companies in other jurisdictions, nominee relationships, undisclosed agreements — the Spanish register has no record. The report states explicitly where the chain ends and on which link.
No source in Spain currently allows a third party to establish beneficial ownership with certainty without either RETF access or voluntary disclosure by the entity. This is the ceiling, and it applies regardless of the depth of the search.
Where the sources disagree
Discrepancies between the Registro Mercantil and the RETF are a result in themselves. If the registered shareholders of an S.L. are legal entities — holding companies, foundations, or foreign vehicles — and the RETF record (where accessible) names a different natural person as beneficial owner, the gap between the two records is the finding. The report documents both records and states the discrepancy without resolving it into a legal conclusion.
Discrepancies between filed accounts and the registered capital structure are also documented. A related-party transaction disclosed in the notes but not reflected in any registered deed is noted as an unresolved item.

FAQ
Does the Registro Mercantil show the beneficial owner of a Spanish company? No. The Registro Mercantil shows registered shareholders and directors. Beneficial ownership declarations are held in the RETF, a separate register administered by the Consejo General del Notariado. Access to the RETF is restricted and requires a legitimate interest application or competent authority status.
Can a third party access the RETF without a legitimate interest? No. Following the CJEU judgment of November 2022, Spain restricted public access to the RETF. A third party without competent authority status must demonstrate a specific, documented legitimate interest. The registrar assesses each application individually.
What does the Registro Mercantil show for a Spanish S.A. compared to an S.L.? For an S.L., shareholder identity is recorded in notarised deeds filed with the register. For an S.A., individual shareholders are not in the commercial register; the shareholder register is held by the company. The commercial register for an S.A. shows directors, capital, and statutory structure only.
What happens when the registered shareholder is a foreign holding company? The Spanish register records the foreign entity as shareholder. It does not record the ownership of that foreign entity. Tracing control above the Spanish layer requires analysis of the holding company's home jurisdiction register. The Standard and Extended tiers cover this analysis to the first identified layer outside Spain and across all identified jurisdictions respectively.
Is a shareholders' agreement visible in any Spanish register? No. Shareholders' agreements (pactos parasociales) are not filed with the Registro Mercantil and do not appear in any public register. Their existence can sometimes be inferred from related-party disclosures in filed accounts, but they cannot be confirmed or ruled out from public sources alone.
How current are the filed annual accounts available from the Registro Mercantil? Filed accounts are submitted within seven months of the financial year end. Processing delays at the register mean the most recent available accounts may reflect a position one to two years before the date of the search. The report states the filing date of each document retrieved.
