Structure after reorganisation in Germany

A reorganisation in Germany — merger (Verschmelzung), demerger (Spaltung) or conversion (Formwechsel) — changes who controls the surviving entity and on what terms. The Handelsregister is the primary public record of that change. What it shows, and where the chain stops, is established before any engagement.

Control after a reorganisation is not always visible at the first level. A GmbH may have a single corporate shareholder whose own ownership is recorded in a different register entry, in a different jurisdiction, or not at all. The analysis maps each layer and names the point at which the record ends.

This register is public and free of charge. What the report provides is the removed path: locating the correct register entry by national identifier, reading German-language filings, tracing the pre- and post-reorganisation Gesellschafterliste, and identifying where the ownership chain terminates.

What the Handelsregister records after a reorganisation

Every merger, demerger and conversion under the Umwandlungsgesetz (UmwG) must be registered. The registrar records the legal act and its effective date. The surviving or newly formed entity receives a new or updated register entry.

For a GmbH, the Gesellschafterliste — the shareholder list — is filed with the register. After a reorganisation, a revised list must be filed reflecting the new ownership structure. The list names each shareholder, their share amount and percentage.

For an AG, the register records the board composition and registered capital. Individual shareholders are not named in the register; they appear in the share register (Aktienregister), which is held by the company and is not publicly accessible.

The reorganisation documents themselves — the merger agreement, the audit report, the court approval — are filed as attachments and retrievable as scanned PDFs.

Control: what the Gesellschafterliste establishes

The Gesellschafterliste is the operative document for GmbH ownership. It is filed by the notary or the managing director after each change. The version on record at any given moment is the current list.

After a reorganisation, the list reflects the post-transaction structure. If the acquiring entity is itself a GmbH, its own Gesellschafterliste is in a separate register entry. That entry is retrievable by the same method.

The chain can be traced register entry by register entry until one of three conditions is met: the shareholder is a natural person (chain ends), the shareholder is a foreign entity (chain exits German records), or the shareholder is an AG or listed company (chain exits the Handelsregister).

Each of these termination points is named explicitly in the report. The report does not assert control beyond the point where the record ends.

Annual accounts and financial position after reorganisation

German GmbH entities above the small-company threshold are required to file annual accounts (Jahresabschluss) with the Unternehmensregister. The accounts are publicly accessible.

After a reorganisation, the first post-transaction accounts reflect the combined or separated entity. The filing deadline is twelve months after the balance sheet date. A gap between the reorganisation date and the first filed accounts is normal and expected.

The accounts show: total assets, equity, liabilities, revenue (for medium and large entities), and the notes. They do not show individual shareholder distributions or intercompany pricing.

For small GmbH entities (kleine Gesellschaften), only the balance sheet and notes are filed. The profit-and-loss account is not public.

Insolvency status

The insolvency register (Insolvenzbekanntmachungen) records opened proceedings, rejected applications for insufficient assets, and discharge decisions. It is publicly accessible.

A negative result — no entry found — does not confirm the absence of a filed application. An application may have been filed and not yet processed. The report states this limitation explicitly.

After a reorganisation, the surviving entity carries the legal history of the absorbed entity. Prior insolvency proceedings against a merged predecessor are traceable through the register if they occurred within the retention period.

The limit of what the sources allow

The Handelsregister shows the legal owner of record. It does not show the economic beneficiary above the first corporate layer unless that beneficiary is itself a German GmbH with a filed Gesellschafterliste.

Specifically, the following are outside the reach of German public records:

  • The identity of shareholders of a foreign holding company that owns a German GmbH
  • The terms of any shareholder agreement (Gesellschaftervereinbarung) — these are private contracts and are not filed
  • Voting arrangements, drag-along rights, or veto rights agreed outside the articles
  • The beneficial owner as defined under the Geldwäschegesetz (GwG) — the Transparenzregister is a separate register with restricted access conditions after the CJEU ruling in joined cases C-37/20 and C-601/20; access is not available to the general public without a demonstrated legitimate interest

The Gesellschafterliste shows legal title. It does not show who exercises control in practice when that control is contractual rather than structural.

The annual accounts show the financial position of the entity. They do not show the terms on which profit is distributed between shareholders, or the existence of side agreements.

The insolvency register shows opened proceedings. It does not show a pending application that has not yet been processed.

Each of these limits is stated in the report at the point where the chain terminates.

Where the sources disagree

The Gesellschafterliste and the articles of association (Gesellschaftsvertrag) may describe different ownership structures if the list has not been updated after a reorganisation. The notary is required to file an updated list; a delay between the effective date of the reorganisation and the filing date is possible.

The annual accounts and the register entry may show different registered capital figures if a capital increase or reduction was registered after the balance sheet date.

When a discrepancy is identified between two sources, the report records both values, the source of each, and the date of each filing. The discrepancy itself is a finding.

FAQ

What does the Handelsregister show after a merger in Germany? After a merger (Verschmelzung), the register records the surviving entity, the effective date of the merger, and the updated Gesellschafterliste for a GmbH. The absorbed entity's register entry is marked as deleted. The merger agreement is retrievable as a filed document.

Can the pre-reorganisation ownership structure be recovered from the register? Yes, for GmbH entities. Earlier versions of the Gesellschafterliste remain in the register file and are retrievable. The report traces the structure as it stood before and after the reorganisation date.

Why is the Transparenzregister not used as a primary source? Access to the Transparenzregister for the general public was restricted following the CJEU ruling in joined cases C-37/20 and C-601/20. A demonstrated legitimate interest is required. The report identifies the beneficial ownership layer and states the access condition; it does not assert a beneficial owner from a source that is not accessible.

What is the difference between the Handelsregister and the Unternehmensregister? The Handelsregister records legal status: shareholders, directors, capital, filings. The Unternehmensregister aggregates financial disclosures: annual accounts, audit reports, management reports. Both are used in the Standard and Extended tiers.

Does a negative insolvency result confirm the entity is solvent? No. A negative result confirms no opened proceedings are on record within the retention period. A filed application not yet processed will not appear. The report states this limitation at the point of the insolvency check.
