The question before signing a shareholders agreement is not abstract: who controls this company, and what can a shareholder actually enforce? In the Netherlands, the answer begins with the Handelsregister — the commercial register held by the Kamer van Koophandel (KvK). That register is the statutory source for legal existence, registered directors, and the articles of association. Control, however, is not always visible at the first layer.
The structure of a Dutch besloten vennootschap (BV) can place control at a level above the registered entity. A holding company, a foundation (stichting), or a foreign intermediate can hold the shares. The Handelsregister records the immediate shareholder only when that shareholder is itself a Dutch legal entity and the filing obligation applies. The ceiling of what the sources allow is stated before any report is ordered.

The Handelsregister is the primary statutory source for any Dutch legal entity. It records the entity's legal form, registered address, date of incorporation, and the persons authorised to bind the company. For a BV, the register also holds the current articles of association (statuten) as filed with the notary.
The articles are the document that defines voting rights, transfer restrictions, approval clauses, and the scope of the management board's authority. Before signing a shareholders agreement, the articles are not optional reading — they are the baseline against which any agreement is tested.
The register also records whether a supervisory board (raad van commissarissen) exists, and if so, which acts require its approval. That approval scope is a direct control mechanism. It is visible in the articles; it is not summarised in the extract.

Shareholder layer and the limits of the register
For a Dutch BV, the immediate shareholder is recorded in the shareholders register (aandeelhoudersregister). That register is maintained by the company itself — it is not a public document. The Handelsregister does not reproduce it.
Where the immediate shareholder is a Dutch legal entity, that entity's own Handelsregister entry is accessible. The chain can be traced upward, entity by entity, as long as each link is a Dutch registered person. The chain stops at a foreign entity, a natural person, or a structure that carries no Dutch registration obligation.
A stichting administratiekantoor (STAK) is a common Dutch control mechanism. The STAK holds the shares and issues depository receipts (certificaten) to the economic participants. The STAK board controls voting rights. This structure is visible in the articles if it is referenced there; it is not always apparent from the Handelsregister extract alone.

UBO register: access conditions after CJEU C-37/20
The Netherlands implemented the Fourth and Fifth Anti-Money Laundering Directives by establishing a UBO register at the KvK. Following the Court of Justice of the European Union ruling in joined cases C-37/20 and C-601/20 (November 2022), public access to UBO data was suspended.
Access to the Dutch UBO register is now limited to competent authorities (including the Financial Intelligence Unit — FIU-Nederland) and obliged entities under the Wwft (Wet ter voorkoming van witwassen en financieren van terrorisme) acting within their due diligence obligations. A private party conducting pre-contractual due diligence does not qualify as an obliged entity for this purpose.
The consequence is direct: beneficial ownership beyond the immediate registered layer cannot be established from the UBO register in the context of a private transaction. The report establishes what the accessible sources show and names the point at which the chain becomes opaque.

Financial statements and the Chamber of Commerce filing
Dutch BVs above certain size thresholds are required to file annual accounts with the KvK. Filed accounts are accessible through the Handelsregister. The depth of disclosure depends on the size classification: micro and small entities file abbreviated balance sheets; medium and large entities file fuller accounts including profit and loss statements.
Filed accounts do not show the shareholder structure. They show the financial position of the entity as of the balance sheet date. For a pre-signing review, the accounts establish whether the entity is solvent, whether there are significant liabilities, and whether the auditor has issued a qualified opinion.
The filing obligation runs from the end of the financial year. Accounts may be filed late. The absence of a recent filing is itself a data point — it does not confirm the absence of accounts.

Insolvency and enforcement records
The Dutch insolvency register (Centraal Insolventieregister, CIR) is maintained by the Rechtspraak (judiciary) and is publicly accessible. It records faillissementen (bankruptcies), surseances van betaling (suspensions of payment), and debt restructuring proceedings (WHOA and WSNP).
A negative result in the CIR does not confirm the absence of a filed petition. Proceedings that have not yet been published, or that were concluded and removed from the register, will not appear. The register covers the entity searched; it does not extend to affiliated entities or ultimate beneficial owners.
The Dienst Justis (Ministry of Justice screening service) issues a Verklaring Omtrent het Gedrag Rechtspersonen (VOG RP) — a conduct declaration for legal entities. This is a separate instrument from the insolvency register and covers a different scope of adverse information.

The limit of what the sources allow
The Handelsregister establishes legal existence, registered authority, and the articles of association. It does not establish who controls the company in economic terms.
The shareholders agreement itself — the document being signed — is not filed anywhere. Its terms are not visible to any public source. The report can establish the framework within which any agreement operates (the articles, the corporate structure, the financial position) but cannot verify the content of an undisclosed agreement.
The UBO register is inaccessible for private due diligence purposes. Where the immediate shareholder is a foreign entity, the chain above that entity requires separate retrieval from the relevant foreign register. Each foreign link adds a jurisdiction, a language, and a separate access condition.
A STAK structure separates economic interest from voting control. The STAK's own governance documents — its administratievoorwaarden — are not filed in any public register. Their existence may be inferred from the articles; their content cannot be retrieved from public sources.
The report names the point at which each chain stops and states the reason.
Where the sources disagree
The Handelsregister extract and the filed annual accounts may show different directors. A director change filed after the balance sheet date will appear in the register but not in the accounts. A director who resigned before the accounts were filed may appear in the accounts but not in the current extract.
The articles as filed with the notary and the articles as summarised in the Handelsregister extract are not always identical in detail. The extract is a derived document. The notarial deed is the authoritative text.
Where the immediate shareholder shown in a prior extract differs from the shareholder shown in a current extract, the change may reflect a transfer that was not notified to the register promptly. Dutch law requires notification; it does not guarantee real-time accuracy.
These discrepancies are reported as findings, not resolved by assumption.

FAQ
What does the Handelsregister show about who controls a Dutch BV? The register shows registered directors, authorised signatories, and the articles of association. Control in economic terms — who holds the votes, who can block a resolution — is established from the articles and, where a STAK exists, from the structure of the depository receipt arrangement. The register does not show the shareholders agreement or any side arrangement.
Is the Dutch UBO register accessible for pre-signing due diligence? No. Following CJEU C-37/20, public access was suspended. Access is limited to competent authorities and Wwft-obliged entities. A private party conducting pre-contractual due diligence does not have access. The report establishes what is accessible and names the layer at which the chain becomes opaque.
What is a STAK and why does it matter before signing? A stichting administratiekantoor holds shares and issues certificaten (depository receipts) to economic participants. The STAK board holds the voting rights. A shareholder who holds certificaten, not shares, cannot vote directly. The existence of a STAK may be visible in the articles; its governance documents are not in any public register.
Can the report retrieve the shareholders agreement? No. A shareholders agreement is a private contract. It is not filed with any Dutch authority. The report establishes the statutory and registered framework — articles, structure, financial position — within which any agreement operates.
What happens if the immediate shareholder is a foreign entity? The Dutch chain stops at the foreign entity. Retrieval above that point requires a separate request to the relevant foreign register. Each foreign jurisdiction adds its own access conditions, language, and timeline. The Extended tier includes retrieval of one foreign register extract where the register is publicly accessible.
How current are the Handelsregister extracts? The KvK updates the register on the basis of filings. There is no statutory guarantee of real-time accuracy. A change filed late will appear in the register only after filing. The report records the extraction date and notes any discrepancy between the extract and the filed accounts.
