Ownership — Italy: step by step

Signing a shareholders agreement without first establishing who controls the company is a structural risk. In Italy, control is documented — but the path to that documentation has conditions that most foreign requesters do not clear on the first attempt.

The angle here is control: who holds the quota or share, who exercises the voting right, and what the register shows at the moment of signing. The answer comes from official sources, not from representations made by the counterparty.

What the Registro delle Imprese records

The Registro delle Imprese is maintained by the local Chamber of Commerce (Camera di Commercio) for each province and is coordinated nationally by InfoCamere. Every Italian company with legal personality is registered here.

For an S.r.l., the register holds the lista dei soci — the list of quota holders with names, fiscal codes, and percentage interests. Every transfer of a quota must be filed with the register within thirty days of the notarial deed. The filed document is the authoritative record of ownership at the date of filing.

For an S.p.A., registered shares appear in the shareholders' register (libro soci), which is maintained by the company itself, not by the public register. The Registro delle Imprese records the total share capital and the identity of directors, but not the individual shareholder list unless shares are dematerialised and held through Monte Titoli.

The distinction between S.r.l. and S.p.A. is material for this report. The ownership layer that is publicly traceable differs by corporate form.

The access condition that stops most foreign requesters

The Registro delle Imprese is a public register. Its contents are legally accessible to any person with a legitimate interest. The practical barrier is electronic: full document retrieval — including the lista dei soci and filed deeds — requires either a SPID (Sistema Pubblico di Identità Digitale) or a CIE (Carta d'Identità Elettronica), both of which are issued exclusively to Italian residents and citizens, or a professional intermediary registered with the Italian system.

A foreign requester without Italian residency cannot obtain SPID. The alternative path is through a registered intermediary — a notary, a commercialista, or a legal professional with a national identifier — who can retrieve documents on behalf of a client.

This is the step where most foreign requesters stop. The register is public; the access mechanism is national.

What the report provides is the removed path: the intermediary relationship, the national identifier, the language layer, and the retrieval of the filed document in a form usable outside Italy.

Directors, statutory auditors, and the control layer

Beyond quota holders, the register records the consiglio di amministrazione (board of directors) or the sole administrator (amministratore unico), the statutory auditors (collegio sindacale or sindaco unico), and the revisore legale where applicable.

For control analysis, the director layer matters independently of the ownership layer. A quota holder with a minority interest may hold the sole administrator appointment. A majority quota holder may have delegated all management powers to a third party. The register shows both layers simultaneously, and the report maps the relationship between them.

The date of each appointment and the scope of powers (poteri di firma) are recorded in the filed statuto and in subsequent deliberations. Where powers have been modified by board resolution, the resolution must be filed and is retrievable.

Beneficial ownership: the current state of access

Italy transposed the Fourth and Fifth Anti-Money Laundering Directives through Legislative Decree 231/2007 as amended. The obligation to maintain a register of beneficial owners (titolari effettivi) applies to all Italian companies. The register is held at the Chambers of Commerce.

Public access to the register was established by Ministerial Decree of 11 March 2022. However, following the CJEU judgment in joined cases C-37/20 and C-601/21, the implementing provisions for unrestricted public access have not been brought into force. Access is currently limited to competent authorities, obliged entities under AML law, and persons demonstrating a legitimate interest through a formal procedure.

The practical consequence: for a foreign buyer preparing to sign a shareholders agreement, the beneficial ownership register is not freely retrievable. The legitimate interest procedure exists but requires a formal request and is subject to the Chamber's assessment.

The report documents what the register shows at the tier ordered, states the access condition applied, and identifies where the chain stops.

Filed financial statements and the economic picture

Italian S.r.l. and S.p.A. entities above the micro-enterprise threshold are required to file annual financial statements (bilancio d'esercizio) with the Registro delle Imprese. Filed statements are retrievable through the same intermediary path.

The bilancio includes the balance sheet, profit and loss account, and the nota integrativa. For consolidated groups, the consolidated bilancio is filed separately. The statements are prepared under Italian GAAP (OIC standards) or, for listed entities, IFRS.

For ownership analysis before signing a shareholders agreement, the filed bilancio provides the economic context for the equity structure: paid-in capital, reserves, retained earnings, and any extraordinary items that affect the value of the quota being acquired.

Micro-enterprises (below the thresholds of Article 2435-ter of the Civil Code) file an abbreviated balance sheet without the profit and loss account. The report notes the filing category of the target entity.

Step-by-step: how the report is built

The report follows a fixed sequence. Each step has a defined source and a defined output.

Step 1 — Company identification. The target entity is identified by codice fiscale and partita IVA. The current registered status (attiva, in liquidazione, cancellata) is confirmed.

Step 2 — Corporate form and statuto. The current statuto is retrieved. The corporate form (S.r.l., S.p.A., S.r.l.s., or other) determines which ownership documents are available in the public register.

Step 3 — Quota or share layer. For S.r.l.: the most recent lista dei soci is retrieved, showing quota holders, percentages, and the date of the last filed transfer. For S.p.A.: the register is checked for dematerialised shares; the libro soci is a company-held document and is not retrievable from the public register.

Step 4 — Director and signatory layer. Current directors, their appointment dates, and the scope of their powers are extracted from the register and from filed deliberations.

Step 5 — Insolvency and enforcement check. The Registro delle Imprese records insolvency proceedings (fallimento, concordato preventivo, liquidazione giudiziale under the Codice della Crisi). A search is run against the target entity and, at the Extended tier, against the principal quota holders.

Step 6 — Beneficial ownership layer. The legitimate interest procedure is initiated where the tier ordered includes this layer. The outcome — whether access is granted, refused, or pending — is documented in the report.

Step 7 — Filed financials. The most recent available bilancio is retrieved and the filing category is noted.

Step 8 — Discrepancy mapping. Where the ownership layer, the director layer, and the financial statements show inconsistencies — different names, different percentages, gaps in filing dates — the report maps the discrepancy without resolving it. Resolution requires legal analysis, which is a separate engagement.

Where the sources disagree

The lista dei soci reflects the last filed transfer. If a transfer occurred and was not yet filed within the statutory period, the register does not show it. The notarial deed exists; the register does not yet reflect it.

A quota may be subject to a pledge (pegno) or usufruct (usufrutto) that is filed separately from the transfer. The pledge holder may hold voting rights without appearing as a quota holder. The report identifies filed pledges and usufructs as a distinct layer.

For S.p.A. entities, the libro soci is a company document. The register shows capital structure; it does not show individual shareholders unless shares are dematerialised. This is a structural gap, not a retrieval failure.

Where the filed statuto and the most recent deliberation conflict on the scope of director powers, both documents are reproduced and the conflict is noted.

The limit of what the sources allow

The Registro delle Imprese shows the ownership structure as filed. It does not show:

  • Indirect holdings through foreign holding companies. A quota held by a Luxembourg S.à r.l. appears as a single entry; the ownership of that S.à r.l. is not in the Italian register.
  • Nominee arrangements. Italian law does not prohibit nominees; the register records the legal holder, not the economic beneficiary.
  • Shareholders' agreement terms. The existence of a shareholders' agreement may be referenced in the statuto, but the terms are not filed and are not public.
  • Voting trust arrangements or irrevocable proxies that have not been filed.
  • Pending transfers where the notarial deed has been executed but the thirty-day filing period has not elapsed.

The beneficial ownership register, where accessible, addresses some of these gaps. Where access is refused or pending, the report states the outcome of the procedure and identifies the gap explicitly.

The ceiling of what the sources allow is stated before payment. The report does not promise to establish what the sources do not record.

FAQ

What is the difference between the lista dei soci and the libro soci? The lista dei soci is the quota-holder list filed with the Registro delle Imprese for an S.r.l. It is a public document, retrievable through the register. The libro soci is the shareholders' register maintained internally by an S.p.A. It is a company document, not held by the public register, and is not retrievable through this report for an S.p.A. unless shares are dematerialised and held through Monte Titoli.

Does the report cover the terms of the shareholders agreement itself? No. The report establishes the ownership structure and control layer from official sources. The terms of an existing shareholders agreement are not filed in the public register and are not within the scope of this report. Where the statuto references a shareholders agreement, that reference is noted.

What happens if the beneficial ownership procedure is refused? The outcome of the procedure — whether access is granted, refused, or pending at the time the report is delivered — is documented. A refusal is itself a result: it identifies the gap and the reason given by the Chamber. The report does not re-initiate the procedure after delivery.

How long does retrieval take? Document retrieval from the Registro delle Imprese through an intermediary typically takes between two and five working days. The beneficial ownership procedure, where initiated, is subject to the Chamber's processing time and may extend the overall timeline. The report is delivered when all retrievable documents have been obtained.

Is the report updated after delivery? The report reflects the state of the register at the date of retrieval. It is not updated after delivery. If a material change occurs after delivery — a filed transfer, a new director appointment, an insolvency filing — a supplementary retrieval can be ordered separately.
