Ownership — Italy: sources and limits

Control in an Italian company is not always visible at the first layer. A shareholders agreement may bind parties whose actual authority rests on a chain of holdings that the agreement itself does not describe. Establishing that chain — before signing — requires reading several official sources in sequence, each with its own access conditions and its own ceiling.

This page describes what those sources show, what they do not show, and where the chain stops.

What the Registro delle Imprese discloses on ownership

The Registro delle Imprese is the authoritative source for Italian corporate structure. It is maintained by the local Chamber of Commerce (Camera di Commercio) for each province and federated through InfoCamere.

For a società a responsabilità limitata (S.r.l.), the register holds the libro dei soci in the form of a filed quotaholder list. Every transfer of quotas must be notarised and filed; the register therefore reflects the current ownership as of the last filed act. Gaps between a transfer and its filing create a window during which the register lags behind reality.

For a società per azioni (S.p.A.), shareholders are not recorded in the Registro delle Imprese. Ownership is tracked through the company's own share register (libro soci) and, for listed companies, through Consob disclosures and the central depository (Monte Titoli). An S.p.A. with bearer-equivalent structures or nominee arrangements requires a different source path.

Directors, powers and the statutory layer

The register discloses the current board of directors, the sole administrator if applicable, and any special powers of attorney (procure) that have been filed. It also holds the current version of the statuto (articles of association).

The statuto governs voting thresholds, veto rights, and transfer restrictions. These provisions directly affect what a new shareholder can enforce. A shareholders agreement may modify or supplement the statuto, but it operates between the parties only — it does not bind third parties and is not filed in the register.

Reading the statuto before signing is therefore a minimum step. It is not sufficient on its own.

Beneficial ownership: the restricted layer

Italy transposed the EU Anti-Money Laundering Directives and established a beneficial ownership section within the Registro delle Imprese. Following the CJEU judgment in C-37/20 (November 2022), public access to this section was suspended pending legislative adjustment.

[СВЕРИТЬ местным консультантом до публикации] As of the verification date, access to the titolari effettivi section is restricted to obliged entities (banks, notaries, lawyers, auditors) acting in the course of customer due diligence, and to competent authorities. General public access is not available.

This means that for a foreign buyer without an Italian obliged-entity intermediary, the beneficial ownership layer is not directly accessible through the register. The chain of control can be traced through filed quotaholder lists and group structure documents, but the final natural person layer requires either an intermediary with AML-obliged status or a formal request through a professional with legitimate interest.

Financial statements and the economic layer

S.p.A. and S.r.l. above the small-company thresholds file annual bilanci with the Registro delle Imprese. These include the balance sheet, income statement, and notes. Consolidated accounts, where filed, show the group perimeter.

Smaller S.r.l. may file an abbreviated balance sheet (bilancio abbreviato) or, if micro-enterprise thresholds apply, a micro-enterprise balance sheet with reduced disclosure. The notes and income statement may be absent in those cases.

The bilancio does not show the terms of intercompany agreements, profit-transfer arrangements, or pledges over quotas unless these are disclosed in the notes. A pledge (pegno) over quotas must be filed in the Registro delle Imprese and appears in the visura; a pledge over S.p.A. shares is recorded in the company's own register and in the central depository.

Insolvency and enforcement proceedings

The Registro delle Imprese records insolvency proceedings (procedure concorsuali) opened against a company, including liquidazione giudiziale (the successor to fallimento under the Codice della Crisi d'Impresa e dell'Insolvenza, in force from July 2022), concordato preventivo, and liquidazione coatta amministrativa.

A separate public portal, the Portale dei Fallimenti and the REIBO system, provides additional search capability. However, a negative result does not confirm the absence of a filed petition that has not yet been registered.

Enforcement proceedings against individual quotaholders — relevant where a co-shareholder's stake may be subject to seizure — appear in court records, not in the Registro delle Imprese. These require a separate search.

Shareholders agreements: what the register does not hold

Italian law (art. 2341-bis and 2341-ter of the Codice Civile) requires that shareholders agreements in S.p.A. exceeding certain thresholds be disclosed to the company and, for listed companies, to Consob and the market. For S.r.l., there is no equivalent mandatory filing requirement.

The content of a shareholders agreement — drag-along, tag-along, pre-emption, deadlock mechanisms, reserved matters — is not visible in any public register for S.r.l. It is visible for listed S.p.A. through Consob filings.

Before signing a new shareholders agreement, the existing agreement (if any) must be obtained directly from the parties or through a notary. The register confirms that an agreement exists only if it has been disclosed under the statutory obligation; it does not confirm that no agreement exists.

The limit of what the sources allow

The Registro delle Imprese shows the legal ownership layer for S.r.l. with precision, provided all transfers have been filed. For S.p.A., it shows directors and corporate acts but not shareholders.

The beneficial ownership layer is restricted. A foreign buyer without an Italian AML-obliged intermediary cannot access the titolari effettivi section directly.

Shareholders agreements for S.r.l. are not filed anywhere. Their existence and terms are invisible to any register search.

Pledges over S.p.A. shares and nominee arrangements at the holding level require sources outside the Registro delle Imprese: the company's own share register, Monte Titoli records, and — for cross-border chains — registers in the jurisdiction of the holding entity.

The chain of control can be traced to the point where it crosses into a jurisdiction that does not disclose participants (Delaware LLC, certain offshore structures) or where the beneficial ownership section is restricted. At that point, the report names the break and its cause. It does not fabricate continuity.

Where the sources disagree

A filed quotaholder list and a notarised transfer deed may show different dates if the deed was filed with a delay. The bilancio may show a different equity structure than the current statuto if a capital increase has been resolved but not yet registered. Consob filings for listed S.p.A. may lag behind actual threshold crossings by the statutory notification period.

These discrepancies are themselves findings. A report that reconciles the sources identifies the gap; a search of a single source does not.

FAQ

Does the Registro delle Imprese show who controls an S.r.l.? It shows the current quotaholder list with percentages, as of the last filed transfer. It does not show the terms of any shareholders agreement that may modify effective control, and it does not show the beneficial owner if the holding chain passes through a legal person.

Can a foreign buyer access the beneficial ownership section directly? [СВЕРИТЬ местным консультантом до публикации] Following CJEU C-37/20, the titolari effettivi section is restricted to AML-obliged entities and competent authorities. A foreign buyer without an Italian intermediary with obliged-entity status cannot access it directly through the register.

What does the register show for an S.p.A. before signing? Directors, corporate acts, statuto, filed bilanci, insolvency status, and — for listed companies — Consob disclosures including any filed shareholders agreements above the statutory threshold. The shareholder register of an unlisted S.p.A. is held by the company itself and is not a public document.

Is a shareholders agreement for an S.r.l. visible anywhere? No. There is no mandatory filing requirement for S.r.l. shareholders agreements under Italian law. Their existence and content are not visible in any public register. Verification requires direct disclosure by the parties.

What happens if a transfer has been notarised but not yet filed? The register reflects the pre-transfer position. The gap between notarisation and filing is a known risk in Italian S.r.l. transactions. A report notes the filing date of the last recorded act and flags any indication of a pending transfer in the notarial deed.

Does an insolvency search cover enforcement against individual shareholders? No. The Registro delle Imprese records proceedings against the company. Enforcement proceedings against individual quotaholders — relevant for assessing whether a co-shareholder's stake may be seized — appear in court records and require a separate search.
