Ownership — Germany: sources and limits

Control over a German company is documented across several official layers. Each layer answers a different question. Before signing a shareholders agreement, the relevant question is: who holds the shares, who directs the company, and at what point does the public record stop showing either.

The angle here is control — not valuation, not tax exposure, not litigation history. The sources described below are evaluated against that single question.

What the Handelsregister records

The Handelsregister is the primary source for GmbH ownership. It holds the current Gesellschafterliste — the list of shareholders with their share denominations. Every change of ownership requires a notarised deed and a new list filed by the notary. The list is therefore current to the last notarised transfer, not to the calendar date.

For an AG (Aktiengesellschaft), the register records the articles of association and board composition. Registered shareholders of bearer shares are not listed; only registered shares (Namensaktien) appear in the share register, which is held by the company, not the court.

The register is searchable by company name and registered seat. Since DiRUG came into force on 01.08.2022, the full content — including filed Gesellschafterlisten and annual accounts where deposited — is accessible without registration and without charge. Delivery is in PDF and scan format; no API or structured data export is available.

What the Transparenzregister records

Germany's Transparenzregister holds the beneficial ownership (wirtschaftlich Berechtigter) declarations required under the GwG (Geldwäschegesetz). Entities must declare the natural person who ultimately controls or benefits from the company, applying the statutory thresholds.

Access to the Transparenzregister is not unrestricted. Following the CJEU ruling in joined cases C-37/20 and C-601/20, Germany restricts public access to parties who can demonstrate a legitimate interest. The register operator (Bundesanzeiger Verlag) assesses each access request. The outcome of that assessment is not guaranteed in advance.

Where a company's beneficial ownership is already fully apparent from the Handelsregister — for example, a GmbH with a single natural-person shareholder — the entity may file a so-called Mitteilungsfiktion rather than a separate Transparenzregister entry. In that case, the Transparenzregister entry points back to the Handelsregister. The chain is complete only if the Handelsregister entry itself is current.

What the Unternehmensregister adds

The Unternehmensregister (unternehmensregister.de) aggregates filings from the Handelsregister, the Federal Gazette (Bundesanzeiger), and the Transparenzregister into a single search interface. It does not hold independent data; it mirrors what has been filed elsewhere.

For ownership analysis, the Unternehmensregister is useful for two things: locating the correct Handelsregister court for a given entity, and accessing deposited annual accounts (Jahresabschlüsse) for entities required to publish them. GmbH entities below the small-company thresholds under HGB §267 are required to deposit a balance sheet but not a full profit-and-loss account. The deposited document may therefore be abbreviated.

Shareholder agreement context: what the sources answer

Before signing a shareholders agreement, the questions that matter for control are specific:

  • Who are the current shareholders, and in what proportions?
  • Are there pledges (Verpfändungen) or usufruct rights (Nießbrauch) attached to any shares?
  • Who are the managing directors, and what is the scope of their authority?
  • Is there a holding layer above the immediate shareholder?

The Gesellschafterliste answers the first question for a GmbH. It does not answer the second: pledges and usufruct rights are not recorded in the Handelsregister. They appear in the notarial deed of transfer or in a separate notarial instrument, neither of which is publicly accessible.

The third question is answered by the Handelsregister entry (Registerauszug), which records Geschäftsführer names and whether they hold sole or joint authority, and whether the Prokura restriction (Verbot der Befreiung von § 181 BGB) applies.

The fourth question — the holding layer — requires tracing the shareholder entity through its own Handelsregister entry, and repeating the process for each corporate layer. The Transparenzregister is the checkpoint where that chain is supposed to terminate at a natural person. Whether it does depends on the quality of the declarations filed.

The limit of what the sources allow

The Handelsregister shows the last filed Gesellschafterliste. It does not show:

  • Share pledges or usufruct rights attached to GmbH shares
  • Side agreements between shareholders (Nebenabreden) that modify voting or economic rights
  • Nominee arrangements where the registered shareholder holds shares on behalf of another
  • Bearer shares in an AG (where applicable under transitional rules)
  • Shareholder identity above the first corporate layer, unless that layer is also a German-registered entity

The Transparenzregister is intended to close the gap at the beneficial owner level. In practice, three conditions limit its usefulness. First, access requires a demonstrated legitimate interest; the assessment is not automatic. Second, the Mitteilungsfiktion mechanism means that many entries point back to the Handelsregister rather than containing independent data. Third, the accuracy of the declaration depends on what the obligated entity filed; the register does not independently verify the chain.

The annual accounts deposited in the Unternehmensregister show the financial position of the entity. They do not show the ownership structure above it, and for small entities the deposited document is abbreviated.

The ceiling of what the sources allow is stated before payment. Where a chain cannot be completed from official sources, the report names the layer at which it stops and the reason it stops there.

Where the sources disagree

Two situations produce divergence between sources.

The first is a lag between the notarial transfer and the filing of the new Gesellschafterliste. Under GmbHG §40, the notary is required to file the updated list without delay after a transfer. In practice, the Handelsregister entry may reflect a state that is days or weeks behind the actual transfer. The Transparenzregister entry, if it relies on the Mitteilungsfiktion, inherits the same lag.

The second is a mismatch between the Transparenzregister declaration and the Gesellschafterliste. This occurs when a corporate shareholder has filed a beneficial owner declaration that does not align with the current Gesellschafterliste — either because the list was updated after the declaration, or because the declaration was filed on the basis of a different threshold calculation. Where this mismatch exists, it is noted in the report as a finding, not resolved by assumption.

FAQ

Does the Handelsregister show all current shareholders of a GmbH? It shows the last filed Gesellschafterliste. That list is current to the most recent notarised transfer. A transfer completed but not yet filed will not appear. The report notes the filing date of the list retrieved.

Can a foreign entity access the Transparenzregister? Access requires demonstrating a legitimate interest to the register operator. The GwG does not restrict access by nationality. The assessment is made on the stated purpose of the request, not on the requester's jurisdiction of incorporation.

What does the Mitteilungsfiktion mean in practice? An entity that is wholly owned by a single natural person who is already named in the Handelsregister may file a notification that its beneficial ownership is apparent from the commercial register, rather than filing a separate Transparenzregister entry. The Transparenzregister entry then points to the Handelsregister. The chain is complete only if the Handelsregister entry is current and unambiguous.

Does the report include legal advice on the shareholders agreement? No. The report establishes what the official sources show about ownership and control. It does not qualify those findings legally or advise on the terms of any agreement. That is a separate instruction.

What happens if a corporate layer is registered outside Germany? The Extended tier includes identification of the first non-German layer and the relevant foreign register. Tracing that layer requires a separate instruction for the relevant jurisdiction.

Is the Handelsregister content really free? Register content and filed documents have been available without charge since 01.08.2022 under DiRUG. Certified extracts carry a fee set by the registrar. What the report provides is the retrieved path: locating the correct court, retrieving the current Gesellschafterliste and Registerauszug, identifying the filing dates, and presenting the content in English with source citations.

This register is public and free of charge. What you are paying for is the removed path: registration, national identifier, language, electronic signature, declaration of legitimate interest.
