Jurisdiction in Poland: what can be established

What the record showsRegistered shareholders with share values, directors, supervisory board members, and filed financial statements. Source: Krajowy Rejestr Sądowy (KRS) · verified 2026-09-15 Access conditionThe KRS portal is publicly accessible. No registration is required to search by company name or KRS number. Cost of accessThe registry mechanism is free of charge for basic search. What a report covers is the removed path: national identifier, language, document retrieval, and structured interpretation across the full record. What the record does not showBeneficial owners above the statutory threshold are held in the CRBR register, which operates under separate access rules. The KRS shareholder list reflects registered legal ownership, not economic control through nominee arrangements.

This register is public and free of charge. What the report covers is the removed path: KRS number identification, language, document retrieval, electronic signature verification, and structured interpretation of the full filing history.

Control in a Polish entity is established through two separate layers. The first is the KRS, which records legal ownership and management appointments. The second is the Centralny Rejestr Beneficjentów Rzeczywistych (CRBR), which records declared beneficial ownership above the statutory threshold. These two layers do not always align. Identifying where they diverge is the analytical task.

What the Krajowy Rejestr Sądowy records

The KRS is Poland's national court register. It covers commercial companies, partnerships, cooperatives, and certain other entities. The register is maintained by district courts and is publicly searchable through the Ministry of Justice portal.

For a limited liability company (spółka z ograniczoną odpowiedzialnością, sp. z o.o.), the KRS records the following:

  • Registered shareholders and the nominal value of their shares
  • Directors (zarząd) and their representation authority
  • Supervisory board members (rada nadzorcza), where applicable
  • Registered address and objects of activity
  • Filed annual financial statements (sprawozdania finansowe)
  • Amendments to the articles of association

For a joint-stock company (spółka akcyjna, S.A.), the shareholder register is not held at the KRS. Shares may be held in dematerialised form through the National Depository for Securities (KDPW) or in a private share register maintained by the company. The KRS records directors and supervisory board members, not individual shareholders.

This distinction is material. A buyer verifying control in a Polish S.A. cannot rely on the KRS alone for shareholder data.

Control and the shareholder layer

For sp. z o.o. entities, the KRS shareholder list (lista wspólników) is a filed document, not a live database field. It is updated when the company files a revised list following a share transfer. The date of the most recent filed list is visible in the register. A gap between the filing date and the verification date indicates that the list may not reflect current ownership.

Share transfers in a sp. z o.o. require a notarised deed. The transfer takes legal effect between the parties upon execution. The KRS is updated by filing, not automatically. A period of non-filing does not invalidate the transfer; it means the register lags behind the actual ownership position.

The analytical question is therefore not only who is listed, but when the list was last filed and whether any subsequent transfers are indicated by other filings — for example, a pledge (zastaw) registered over shares, or a court-ordered restriction.

The CRBR and declared beneficial ownership

The Centralny Rejestr Beneficjentów Rzeczywistych (CRBR) was established under the Polish Anti-Money Laundering Act implementing the EU's Fourth and Fifth AML Directives. Entities are required to file the identity of their beneficial owner — defined as the natural person who ultimately owns or controls the entity above the statutory threshold, or who exercises control through other means.

The CRBR is publicly searchable. A search returns the declared beneficial owner's name, nationality, and the nature of the control or ownership interest. It does not return the beneficial owner's address or date of birth in full.

Three limitations apply to CRBR data:

  • The entry reflects the company's own declaration. It is not independently verified by the register at the point of filing.
  • Where control is exercised through a chain of entities, the declaration covers the natural person at the top of the chain. Intermediate holding structures are not itemised in the CRBR entry.
  • Following the CJEU judgment in Joined Cases C-37/20 and C-601/20, EU member states are not required to provide unrestricted public access to UBO registers. Poland's CRBR remains publicly accessible as of the verification date, but access conditions are subject to legislative change. [СВЕРИТЬ местным консультантом до публикации]

Filed financial statements

Polish commercial companies are required to file annual financial statements with the KRS. Statements are filed electronically and are publicly available through the KRS portal and the Repozytorium Dokumentów Finansowych (RDF).

The filed statements include the balance sheet, profit and loss account, and — for entities above statutory thresholds — a statutory auditor's report. The filing deadline is generally within fifteen months of the financial year end, subject to the specific entity type and size classification.

Gaps in the filing sequence are visible in the register. A missing year does not necessarily indicate insolvency; it may indicate a late filing, a change in accounting period, or a dormant entity. The record shows what was filed; it does not explain the gap.

Insolvency and restructuring proceedings

Polish insolvency and restructuring proceedings are recorded in the Krajowy Rejestr Zadłużonych (KRZ), which replaced the Monitor Sądowy i Gospodarczy as the primary publication vehicle for insolvency notices. The KRZ is publicly searchable by entity name and KRS number.

The KRZ records the opening of bankruptcy proceedings (upadłość), restructuring proceedings (restrukturyzacja), and the appointment of administrators or supervisors. A negative result in the KRZ reduces the probability of an active proceeding but does not eliminate it. A proceeding filed but not yet published, or a proceeding in a jurisdiction outside Poland affecting a Polish entity, will not appear in the KRZ.

Tax identification and VAT status

Polish entities are assigned a NIP (Numer Identyfikacji Podatkowej) for tax purposes and a REGON number for statistical purposes. Both are visible in the KRS record.

VAT registration status is verifiable through the Biała Lista Podatników VAT (White List), maintained by the Ministry of Finance. The White List returns the entity's VAT status, registered bank accounts, and the date of any deregistration. It does not return financial data or ownership information.

VIES (VAT Information Exchange System) is available for cross-border VAT verification. Poland returns entity name and address through VIES. An invalid VIES response does not confirm that the entity does not exist; it may indicate a VAT deregistration or a data synchronisation lag.

Where the sources disagree

The KRS shareholder list and the CRBR declaration are produced by different parties at different times. The KRS list is filed by the company following a notarised transfer. The CRBR declaration is filed by the entity's management. Neither is verified against the other at the point of filing.

Discrepancies arise in three patterns:

  • The KRS lists a corporate shareholder; the CRBR names a natural person as beneficial owner. The intermediate chain is not itemised in either source.
  • The KRS list was filed before a share transfer; the CRBR was updated after. The two sources reflect different points in time.
  • The CRBR names a beneficial owner who does not appear in the KRS shareholder list at any level. This may indicate control through contractual means rather than registered ownership.

Each discrepancy is a data point, not an error. The analytical task is to identify the discrepancy, state its source, and describe what additional filing or document would resolve it.

The limit of what the sources allow

The KRS shows registered legal ownership and management as of the most recent filing. It does not show economic control exercised through nominee arrangements, undisclosed agreements, or structures held outside Poland.

The CRBR shows the declared beneficial owner. It does not show the intermediate chain, the basis for the declaration, or whether the declaration was reviewed by a competent authority.

Filed financial statements show reported figures. They do not show off-balance-sheet positions, related-party transactions below disclosure thresholds, or the terms of intra-group financing.

The KRZ shows published insolvency and restructuring proceedings. It does not show proceedings filed but not yet published, or enforcement actions taken outside the Polish insolvency framework.

For a Polish sp. z o.o., the ceiling of what the sources allow is: registered shareholders by name and share value, directors by name and authority, declared beneficial owner by name and control basis, filed financials for available years, and published insolvency status. For a Polish S.A., the shareholder layer is not available from the KRS.

The ceiling of what the sources allow is stated before payment.

FAQ

What does the KRS show for a Polish sp. z o.o.? The KRS shows registered shareholders by name and the nominal value of their shares, directors and their representation authority, registered address, objects of activity, and filed financial statements. It shows the position as of the most recent filing, not in real time.

Does the KRS show the beneficial owner? No. Beneficial ownership above the statutory threshold is declared in the CRBR, which is a separate register. The KRS and CRBR are not cross-referenced automatically. Discrepancies between the two are common and are themselves a data point.

What is the difference between a sp. z o.o. and an S.A. for verification purposes? For a sp. z o.o., registered shareholders appear in the KRS. For a joint-stock company (S.A.), shares may be held through the KDPW or a private share register. The KRS does not list individual shareholders of an S.A. The verification approach differs materially between the two entity types.

Is the CRBR publicly accessible? As of the verification date, the CRBR is publicly searchable without registration. Access conditions are subject to legislative change following the CJEU judgment on UBO register access. [СВЕРИТЬ местным консультантом до публикации]

What does a negative KRZ result mean? A negative result in the Krajowy Rejestr Zadłużonych reduces the probability of an active insolvency or restructuring proceeding. It does not eliminate the possibility of a proceeding filed but not yet published, or of enforcement actions outside the Polish framework.

Can filed financial statements be obtained for all years? The Repozytorium Dokumentów Finansowych holds statements filed electronically. Older statements filed in paper form may not be available through the portal. Gaps in the filing sequence are visible in the register; the reason for a gap is not stated in the record.
