Obtaining tax and VAT status extract in Germany: procedure

A German tax and VAT status extract establishes, from official fiscal sources, whether a legal entity is registered with the competent Finanzamt, whether its VAT identification number is active, and whether the authority has issued any tax clearance or liability notice. These are the three control-layer questions a buyer or counterparty needs answered before a transaction closes.

The extract does not describe ownership. It describes fiscal standing. Who controls the company — through shares, through voting agreements, through proxy chains — is a separate question answered by the commercial register and the shareholder list. The tax extract answers a narrower but equally critical question: does the entity stand in good order with the German fiscal authority at the moment of inquiry?

What the German tax extract covers

Germany's fiscal administration is organised at the Länder level. Each company is assigned to a competent Finanzamt in the federal state where it maintains its registered seat or principal place of business. The Bundeszentralamt für Steuern (BZSt) handles cross-border VAT matters and issues the DE VAT identification number.

A tax and VAT status extract, as assembled for due diligence purposes, draws on two distinct layers.

The first layer is the VAT identification number confirmation. The BZSt operates a national confirmation procedure for DE VAT numbers. It returns whether the number is valid and active. For EU counterparties, this overlaps with VIES — but VIES does not return the company name or address for German entities. The national BZSt confirmation procedure is the authoritative source.

The second layer is the tax clearance certificate. The Finanzamt can issue an Unbedenklichkeitsbescheinigung — a certificate stating that no outstanding tax liabilities exist at the date of issuance. This document is issued on request, typically with the company's cooperation. It is time-stamped and carries no forward-looking guarantee.

Neither layer discloses the quantum of any liability, the nature of any audit, or the internal tax file. The extract establishes status, not history.

The control question: what fiscal standing tells a buyer

A buyer verifying control over a German entity needs to know whether the entity is operationally intact. Tax deregistration, VAT number suspension, or an outstanding enforcement notice from the Finanzamt are signals that affect the value and transferability of the object.

A company whose VAT number has been suspended cannot issue valid VAT invoices. A company subject to a tax enforcement order (Vollstreckungsmaßnahme) may have bank accounts seized. These conditions are not visible in the commercial register. They are visible only through the fiscal layer.

The tax extract does not establish who controls the company. It establishes whether the company is fiscally functional. Both questions belong in a complete pre-acquisition file.

Procedure and timeline

Obtaining a German tax and VAT status extract for a third party follows a defined sequence.

Step 1 — Identify the competent Finanzamt. The Finanzamt is determined by the company's registered seat. The Elster portal and the BZSt directory allow identification by postcode and municipality. This step requires the company's registered address, which is available from handelsregister.de without registration or fee.

Step 2 — Establish the basis for access. German fiscal secrecy (§ 30 Abgabenordnung) prohibits disclosure of tax information to third parties without consent or a statutory exception. A buyer or investor must either obtain the company's written consent or demonstrate a legitimate interest recognised under § 30 AO. Without one of these, the Finanzamt will not respond to a third-party inquiry.

Step 3 — Submit the request. The request is submitted in writing to the competent Finanzamt. It must identify the requesting party, the subject entity, the legal basis for access, and the specific information sought. Requests in German are processed without translation delay.

Step 4 — VAT number confirmation. The BZSt confirmation procedure for DE VAT numbers is separate from the Finanzamt request. It can be initiated independently and does not require the company's consent. It returns active/inactive status only.

Timeline. The BZSt VAT confirmation is typically returned within one to three business days. The Finanzamt response to a written request varies by office and workload. Processing times range from several days to several weeks. No statutory deadline binds the Finanzamt for third-party information requests.

What the extract does not show

The German tax extract, assembled from the sources described above, does not show:

  • The amount of any outstanding tax liability
  • The nature or outcome of any tax audit
  • Internal Finanzamt correspondence or assessments
  • The identity of shareholders, directors, or beneficial owners
  • Whether insolvency proceedings have been filed (this requires a separate insolvency register query)
  • Whether the company has filed its annual financial statements (this requires the Unternehmensregister or handelsregister.de)

A negative result in the insolvency register does not confirm the absence of a filed petition. Insolvency register entries are made after court acceptance of a petition, not at filing.

The limit of what the sources allow

The German fiscal system is built on § 30 AO fiscal secrecy. This is not a procedural obstacle — it is a structural limit. The Finanzamt holds detailed information about every registered taxpayer. None of it is accessible to a third party without consent or a statutory exception.

What the sources allow, without company cooperation:

  • Confirmation that a DE VAT number is active or inactive (BZSt procedure, no consent required)
  • Confirmation that a company is registered in the commercial register and therefore presumptively registered with a Finanzamt (handelsregister.de, free, no registration required)

What the sources allow only with company cooperation or a demonstrated legitimate interest:

  • Tax clearance certificate (Unbedenklichkeitsbescheinigung) from the Finanzamt
  • Confirmation of absence of enforcement measures
  • Any document from the company's tax file

The ceiling is stated before payment. If the company declines to cooperate and no statutory exception applies, the extract will contain the VAT confirmation and the commercial register layer — and will state explicitly that the Finanzamt layer was not accessible and why.

This is not a failure of the procedure. It is the result. A buyer who receives a report stating that the company refused to authorise fiscal disclosure has learned something material.

Where the sources disagree

Two situations produce source disagreement in the German fiscal layer.

VAT number active in BZSt, company dissolved in commercial register. A DE VAT number may remain technically active in the BZSt system after a company has been dissolved or struck from the commercial register. The BZSt confirmation and the handelsregister.de entry are maintained by separate authorities on separate timelines. Discrepancy between them is a flag, not an error in either source.

Tax clearance certificate issued, enforcement action pending. An Unbedenklichkeitsbescheinigung is issued at a point in time. An enforcement action initiated after issuance will not appear on the certificate. The certificate does not carry forward-looking validity. Where the certificate date and the inquiry date are separated by more than a short interval, the certificate's evidentiary weight diminishes.

Both discrepancies are reported in the extract, not resolved by the extract.

FAQ

What is the difference between a BZSt VAT confirmation and a Finanzamt tax clearance certificate?

The BZSt confirmation answers one question: is this DE VAT number currently active? It requires no consent and is available to any party. The Finanzamt tax clearance certificate (Unbedenklichkeitsbescheinigung) states that no outstanding liabilities exist at the date of issuance. It requires either the company's cooperation or a demonstrated legitimate interest under § 30 AO. The two documents answer different questions and are obtained through different channels.

Can a buyer obtain German tax information without the company's knowledge?

The BZSt VAT confirmation is available without the company's knowledge or consent. The commercial register layer is public and free. Everything held by the Finanzamt — including the clearance certificate — requires either consent or a statutory exception. A buyer who proceeds without company cooperation will receive the public-layer result and a written statement of what the fiscal layer did not disclose and why.

How long does the procedure take?

The BZSt VAT confirmation is typically returned within one to three business days. The commercial register query is immediate. A Finanzamt response to a written third-party request has no statutory deadline and varies by office. The Standard and Extended tiers include follow-up if the Finanzamt response is delayed beyond a reasonable interval.

Does a tax clearance certificate guarantee no future liability?

No. The certificate is issued at a point in time and covers the status at that date. Liabilities arising after issuance, or enforcement actions initiated after issuance, are not covered. The certificate's evidentiary weight is strongest when the gap between issuance and reliance is short.

What if the company's VAT number appears inactive in BZSt but the company is still registered in the commercial register?

This discrepancy is reported as a finding, not resolved. The two registers are maintained by separate authorities. An inactive VAT number in an otherwise active company may indicate voluntary deregistration, administrative suspension, or a data lag. The report states the discrepancy and identifies which source shows what, as of which date.

Is the German commercial register free?

Yes. handelsregister.de provides register content and filed documents — including Gesellschafterlisten and Jahresabschlüsse — free of charge and without registration, following the DiRUG reform effective 01 August 2022. Output is in PDF and scan format; no structured data export is available. What the Standard and Extended tiers provide is the removed path: identification of the correct entry, language, extraction, and integration into a structured report alongside the fiscal layer.

This register is public and free of charge. What you are paying for is the removed path: registration, national identifier, language, electronic signature, declaration of legitimate interest.
