Obtaining companies register extract in Sweden: procedure

A Swedish companies register extract confirms who is registered as director, what share capital is on record, and where the company's registered office sits. Control over a Swedish company is established through the registered board and the shareholder register — two separate documents from two separate sources. Neither is a substitute for the other.

The angle here is control: who holds it, who is registered as exercising it, and where the official record stops. That question is answered at the registry layer before any legal analysis begins.

What a Swedish companies register extract contains

Bolagsverket maintains the official register of Swedish legal entities. An extract — registerutdrag — is the authoritative document confirming a company's legal status at the date of issue.

The extract covers:

  • Company name and any trade names (bifirma)
  • Registration number (organisationsnummer)
  • Registered office (säte)
  • Company form (aktiebolag, handelsbolag, etc.)
  • Registered share capital
  • Board members, deputies, and managing director (verkställande direktör)
  • Authorised signatories (firmatecknare) and their signing authority
  • Date of registration and current status (active, in liquidation, struck off)

The signing authority entry is operationally significant. It states who can bind the company in contracts — not merely who sits on the board.

The shareholder register and the control gap

For Swedish private limited companies (privata aktiebolag), the shareholder register (aktiebok) is a company document. It is kept by the company, not deposited with Bolagsverket. Bolagsverket does not hold it and cannot produce it.

This creates a structural gap in the registry layer. The extract confirms the board. It does not confirm who owns the shares that appoint the board.

For public limited companies (publika aktiebolag) whose shares are registered with Euroclear Sweden, the shareholder register is held by Euroclear. That is a separate source, with separate access conditions.

The beneficial ownership register (verklig huvudman) is maintained by Bolagsverket under the Act on Measures against Money Laundering and Terrorist Financing. Access to this register is subject to conditions that differ from the standard extract. The record shows the registered beneficial owner — not necessarily the economic reality behind a multi-layer structure.

Procedure for ordering a Swedish companies register extract

The extract is ordered directly from Bolagsverket. Three channels exist:

Online portal. Bolagsverket's e-service (Mina sidor) allows registered users to search by company name or registration number and download a certified extract. The extract carries a digital certification mark.

Written application. A written request to Bolagsverket's office in Sundsvall. The applicant states the company name, registration number, and the purpose of the extract.

Authorised intermediaries. Several commercial providers hold agreements with Bolagsverket and can deliver certified extracts. Turnaround through these channels is typically faster for international applicants who lack a Swedish e-identification (BankID).

The standard turnaround for a certified extract is one to three business days through the online channel. Written requests may take longer.

The extract is issued in Swedish. Certified translation into English or another language is a separate step, not performed by Bolagsverket.

Insolvency and enforcement records

A Swedish companies register extract does not include insolvency status by default. Insolvency proceedings — bankruptcy (konkurs), reorganisation (företagsrekonstruktion), and liquidation (likvidation) — are recorded in the Bolagsverket register, but a standard extract may not reflect a recently filed petition.

The Swedish Enforcement Authority (Kronofogdemyndigheten) maintains a separate register of enforcement actions and payment defaults. This is a distinct source. A clean companies register extract does not confirm the absence of enforcement proceedings.

For a complete picture of a counterparty's legal standing, both sources must be checked independently.

The limit of what the sources allow

The Bolagsverket extract establishes legal existence and the registered control layer. It does not establish economic control.

What the extract cannot show:

  • The identity of shareholders in a private aktiebolag — that record is held by the company
  • Whether the registered beneficial owner in the verklig huvudman register reflects the actual economic beneficiary
  • Pledges (pantsättning) over shares, unless separately registered
  • Enforcement actions or payment defaults — those are at Kronofogdemyndigheten
  • Financial statements — those are filed separately with Bolagsverket but are not part of the extract; they require a separate order
  • Any structure above the Swedish entity: a foreign parent company does not appear in the Swedish register

The chain of control is established to the level that the Swedish registry layer permits. Where it stops, the report states why it stops and which source would be required to go further.

Where the sources disagree

Two situations produce source disagreement in the Swedish registry layer.

Bolagsverket vs. the internal shareholder register. The extract names the board. The board is appointed by shareholders. If the internal shareholder register has not been updated after a share transfer, the extract reflects a board appointed by a shareholder who no longer holds the shares. The extract is current; the underlying ownership may not be.

Bolagsverket vs. Euroclear. For listed companies, Euroclear Sweden holds the shareholder register. Discrepancies between the Bolagsverket filing and the Euroclear record have occurred following corporate actions. Both sources must be checked and compared.

Bolagsverket vs. Kronofogdemyndigheten. A company may appear active in the companies register while carrying enforcement actions at Kronofogdemyndigheten. The two registers are not synchronised in real time.

Where sources disagree, the report records both readings and identifies the date of each.

FAQ

What is the difference between the companies register extract and the shareholder register in Sweden?

The companies register extract (registerutdrag) is issued by Bolagsverket and shows the registered board, signing authority, share capital, and company status. The shareholder register (aktiebok) is a company document maintained by the company itself. Bolagsverket does not hold it. The two documents answer different questions: the extract shows who manages the company; the shareholder register shows who owns it.

How long does it take to obtain a certified extract from Bolagsverket?

The standard turnaround through the Bolagsverket online portal is one to three business days. Written requests may take longer. Certified translation into English is a separate step and adds time.

Does a Swedish companies register extract show insolvency proceedings?

Not reliably. Insolvency status may appear in the Bolagsverket register, but a recently filed petition may not yet be reflected. The Kronofogdemyndigheten register is the authoritative source for enforcement actions and payment defaults. Both sources must be checked independently.

Can a foreign applicant order a Swedish companies register extract without a Swedish e-ID?

Yes. Written applications to Bolagsverket do not require Swedish BankID. Authorised intermediaries can also obtain certified extracts on behalf of foreign applicants.

What does the beneficial ownership register in Sweden show?

The verklig huvudman register at Bolagsverket records the registered beneficial owner as declared by the company. It shows the name and certain identifying details of the person registered as the ultimate beneficial owner. It does not independently verify whether that declaration reflects the actual economic structure.

What is included in the Extended tier that is not in Standard?

The Extended tier adds an Euroclear Sweden shareholder register search for listed companies, the last two filed annual reports, a cross-check of all four sources with written discrepancy analysis, and a timeline of registered changes over the past five years.
