Who controls a German company is not established by the shareholder list alone. The shareholder list names the owners of record. Control is also shaped by what those owners have pledged, charged, or encumbered — and those facts sit in separate official registers, not in the Handelsregister entry. An extract from the relevant charges register establishes whether a shareholder's interest is already encumbered in favour of a third party, and whether the company's assets are subject to security rights that a buyer or counterparty would inherit.
Germany records security interests across several registers depending on asset type: the Grundbuch for immovable property, the Handelsregister for certain corporate pledges, and notarial records for pledges over GmbH shares. Each register has its own access conditions, language, and output format. Establishing the full encumbrance picture requires coordinated extraction from more than one source.

Germany does not operate a single "register of charges and pledges" in the way that Companies House in England and Wales maintains a charges register for all registered companies. Encumbrances are distributed across asset-specific registers, each governed by its own statute.
Grundbuch (Land Register). Immovable property charges — Grundschulden, Hypotheken, and Rentenschulden — are recorded in the Grundbuch maintained by the local Amtsgericht. Each parcel has its own folio. Section III of the folio lists all charges in order of registration, with the creditor, the secured amount, and the date of entry. The Grundbuch is not publicly searchable by company name; access requires the parcel identifier (Flurstück) or the address, and a demonstrated legitimate interest.
Handelsregister. Since 01.08.2022, the Handelsregister at handelsregister.de delivers register content and filed documents free of charge without registration. This includes Gesellschafterlisten (shareholder lists) and filed notarial deeds. A pledge over GmbH shares (Anteilsverpfändung) is typically recorded in a notarial deed and may be reflected in an amended Gesellschafterliste, but the pledge itself is not a mandatory Handelsregister entry. Its visibility depends on whether the parties chose to reflect it in the list.
Notarial records. Pledges over GmbH shares are created by notarial deed under § 15 GmbHG. The notary retains the original. There is no central notarial register searchable by third parties. The pledge is enforceable against the company once notified, but it does not appear in a publicly searchable register unless the Gesellschafterliste is updated to reflect the pledgee's position.
UCC-equivalent. Germany has no general filing system equivalent to the US UCC-1 for movable property security interests. Security over movables is typically created by transfer of title (Sicherungsübereignung) or assignment (Sicherungsabtretung), neither of which is registered anywhere. These interests are contractual and invisible to third-party register searches.

What the extract establishes for control analysis
The angle of control requires more than a list of shareholders. A shareholder whose interest is pledged to a lender has, in practice, constrained freedom of action. The pledgee may hold voting rights under the pledge agreement, or may have the right to enforce and transfer the shares on default. Neither fact appears on the face of the Gesellschafterliste unless the list has been amended to name the pledgee.
An encumbrance extract for control purposes therefore covers three layers:
- Land register extract (Grundbuchauszug): establishes whether real property owned by the company carries charges that a buyer would assume, and whether the secured amounts are consistent with disclosed financing.
- Handelsregister document set: establishes the current Gesellschafterliste, any filed notarial deeds referencing share pledges, and the chronological sequence of list amendments that may indicate undisclosed transfers or pledge enforcement events.
- Notarial deed review: where a pledge is suspected or disclosed, the relevant notarial deed is obtained and reviewed for voting rights, enforcement triggers, and notification to the company.
The combination of these three layers produces the most complete picture available from official sources. It does not produce a complete picture of all security interests over the company's assets.

Procedure and timeline
Step 1 — Identify the relevant registers. The company's registered seat determines the competent Amtsgericht for both the Handelsregister and the Grundbuch. The Handelsregister number (HRB or HRA) is required for document retrieval. Property parcel identifiers are obtained from the Liegenschaftskataster or from the company's filed balance sheet if real property is disclosed there.
Step 2 — Handelsregister extraction. The current register entry and all filed documents are retrieved via handelsregister.de. This is free of charge since 01.08.2022. The output is PDF. Processing is immediate for current documents; older scanned documents may require additional retrieval time.
Step 3 — Grundbuch request. A written request is submitted to the competent Amtsgericht Grundbuchamt, stating the legitimate interest. The legitimate interest must be substantiated; a general commercial interest is not sufficient. Typical substantiation includes a letter of intent, a due diligence mandate, or a creditor relationship. The Grundbuchamt issues a certified extract (beglaubigter Auszug) or an uncertified copy (einfacher Auszug) depending on the request. Turnaround varies by court; it is not standardised nationally.
Step 4 — Notarial deed retrieval. Where the Gesellschafterliste or other documents indicate a pledge, the relevant notarial deed is identified by deed number and notary. The notary is contacted directly. Access requires the consent of a party to the deed or a court order, unless the requesting party is itself a party. This step is not always completable from outside the transaction.
Step 5 — Compilation and gap notation. The extracted documents are compiled, translated where necessary, and presented with explicit notation of what could not be retrieved and why.

The limit of what the sources allow
The Handelsregister is free and accessible without registration. What the report provides is the removed path: identification of the correct court, retrieval of the full document set in sequence, language, and explicit notation of what the register does and does not contain.
The Grundbuch is not searchable by company name. Access requires the parcel identifier and a substantiated legitimate interest. Without both, the register is inaccessible to a foreign buyer acting alone. A negative result from the Grundbuch search does not establish that the company owns no real property; it establishes only that no charge was found on the parcels identified.
Pledges over GmbH shares are not mandatorily registered in any publicly searchable register. The Gesellschafterliste may or may not reflect a pledge, depending on the parties' choices. A Gesellschafterliste that does not name a pledgee does not establish that no pledge exists. It establishes only that no pledge has been reflected in the list.
Sicherungsübereignung and Sicherungsabtretung — the most common forms of movable property security in Germany — are contractual and leave no register trace. No official source establishes their existence or absence.
The ceiling of what the sources allow is stated before payment. The report names the layer at which the chain ends and the reason it ends there.

Where the sources disagree
A Gesellschafterliste showing a shareholder at 100% and a notarial deed reflecting a pledge of that same interest to a lender represent a factual divergence. The list is not wrong; the pledge is not reflected in it. Both documents are official. The divergence is itself a result.
Similarly, a balance sheet disclosing real property as an asset and a Grundbuch showing no charge on identified parcels may diverge if the property parcel identifiers used in the search do not cover all parcels owned. The gap between disclosed assets and identified parcels is noted explicitly in the report.
Where the Handelsregister chronology shows a sequence of Gesellschafterliste amendments at intervals inconsistent with disclosed transactions, that sequence is noted. The report does not interpret the sequence; it presents it with dates and document references.

FAQ
Does Germany have a single register of charges equivalent to the UK Companies House charges register? No. Germany records security interests across asset-specific registers: the Grundbuch for immovable property, the Handelsregister for certain corporate documents, and notarial records for share pledges. There is no unified charges register searchable by company name.
Is the Handelsregister free to access? Since 01.08.2022, handelsregister.de delivers register content and filed documents free of charge without registration, following DiRUG. Output is PDF and scanned documents; structured data is not available. What the report provides is the retrieval path, document sequencing, language, and gap notation — not access to a paid database.
Can a foreign buyer access the Grundbuch directly? Access to the Grundbuch requires a demonstrated legitimate interest under § 12 GBO, submitted in German to the competent Amtsgericht. A foreign buyer without a German address, a national identifier, or a German-language substantiation letter faces practical barriers that the report removes.
What does a pledge over GmbH shares look like in the register? A pledge over GmbH shares (Anteilsverpfändung) is created by notarial deed. It may or may not be reflected in the Gesellschafterliste. If it is not reflected, it does not appear in any publicly searchable register. The report identifies whether the Gesellschafterliste has been amended in a pattern consistent with a pledge, and flags the gap where the notarial deed cannot be retrieved without party consent.
How long does the extraction take? Handelsregister documents are retrieved immediately. Grundbuch requests depend on the competent Amtsgericht; turnaround is not standardised. Notarial deed retrieval depends on notary availability and party consent. The report timeline is stated at the time of the request based on the specific registers involved.
What is not established by a negative result? A negative result from the Grundbuch search on identified parcels does not establish that the company owns no real property. A Gesellschafterliste without a pledgee named does not establish that no pledge exists. A register search cannot establish the absence of contractual security interests that are not subject to registration.
