Counterparty in Germany: what can be established

The Handelsregister is Germany's central commercial register. It records who controls a registered company, who holds shares, and who is authorised to act on the company's behalf. Control — the question of who actually directs the entity and what a shareholder can enforce — is the first layer any cross-border buyer needs to resolve before a transaction proceeds.

Germany operates a civil-law registration system. Entries in the Handelsregister carry legal presumption of accuracy. That presumption does not extend to the beneficial owner behind a nominee structure, nor to the economic substance of a shareholding arrangement made outside the register.

What the Handelsregister records about control

The register entry (Registerblatt) for a GmbH contains the current managing directors and their scope of representation — sole authority or joint signature requirement. Every change of managing director triggers a mandatory filing. The current entry reflects the position as of the last filed change, not necessarily the position at the date of a past transaction.

The Gesellschafterliste is filed by the notary on every share transfer. The version in the register is the most recently filed list. It shows each shareholder's name, domicile, and nominal share amount. Percentage of voting rights is calculable from the nominal figures against the registered share capital.

For an AG (Aktiengesellschaft), the shareholder register (Aktionärsregister) is maintained by the company, not the Handelsregister. Registered shares (Namensaktien) appear there; bearer shares (Inhaberaktien) were abolished for non-listed companies by the Transparenzregister reform. The Handelsregister for an AG shows the board (Vorstand) and supervisory board (Aufsichtsrat), not the shareholders.

The Transparenzregister and beneficial ownership

Germany's Transparenzregister records the ultimate beneficial owner (wirtschaftlich Berechtigter) — defined as any natural person holding more than 25% of shares or voting rights, or exercising equivalent control by other means. The register is maintained by the Bundesanzeiger Verlag under mandate of the Geldwäschegesetz (GwG).

Access to the Transparenzregister requires registration and a declaration of legitimate interest. Since the CJEU ruling in joined cases C-37/20 and C-601/20 (November 2022), unrestricted public access to UBO registers across the EU has been suspended. German access rules require the requesting party to demonstrate a legitimate interest tied to anti-money-laundering purposes or a specific transaction context.

The Transparenzregister entry may show a name that matches the Gesellschafterliste — or it may show a different natural person sitting behind a corporate shareholder chain. Where the two records diverge, that divergence is itself a material finding.

For many GmbH structures, the Transparenzregister previously relied on the Mitteilungsfiktion — the fiction that registration in the Handelsregister satisfied the UBO filing obligation. Since 01.08.2021, that fiction was abolished. All entities must now file directly. Gaps in the Transparenzregister for older structures therefore indicate non-compliance, not absence of a beneficial owner.

Filed financial statements and the Bundesanzeiger

German GmbH and AG entities above certain size thresholds are required to file annual financial statements (Jahresabschlüsse) with the Bundesanzeiger. Small GmbH entities file a balance sheet only; medium and large entities file full accounts including profit-and-loss and notes.

The Bundesanzeiger (bundesanzeiger.de) publishes these filings. The depth of disclosure depends on the size classification under §§ 267–267a HGB. A micro-entity files a condensed balance sheet with no turnover figure. A large entity files consolidated accounts.

Failure to file triggers an enforcement procedure (Ordnungsgeldverfahren) by the Bundesamt für Justiz. The existence of an enforcement notice is itself a public record and indicates a filing gap.

Size class Balance sheet P&L Notes Turnover disclosed
Micro (§ 267a HGB) Condensed No No No
Small (§ 267 HGB) Yes No Condensed No
Medium (§ 267 HGB) Yes Yes Yes No
Large (§ 267 HGB) Yes Yes Full Yes

Insolvency and enforcement records

The Insolvenzbekanntmachungen portal (insolvenzbekanntmachungen.de) publishes court notices of insolvency proceedings opened under the Insolvenzordnung (InsO). A search by company name or registered court returns current and recent proceedings.

A negative result does not confirm the absence of a filed petition. A petition may have been filed and not yet published, or may have been rejected for insufficient assets (Abweisung mangels Masse) — a result that appears in the record but indicates the company had no assets to administer.

The Schuldnerverzeichnis (debtor register) held by the central portal of the Länder records enforcement failures — unpaid judgments, failed levy attempts, and statutory declarations of inability to pay. Access requires registration. The register covers natural persons and legal entities.

VAT and tax registration

The VIES system (ec.europa.eu/taxation_customs/vies) confirms whether a German VAT number (Umsatzsteuer-Identifikationsnummer, USt-IdNr.) is valid. For Germany, VIES returns a validity status only — it does not return the company name or address. An invalid result does not confirm that the entity does not exist; it confirms only that the number queried is not currently registered as active in the VIES database.

The Bundeszentralamt für Steuern (BZSt) issues VAT numbers and can confirm validity on request through its own portal. Tax registration status beyond VAT is not publicly accessible.

The limit of what the sources allow

The Handelsregister shows the registered shareholder, not the economic owner. A German GmbH may have a single corporate shareholder — a holding company in another jurisdiction — whose own ownership is not visible in the German record. The chain continues outside Germany, and the German register does not follow it.

The Gesellschafterliste shows nominal share percentages. It does not show voting agreements (Stimmbindungsverträge), shareholder agreements (Gesellschaftervereinbarungen), or drag-along and tag-along arrangements. These are contractual, not registered. A shareholder holding 26% on the register may have agreed to vote with the majority in all circumstances. The register does not show that.

The Transparenzregister shows the declared beneficial owner. It does not verify the declaration. Where the declared owner is a trust or foundation in a jurisdiction outside the EU, the German entry records the trustee or foundation board, not the settlor or beneficiary.

Filed financial statements show historical figures. The most recent filing may be two or more years old for a small entity. The filing does not show intra-group transactions at arm's length, related-party loans, or off-balance-sheet commitments unless disclosure is required by the applicable size class.

The insolvency record shows opened proceedings. It does not show a creditor's unpublished petition, a pre-insolvency restructuring under StaRUG (Unternehmensstabilisierungs- und -restrukturierungsgesetz), or informal creditor negotiations.

The ceiling of what the sources allow is stated before payment. Where a chain terminates at a foreign holding company, the report names the termination point and the reason.

Where the sources disagree

The Gesellschafterliste and the Transparenzregister entry may name different persons. This occurs when the registered shareholder is a corporate entity and the Transparenzregister names the natural person behind it — or when the Transparenzregister entry has not been updated following a share transfer.

The Bundesanzeiger filing and the Handelsregister entry may show different registered seats if a relocation was filed in the register but the company continued filing accounts under the old address. Both records are checked and any divergence is noted.

A VIES invalid result combined with an active Handelsregister entry indicates either a deregistered VAT number or a number issued under a different identifier than the one queried. The report records both findings without resolving the discrepancy — resolution requires direct contact with the BZSt.

Scope and fixed price

This register is public and free of charge. What is paid for is the removed path: registration, national identifier, language, electronic signature, and declaration of legitimate interest where required. The report also consolidates sources that do not cross-reference each other — Handelsregister, Transparenzregister, Bundesanzeiger, insolvency portal — into a single structured output with a stated verification date.

FAQ

What does the Handelsregister show for a GmbH? The current entry shows the registered name, legal form, registered seat, managing directors with their representation authority, and the most recently filed Gesellschafterliste. The Gesellschafterliste names each shareholder with their nominal share amount. Since 01.08.2022, this content is accessible without registration and without charge.

Does the Transparenzregister show the real owner? The Transparenzregister records the declared beneficial owner — the natural person who meets the statutory threshold under the Geldwäschegesetz. The declaration is made by the entity itself. The register does not independently verify the declaration. Where the declared owner sits behind a foreign structure, the German entry records the declared person, not the underlying settlor or beneficiary.

What happens if the company has not filed financial statements? An enforcement procedure (Ordnungsgeldverfahren) is initiated by the Bundesamt für Justiz. The notice of that procedure is itself a public record. A gap in filings is noted in the report as a finding, not treated as an absence of information.

Can a foreign buyer access the Transparenzregister? Access requires registration on the portal and a declaration of legitimate interest. The declaration must be tied to a specific purpose — typically an anti-money-laundering check or a defined transaction. A general research interest does not satisfy the requirement under current German practice.

What does a negative insolvency search result mean? A negative result means no published insolvency notice was found at the time of the search. It does not confirm that no petition has been filed. A petition may be pending publication, or may have been rejected for insufficient assets — a result that appears in the record separately.

What is a GmbH & Co. KG and why does it require two register entries? A GmbH & Co. KG is a limited partnership (KG) whose general partner (Komplementär) is a GmbH. The GmbH and the KG are registered separately. The KG entry names the GmbH as general partner; the GmbH entry shows the GmbH's own shareholders and directors. Both entries are required to trace control to the natural person level.
