Tax and VAT status in Germany

Tax registration and VAT status in Germany are verifiable through official channels. What those channels confirm — and what they deliberately withhold — shapes every cross-border transaction involving a German counterparty. Control over a German entity cannot be read from tax records alone. The tax register confirms that a legal person exists and is registered; it does not identify who directs that person or what obligations have accumulated.

VAT identification in Germany: what the query returns

Germany participates in the EU VIES system. A query against a German VAT number (DE followed by nine digits) returns one of two results: valid or invalid.

A valid result confirms that the number is active and assigned to a taxable person registered with the BZSt. It does not return the name or address of that person. This is a deliberate restriction under German data protection practice. The result confirms existence — nothing more.

An invalid result does not confirm that the entity does not exist. It may indicate a deregistered number, a formatting error, or a number that was never issued. Each of these has a different implication for due diligence.

The VIES system is a query tool, not a database. It does not store historical validity records in a form accessible to third parties. A query run today does not establish what the status was six months ago.

Corporate tax registration: the Steuernummer layer

Every German legal entity — GmbH, AG, UG, partnership — receives a Steuernummer from the Finanzamt of the jurisdiction in which it is registered. This number is distinct from the VAT identification number and is used for corporate income tax (Körperschaftsteuer), trade tax (Gewerbesteuer), and withholding tax matters.

The Steuernummer is not publicly searchable. It does not appear in the Handelsregister. An entity may voluntarily disclose it on invoices and correspondence, but there is no obligation to do so in most contexts.

Verification of a Steuernummer requires either the entity's cooperation or a formal legal basis. Tax authorities operate under the Steuergeheimnis — the statutory duty of tax secrecy under § 30 AO. Disclosure to third parties, including foreign counterparties or their advisers, is not permitted without a qualifying statutory exception.

Trade tax registration and the Gewerbesteuer layer

German entities subject to trade tax (Gewerbesteuer) are registered with the municipal tax authority (Gemeinde or Finanzamt, depending on the Land). Trade tax registration is not separately searchable by third parties. Its existence can be inferred from the entity's legal form and activity, but the registration record itself is not public.

The trade tax multiplier (Hebesatz) varies by municipality. This affects the effective tax burden of a German entity but is not disclosed in any public register at the entity level.

Tax clearance certificates: what they confirm and how they are issued

A Steuerliche Unbedenklichkeitsbescheinigung (tax clearance certificate) is issued by the competent Finanzamt on request. It confirms that the requesting entity has no outstanding tax liabilities known to that authority at the time of issue.

Several points limit the evidentiary value of this document:

  • It is issued to the entity, not to a third party. The entity must request it and choose to disclose it.
  • It reflects the position at the date of issue. It does not cover liabilities that arise after that date or liabilities not yet assessed.
  • It covers only the taxes administered by the issuing Finanzamt. Liabilities with other authorities — customs, social insurance, municipal charges — are not reflected.
  • It is not a guarantee of solvency or absence of tax disputes.

In acquisition contexts, a tax clearance certificate is a standard document requested from the seller. Its absence is informative; its presence is not conclusive.

Control and the tax layer: where the connection breaks

The angle of control — who actually directs the entity and what a shareholder can enforce — is not answered by tax records. Tax registration is assigned to the legal entity, not to its controllers.

The Handelsregister discloses the managing directors (Geschäftsführer) of a GmbH and the board members of an AG. The Gesellschafterliste filed with the Handelsregister discloses shareholders with holdings above one percent. These are the sources for the control layer.

Tax records do not cross-reference the Gesellschafterliste. A change of shareholder does not automatically trigger a change in tax registration. The entity's Steuernummer remains the same through ownership changes unless the entity itself is restructured.

The consequence: a buyer verifying control across a German entity must combine the Handelsregister layer (ownership and directors), the Gesellschafterliste (shareholders), and the tax layer (registration status and clearance). No single source answers all three questions.

Insolvency intersection: what the tax register does not show

Tax liabilities are among the most common triggers for insolvency proceedings in Germany. However, the tax register does not disclose whether insolvency proceedings have been filed or opened. That information sits in the Insolvenzbekanntmachungen portal and the Handelsregister.

A negative result in the insolvency register does not guarantee that no application has been filed. There is a gap between filing and publication. During that gap, the entity appears clean in all public registers.

A tax clearance certificate issued during that gap would still be formally valid. It would not reflect a liability that had not yet been assessed or a proceeding that had not yet been published.

The limit of what the sources allow

The German tax layer answers one question reliably: whether a VAT number is currently active. It does not answer who controls the entity, what tax liabilities have accumulated, whether an audit is pending, or whether the entity is solvent.

The Steuergeheimnis under § 30 AO is a hard ceiling. It is not a procedural obstacle that can be overcome with the right application form. Disclosure requires a statutory exception. For a foreign buyer without a pending legal proceeding in Germany, no such exception applies in the ordinary course.

What can be established from the combination of public sources:

  • VAT number validity (BZSt / VIES)
  • Legal existence and registered directors (Handelsregister)
  • Shareholder structure above one percent (Gesellschafterliste, handelsregister.de)
  • Filed financial statements for entities subject to publication obligations (Bundesanzeiger)
  • Insolvency status (Insolvenzbekanntmachungen)
  • Trade register extract including registered address and object of business (Handelsregister)

What cannot be established from public sources without the entity's cooperation:

  • Steuernummer and tax file contents
  • Outstanding tax assessments or disputes
  • Audit status or pending tax proceedings
  • Tax liabilities not yet assessed or published
  • Beneficial ownership beyond the Gesellschafterliste threshold

The chain breaks at the Gesellschafterliste. Shareholders holding below one percent are not disclosed. Indirect holdings through foreign holding structures are disclosed only to the extent that the intermediate entity appears in the German register.

Where the sources disagree

The Handelsregister and the Gesellschafterliste are updated on different timelines. A share transfer takes effect between the parties on execution of the notarial deed. The Gesellschafterliste is updated by the managing director (or the notary) after the transfer. There is no fixed statutory deadline for this update in all cases.

The result: the Gesellschafterliste may reflect a prior ownership structure for weeks or months after a transfer. A buyer relying solely on the current Gesellschafterliste may be reading a stale record.

The Handelsregister entry for the managing director is updated on registration of the change. This also takes time. During the gap, the registered director may no longer be in office.

Cross-referencing the Gesellschafterliste date against the Handelsregister filing history identifies whether recent changes have been made and whether the current entries are likely current. This cross-reference is part of the analytical work, not a result the register delivers automatically.

FAQ

Does a valid German VAT number confirm the identity of the counterparty? No. The BZSt VIES node returns valid or invalid for German numbers. It does not return the name or address of the registered person. Identity confirmation requires a separate step using the Handelsregister or a document provided by the entity itself.

Can a third party request a German tax clearance certificate directly from the Finanzamt? No. The certificate is issued to the entity on its own request. A third party cannot obtain it directly. In a transaction, the standard practice is to require the entity to obtain and disclose the certificate as a condition of closing.

Does the Gesellschafterliste show all shareholders? The Gesellschafterliste discloses shareholders holding one percent or more of the share capital. Holdings below that threshold are not disclosed. Indirect holdings through foreign entities appear only if the intermediate entity is itself registered in Germany.

What does the Handelsregister show about control? The Handelsregister shows the managing directors (Geschäftsführer) of a GmbH, the board members of an AG, and the registered address and object of business. It does not show who instructs the directors or what shareholder agreements govern voting rights.

Is the Handelsregister free to access? Since 1 August 2022, handelsregister.de provides register contents and filed documents including Gesellschafterlisten and Jahresabschlüsse at no charge and without registration. Output is in PDF and scan format; structured data is not available. Certified extracts carry a fee set by the registrar's tariff.

What is the Steuergeheimnis and why does it matter for due diligence? The Steuergeheimnis is the statutory duty of tax secrecy under § 30 AO. It prohibits tax authorities from disclosing information about a taxpayer to third parties without a qualifying statutory exception. For a foreign buyer conducting due diligence, no such exception applies in the ordinary course. The tax file is inaccessible without the entity's cooperation or a court order in pending proceedings.
