Germany has no single public register of charges and pledges. Security interests over assets are recorded across several separate systems. Which system applies depends on the asset class. An international buyer verifying a German target must consult each system independently.
Control over a German company is not fully visible from one source. A shareholder may hold a majority stake while the company's assets are encumbered to the point where economic control rests elsewhere. Identifying that gap requires crossing the corporate register, the land register, and the commercial credit register.

Source: Handelsregister / BNotK guidance · verified 2026-09-15 What it does not showThere is no general register of pledges over movable assets, receivables, or intellectual property in Germany. Security assignments (Sicherungsübereignung, Sicherungszession) are contractual and not publicly recorded. Condition of accessGrundbuch access requires a demonstrated legitimate interest (berechtigtes Interesse) under § 12 GBO. Access is not automatic for foreign applicants without a stated purpose.German security law is asset-class specific. No omnibus charges register exists. The framework divides as follows.
Real property. The Grundbuch is the authoritative source for charges over land and buildings. It records Grundschulden (the dominant instrument in practice), Hypotheken, and Rentenschulden. Each entry names the creditor, the amount, the rank, and any conditions. The Grundbuch is maintained by the Grundbuchamt, a division of the local Amtsgericht.
Registered movables. Ships registered in the German ship register and aircraft on the German aircraft register carry their own charge registers. These are specialist systems with narrow asset scope.
GmbH shares. A pledge over GmbH shares requires notarial certification. The pledge is not entered in the Handelsregister and does not appear in any public record. The Gesellschafterliste filed at the Handelsregister shows ownership but not encumbrances on that ownership.
Movable assets and receivables. Germany relies on non-possessory security assignments (Sicherungsübereignung for tangibles, Sicherungszession for receivables) rather than a registered charge. These instruments are entirely contractual. No public register records them.
Intellectual property. Charges over trademarks registered at the DPMA (Deutsches Patent- und Markenamt) can be noted in the trademark register. Patent charges follow the same principle at the DPMA. These entries are searchable but require knowledge of the specific IP asset.

The Grundbuch is not an open register. Access is governed by § 12 of the Grundbuchordnung (GBO). A person seeking inspection must demonstrate a legitimate interest (berechtigtes Interesse). Accepted grounds include ownership, a contractual relationship with the owner, a pending transaction, and enforcement proceedings.
Foreign applicants without a German address or a German legal representative face a practical barrier. The Grundbuchamt assesses the stated interest. Requests without adequate documentation are refused. There is no online portal providing unrestricted access to Grundbuch entries.
Certified extracts (beglaubigte Abschriften) are available on request. Uncertified informational extracts (Abschriften) are also available where legitimate interest is established. The cost of each extract is set by the Grundbuchgebührenordnung; exact tariffs are published by the individual Grundbuchamt and vary.

The Handelsregister at handelsregister.de is freely accessible without registration since the DiRUG reform of 1 August 2022. It provides the Gesellschafterliste (list of shareholders with share percentages), filed documents, and annual financial statements where filed.
The Handelsregister does not record:
A clean Handelsregister entry does not indicate that the shares or assets are unencumbered. It indicates only that no registrable event has been filed.

SCHUFA Holding AG and comparable commercial credit bureaux (Creditreform, Bürgel) hold credit data on German legal entities. These are private databases, not public registers. Access is subject to contractual arrangements with the bureau.
Commercial credit reports may indicate outstanding credit facilities, payment defaults, and insolvency proceedings. They do not disclose the terms of individual security agreements or the specific assets charged.
The Schuldnerverzeichnis (debtor register) maintained by the central portal vollstreckungsportal.de records enforcement-related entries: affidavits of inability to pay (Vermögensauskunft) and enforcement blocks. This register is publicly searchable by name and registered address.

The Insolvenzbekanntmachungen portal (insolvenzbekanntmachungen.de) publishes court notices of insolvency proceedings. Entries include the debtor's name, the court, the case stage, and the appointed administrator.
A negative result in this register does not confirm the absence of a filed application. An application may have been filed and not yet published. The publication lag is set by the Insolvenzordnung but varies in practice.

The DPMA trademark and patent registers record security interests when the right holder files a notation request. The entry names the secured creditor and the right concerned. The DPMA register is publicly searchable at dpma.de without registration.
A charge over a trademark or patent that has not been notified to the DPMA does not appear in the register. The absence of a DPMA entry does not confirm the IP is unencumbered; it confirms only that no notation has been filed.

The Grundbuch shows charges over real property with precision. For every other asset class, the picture is partial or absent.
Pledges over GmbH shares are not publicly recorded. A buyer cannot confirm from any register whether the shares being acquired are pledged to a bank or another creditor. The only way to establish this is through contractual disclosure by the seller or through direct inquiry to the company's financing banks — neither of which is a registry function.
Security assignments over movable assets and receivables are invisible to any public source. A company may have assigned its entire receivables book as security for a revolving credit facility. No register will show this. The Handelsregister, the Grundbuch, and the DPMA together do not cover this exposure.
The Grundbuch is authoritative for land charges but is not freely accessible. A foreign applicant without a demonstrated legitimate interest will not obtain an extract. The legitimate interest requirement is assessed by the Grundbuchamt on a case-by-case basis. Refusal is possible.
The insolvency register shows published proceedings. It does not show applications filed but not yet published, or informal restructuring arrangements outside formal insolvency.
The ceiling of what the sources allow is stated before any work begins. Where a register does not record an instrument, that gap is named explicitly — not papered over.
The Handelsregister Gesellschafterliste may show a shareholder holding 100% of a GmbH. The same shareholder may have pledged those shares to a secured creditor under a notarially certified pledge agreement. The Handelsregister will show no encumbrance. The two sources do not contradict each other — they simply cover different things. The gap between them is where the control question lives.
Similarly, a company's annual financial statements filed at the Handelsregister may disclose long-term liabilities without specifying which assets are charged. The Grundbuch for the company's property may show a Grundschuld in favour of a bank. The financial statements and the Grundbuch together give a partial picture; neither alone is sufficient.
Where sources produce different signals about the same fact, that divergence is reported as a result — not resolved by assumption.
Does Germany have a single register of all charges and pledges? No. Germany has no omnibus charges register. Security interests are recorded in asset-specific systems: the Grundbuch for real property, the DPMA for IP, specialist registers for ships and aircraft. Charges over movables, receivables, and GmbH shares are not publicly recorded.
Can a foreign buyer access the Grundbuch directly? Access requires a demonstrated legitimate interest under § 12 GBO. A foreign buyer without a German address or representative must state the purpose of the request. The Grundbuchamt assesses each application. Access is not guaranteed and is not available through an open online portal.
Does a clean Handelsregister entry mean the shares are unencumbered? No. The Handelsregister records ownership and filed documents. It does not record pledges over GmbH shares. A share pledge requires notarial form but produces no Handelsregister entry. A clean entry confirms only that no registrable event has been filed.
What does the insolvency register show? The Insolvenzbekanntmachungen portal shows published court notices of insolvency proceedings. It does not show applications filed but not yet published. A negative result is not a confirmation of solvency.
Are charges over intellectual property publicly visible? Only if the right holder has filed a notation request with the DPMA. The DPMA register is publicly searchable. An unnotified charge over a trademark or patent will not appear.
What is not covered by any public source in Germany? Security assignments over movable assets (Sicherungsübereignung) and receivables (Sicherungszession) are contractual instruments with no public registration requirement. They are invisible to all public registers.
