Director and ubo in Spain: what can be established

Control in a Spanish company is distributed across two distinct layers. The first layer — appointed directors, registered powers, and filed accounts — is held in the Registro Mercantil. The second layer — the ultimate beneficial owner — is held in the Registro de Titularidades Reales, a separate register with access conditions that differ materially from the commercial registry. Establishing who controls a Spanish entity requires reading both layers together and naming the point where each one stops.

The Registro Mercantil records the legal face of control: who is appointed, when, with what powers, and for how long. It does not record who instructed the appointment. The gap between those two facts is where the analysis begins.

What the Registro Mercantil records about directors

The Registro Mercantil holds the public record of every Spanish mercantile entity. For a sociedad limitada or sociedad anónima, the register contains the deed of incorporation, all subsequent amendments, and every appointment and cessation of administrators.

A certified extract — the nota simple or certificación — names each current administrator, states the date of appointment, the duration of the mandate if limited, and the scope of representation: sole, joint, or joint and several. Registered powers of attorney granted to third parties appear as separate entries. Where a consejo de administración exists, each member is listed individually.

Filed annual accounts — cuentas anuales — are submitted to the Registro Mercantil of the province where the registered office is located. The accounts include the balance sheet, the profit-and-loss account, and the notes. For entities above the audit threshold, the auditor's report is filed alongside. Accounts for a given financial year are due within seven months of year-end; late filing is common and the gap between the filing date and the period covered is itself a data point.

The register does not record informal control arrangements, shareholder agreements held outside the deed, or instructions given to directors by persons not themselves registered. A director of record may act under instruction from a person who appears nowhere in the register.

Shareholder structure and the limits of the commercial registry

For a sociedad limitada, the shareholders — socios — and their percentage holdings are recorded in the deed of incorporation and in subsequent notarial deeds reflecting transfers. These deeds are filed with the Registro Mercantil. A current shareholding list is therefore reconstructable from the chain of filed deeds, though it requires reading the full document history rather than a single extract.

For a sociedad anónima with bearer shares issued before the 2015 reform, the register does not contain a current shareholder list. Registered shares in a sociedad anónima are recorded in the libro registro de acciones nominativas, which is a private company book, not a public register. The Registro Mercantil holds the capital structure but not the identity of individual shareholders unless they are also directors or unless a shareholder agreement has been notarised and filed.

Nominee arrangements are not prohibited under Spanish law. A registered socio may hold on behalf of an undisclosed principal. The commercial registry has no mechanism to flag this.

The beneficial owner register: declared data and access conditions

Spain implemented the EU's beneficial ownership register through Royal Decree 609/2023, creating the Registro de Titularidades Reales under the Ministerio de Justicia. Entities subject to Spanish AML obligations must declare their ultimate beneficial owners — titulares reales — defined as natural persons holding, directly or indirectly, 25% or more of capital or voting rights, or exercising control by other means.

The declaration is self-reported by the entity. The register does not independently verify the accuracy of the declaration against the underlying ownership chain. A declaration that a natural person holds 30% is a statement by the entity, not a confirmed fact established by the register.

Following the CJEU judgment in Joined Cases C-37/20 and C-601/20 (Luxembourg Business Registers, November 2022), Spain restricted public access to the register. Access is now available to competent authorities, obliged entities under AML legislation acting within their due-diligence obligations, and third parties who can demonstrate a legitimate interest. The assessment of legitimate interest is conducted case by case. There is no automatic right of access for a foreign buyer conducting pre-acquisition due diligence.

Where access is obtained, the register shows the declared beneficial owner's name, nationality, country of residence, and the nature and extent of the interest held. It does not show the intermediate holding structure through which the interest is held.

Insolvency and enforcement records

The Registro Público Concursal, maintained by the Colegio de Registradores, records insolvency proceedings — concurso de acreedores — opened against Spanish entities and individuals. A search against the company name and CIF returns active proceedings and, for concluded proceedings, the classification of the insolvency as fortuita or culpable.

Two limitations apply. First, under Article 6 of Royal Decree 892/2013, personal data relating to natural persons is removed from the public register after the expiry of statutory retention periods. An absence of a record does not confirm that no proceeding has occurred; it may reflect a concluded and purged entry. Second, the register records proceedings opened under Spanish jurisdiction. A Spanish entity that is also subject to proceedings in another member state may appear in that state's register without a corresponding Spanish entry.

The Registro de la Propiedad records charges and encumbrances over real property. It is a separate register from the Registro Mercantil and requires a separate search by property reference. A company search in the Registro Mercantil returns no information about real property holdings or charges over them.

The limit of what the sources allow

The Registro Mercantil establishes the legal layer of control with precision: who is appointed, when, with what powers, and what the filed accounts show. It does not establish who exercises actual control over the appointed director, who is party to an undisclosed shareholder agreement, or who holds shares through a nominee.

The Registro de Titularidades Reales holds a declared beneficial owner. The declaration is self-reported. Access requires a demonstrated legitimate interest. Even where access is obtained, the register shows the declared end-point of the ownership chain, not the intermediate structure. A chain that passes through a non-Spanish holding entity is declared at the Spanish level; the intermediate entity's own ownership structure is not visible in the Spanish register.

The ceiling of what the sources allow is stated before payment. Where the chain terminates at a foreign holding entity, the analysis names that entity, states its jurisdiction, and identifies what a parallel search in that jurisdiction's register would require. It does not extend into that jurisdiction without a separate instruction.

For a sociedad anónima with a complex capital structure, the shareholder layer below the beneficial owner threshold — holdings between, say, 5% and 24% — is not visible in any public register. The filed accounts show aggregate capital; they do not show individual minority holdings.

The analysis establishes what the sources show, names what they do not show, and states at which point in the chain the record stops and why.

FAQ

What is the difference between a director of record and a beneficial owner in Spain? A director of record — administrador — is the natural or legal person appointed by the shareholders and registered in the Registro Mercantil. The beneficial owner — titular real — is the natural person who ultimately owns or controls the entity, declared in the Registro de Titularidades Reales. The two may be the same person or entirely different persons. The commercial registry does not cross-reference the beneficial owner register.

Can a foreign buyer access the Spanish beneficial owner register? Access is restricted following the CJEU judgment of November 2022. A foreign buyer conducting pre-acquisition due diligence is not automatically entitled to access. A legitimate-interest declaration must be submitted and assessed. The outcome is not guaranteed. The analysis identifies what can be obtained and what cannot, before the instruction is placed.

Does an absence of an insolvency record confirm that the company is solvent? No. The Registro Público Concursal records open proceedings and some concluded proceedings. Personal data is removed after statutory retention periods expire. An absence of a record means no current open proceeding is visible in the register; it does not confirm that no proceeding has occurred or that no proceeding is imminent.

What does the filed annual account show about control? The filed accounts show the aggregate financial position of the entity. They do not show individual shareholder identities or holdings unless those are disclosed in the notes. For entities above the audit threshold, the auditor's report is filed alongside and may contain qualifications relevant to the analysis. The accounts are a financial record, not a control record.

How current is the information in the Registro Mercantil? The register reflects filings made. A director appointment takes effect from the date of the shareholders' resolution; registration follows after notarisation and filing, which may take weeks. The register shows the last filed state, not necessarily the current legal state. The gap between the resolution date and the registration date is noted in the analysis where it is material.

What happens when the shareholder is itself a company? The Registro Mercantil records the legal entity as shareholder. It does not record who owns that entity. Where the shareholder is a Spanish entity, a parallel search can be conducted. Where the shareholder is a foreign entity, the analysis names the entity, its jurisdiction, and the register in which its own ownership structure would be recorded. A search in that register requires a separate instruction.
