A nominee arrangement in Spain places a formal shareholder or director on record while the principal retains economic interest and decision-making authority. The Registro Mercantil records the nominee's name. It does not record the principal's name. That gap is the starting point of any verification exercise.
Control in a Spanish company is exercised through the shareholder register, the articles of association, and any side agreements between the nominee and the principal. The Registro Mercantil shows the first layer. The second and third layers require a different approach.
What the Registro Mercantil showsRegistered shareholders, directors, and capital structure by name and percentage. Source: Registro Mercantil Central · verified 10.09.2026 What it does not showNominee agreements, side letters, or the identity of the economic beneficiary behind a registered shareholder. Access conditionThird-party access to filed documents requires a legitimate interest declaration and payment of registry fees. No tariff figures are available for this row; the mechanism is described without amounts. UBO register statusSpain transposed the EU beneficial ownership framework. Following CJEU C-37/20, public access to UBO data is restricted by default. Access conditions must be verified before any request is submitted.Spanish companies — primarily the Sociedad de Responsabilidad Limitada (SRL) and the Sociedad Anónima (SA) — file their shareholder and director data with the provincial Registro Mercantil. The Central Registro Mercantil aggregates this data nationally.
The filed record shows the nominee as the legal shareholder. The percentage held, the date of acquisition, and the class of shares are on record. The nominee's director appointment, if any, appears in the same filing.
What the record does not show is the contractual relationship between the nominee and the principal. A nominee agreement — whether a trust declaration, a power of attorney, or a side letter — is a private document. It is not filed. It does not appear in any public register.
The Registro Mercantil also holds the company's articles of association (estatutos sociales). These govern voting rights, quorum requirements, and transfer restrictions. Where a nominee holds shares subject to a usufruct or pledge, that encumbrance may appear in the articles or in a separate filing. It is not always visible from the shareholder entry alone.

In an SRL, the management structure is either a sole administrator (administrador único), a joint administration, or a board of directors. The Registro Mercantil records which structure applies and who holds each position.
A nominee director appears on record with full administrative authority. The principal's instructions to that director are not on record. Any restriction on the nominee director's authority — for example, a requirement to obtain the principal's consent before signing — exists only in the private nominee agreement.
The practical consequence: a third party reading the Registro Mercantil entry sees an unrestricted administrator. The actual control relationship is invisible at this layer.
Where a power of attorney (poder notarial) has been granted by the nominee director to the principal, that power may be filed with a notary and registered. It may also be held privately. The existence of a filed power is verifiable; the existence of an unfiled power is not.

Spain implemented the EU's beneficial ownership register as part of its anti-money laundering framework. The register records the ultimate beneficial owner (UBO) of Spanish legal entities — defined as any natural person holding, directly or indirectly, more than 25% of shares or voting rights, or otherwise exercising effective control.
Following the CJEU judgment in C-37/20 (November 2022), unrestricted public access to UBO registers across EU member states was held to be incompatible with fundamental rights. Spain, in line with the majority of EU jurisdictions, restricted public access by default.
Access to Spanish UBO data now requires demonstration of a legitimate interest. The conditions for that demonstration, and the authority competent to assess it, must be verified against current administrative practice before any request is submitted.
The consequence for nominee verification: the UBO register may show the principal where the nominee holds more than 25%. It may not be accessible without a formal access procedure. And it may not show the principal at all where the nominee structure is designed to remain below the 25% threshold.

Spanish SRLs and SAs are required to file annual accounts (cuentas anuales) with the Registro Mercantil. The filing includes the balance sheet, profit and loss account, and notes. For larger entities, an audit report is also filed.
The accounts show the company's financial position. They do not identify the beneficial owner. They do not disclose the terms of any nominee arrangement. They may, however, show related-party transactions — loans, service agreements, or transfers — that indicate the economic relationship between the company and a connected person.
Where the principal is a creditor of the company, that relationship may appear in the notes to the accounts. Where the principal receives management fees, those may appear as operating expenses. These entries are not labelled as nominee-related; they require interpretation against the full documentary record.

The Registro Público Concursal records insolvency proceedings (concurso de acreedores) against Spanish legal entities and natural persons. A search against the nominee's name and the company's name is a standard step in any verification exercise.
Two limitations apply. First, personal data in the Registro Público Concursal is removed after the statutory retention period expires, in accordance with Article 6 of Royal Decree 892/2013. A negative result does not confirm the absence of a historical proceeding. Second, a filed insolvency application that has not yet been admitted by the court may not appear in the register at the time of search.
Enforcement proceedings against shares — embargos — may be noted in the Registro Mercantil entry for the company. They may also be recorded in the notarial protocol if the shares are subject to a pledge. Both layers require separate verification.

The Registro Mercantil shows the formal ownership and management layer. It does not show the economic layer.
A nominee arrangement is, by design, a separation between the two. The sources that are publicly accessible — or accessible with a legitimate interest declaration — record the nominee. They do not record the principal. That is not a gap in the data; it is the function of the arrangement.
What can be established from official sources:
What cannot be established from official sources alone:
The ceiling of what the sources allow is stated before payment. No report produced from these sources can establish what the sources do not contain.
A discrepancy between the Registro Mercantil shareholder entry and the UBO register entry is itself a result. It indicates that the registered shareholder and the beneficial owner are different persons — which is the defining characteristic of a nominee arrangement.
Where the annual accounts show related-party transactions with a person who does not appear in the shareholder register, that discrepancy is also a result. It does not identify the principal, but it identifies a relationship that warrants further examination.
Where the articles of association grant veto rights or consent requirements that are not reflected in the standard management structure, that discrepancy indicates a contractual control mechanism. The identity of the person holding that mechanism may or may not be on record.
Discrepancies between sources are documented in the report. They are not resolved by assumption.

Does a nominee arrangement in Spain appear anywhere in the official record? The nominee's name appears in the Registro Mercantil as the registered shareholder or director. The arrangement itself — the agreement between the nominee and the principal — is a private document and does not appear in any public register. The UBO register may show the principal, subject to the access procedure described above.
Can the principal enforce rights against the nominee through the courts? This page describes what official sources show. The question of enforcement rights and the applicable procedure is a legal question. It falls outside the scope of this report. For advice on your particular situation, contact info@vlolawfirm.com.
What does a negative result in the Registro Público Concursal mean? A negative result means no current insolvency proceeding is recorded against the searched name within the retention period. It does not confirm the absence of a historical proceeding. Personal data is removed after the statutory period under Article 6 of Royal Decree 892/2013.
Is the UBO register in Spain publicly accessible? Following CJEU C-37/20, public access is restricted by default. Access requires demonstration of a legitimate interest. The current administrative practice governing that demonstration must be verified before any request is submitted.
What is the difference between the Signal and Standard tiers? Signal covers the formal ownership and management layer: the Registro Mercantil extract, insolvency search, and filed encumbrances. Standard adds annual accounts, the UBO access procedure, and a cross-source discrepancy analysis. Extended adds notarial protocol review and a full documentary discrepancy report.
