Nominee in Germany

Germany operates one of the most transparent corporate registries in the EU. The Handelsregister names every shareholder of a GmbH by full name and share percentage. A nominee arrangement does not erase that record — it shifts it. The question of control turns on who holds the share on paper, what side agreements exist, and whether those agreements are filed anywhere accessible.

The angle here is control: who actually directs the company, and what can a shareholder enforce against a nominee. Both questions begin at the same source — the Gesellschafterliste filed with the Handelsregister.

What the Handelsregister discloses about nominee structures

The Gesellschafterliste is the central instrument. Every GmbH must maintain a current list of shareholders, filed with the Handelsregister and updated on any change of ownership. The list names each shareholder, their share amount, and their percentage of the registered capital.

A nominee shareholder appears on that list under their own name. The principal does not appear at all — unless a separate instrument places them there. This is the structural feature that makes nominee arrangements in Germany both legally coherent and analytically opaque.

The Handelsregister also holds the articles of association (Gesellschaftsvertrag), all amendments, and resolutions filed over the company's life. These documents can reveal whether special voting rights, veto provisions, or consent requirements have been written into the constitutional documents. They do not reveal what was agreed privately between a nominee and the person who instructed them.

Since 01.08.2022, the full content of the Handelsregister — including the Gesellschafterliste and filed documents — is accessible at handelsregister.de without registration and without a fee for document retrieval. What a professional service provides is the removed path: identifying the correct registration court, locating the entity by national identifier, reading German-language filings, and assembling the record into a structured analytical output.

Control: what the shareholder list establishes and what it does not

The Gesellschafterliste establishes legal title. It does not establish beneficial ownership, economic interest, or the instruction relationship between a nominee and a principal.

Under German law, a nominee shareholder holds the share in their own name. The principal's rights — if any — derive from a separate agreement: a Treuhandvertrag (trust agreement) or equivalent instrument. That agreement is private. It is not filed with the Handelsregister. It is not publicly accessible.

What this means for a cross-border buyer: the Handelsregister confirms who holds the share of record. It does not confirm whether that person acts on their own account or on instruction. The gap between those two facts is the analytical problem that a nominee report addresses.

Several indicators in the filed record can point toward a nominee arrangement without confirming it:

  • A shareholder who appears on the Gesellschafterliste but holds no director appointment and has no visible operational role in filed documents
  • Share transfers at nominal value between parties with no apparent commercial relationship
  • Articles of association that grant unusual consent rights to a non-shareholder or to a person identified only by function

None of these indicators is conclusive. Each requires cross-referencing against additional sources.

Transparency register and the UBO layer

Germany maintains a Transparenzregister (transparency register) under the Geldwäschegesetz. Since 01.08.2021, Germany operates a full register: all legal entities must file beneficial ownership data directly, regardless of whether that information is already apparent from other public registers.

Access to the Transparenzregister is subject to a legitimate interest requirement following the CJEU judgment in C-37/20 (November 2022). Public access without declared interest is no longer available as a default. The access regime is subject to ongoing regulatory development; the current conditions should be verified against the register's published access rules at the time of any specific enquiry.

What the Transparenzregister is designed to capture is the ultimate beneficial owner (UBO): the natural person who ultimately owns or controls the entity, directly or through a chain. In a nominee structure, the principal — if they meet the threshold — should be recorded as the UBO. Whether the filing is accurate, current, and complete is a separate question from whether the register exists.

Director appointments and the management layer

The Handelsregister records the managing director (Geschäftsführer) of every GmbH. The appointment, the scope of authority, and any restrictions on solo signing rights are all filed. This layer is relevant to control analysis: in a nominee structure, the principal sometimes retains management control by holding the director appointment while the nominee holds the share.

The reverse is also common: the nominee holds both the share and the director appointment, with the principal exercising control through private instruction. The filed record cannot distinguish between these two configurations. It records the appointment; it does not record the instruction.

Cross-referencing the shareholder list against the director register identifies whether the same person holds both roles. It does not establish who gives the orders.

Insolvency and enforcement record

The Insolvenzbekanntmachungen portal publishes insolvency proceedings for German entities. A search against the company name and registered court can establish whether a proceeding has been opened, is pending, or has been concluded.

A negative result does not guarantee the absence of a filed application. There is a gap between filing and publication. For enforcement purposes, the Schuldnerverzeichnis (debtor register) held by the central portal records enforcement measures against natural persons, including nominee shareholders acting in their own name.

Neither source addresses the principal's position directly. If the nominee is subject to enforcement, the effect on the underlying share depends on the terms of the Treuhandvertrag — a document that is not in the public record.

The limit of what the sources allow

The Handelsregister is a record of legal title, not of economic interest or instruction. It names the nominee. It does not name the principal.

The Transparenzregister is designed to close that gap. Its accuracy depends on the quality of the filing. Its accessibility depends on the current access regime, which is subject to change and requires a declared legitimate interest.

The Treuhandvertrag — the private agreement that defines the relationship between nominee and principal — is not filed anywhere in the public record. Its existence can sometimes be inferred from the pattern of filed documents. Its terms cannot be established from public sources alone.

The ceiling of what the sources allow:

  • Legal title: established from the Gesellschafterliste
  • Director appointments and signing authority: established from the Handelsregister
  • Declared UBO: accessible from the Transparenzregister subject to access conditions
  • Nominee–principal agreement: not in the public record; existence may be inferred, terms cannot be verified
  • Oral instruction arrangements: not traceable through any public source

A report at any tier names the point at which the chain breaks and states the reason. It does not assert facts beyond what the sources support.

Where the sources disagree

The Gesellschafterliste and the Transparenzregister address different questions. The Gesellschafterliste records legal title. The Transparenzregister records declared beneficial ownership. In a nominee structure, these two records will name different people — by design.

The analytical question is whether the Transparenzregister filing is consistent with the ownership pattern visible in the Gesellschafterliste. Inconsistencies — a UBO filing that names the nominee rather than the principal, or a UBO filing that has not been updated after a share transfer — are themselves findings. They indicate either a filing error or a deliberate choice. Neither interpretation is neutral.

Where the two records conflict, the report states the conflict, identifies which source is more recent, and notes what would be required to resolve the discrepancy.

FAQ

Does a nominee shareholder appear on the German company register? Yes. The Gesellschafterliste filed with the Handelsregister names every shareholder of a GmbH by full name and share percentage. A nominee appears under their own name. The principal does not appear unless separately recorded.

Can the Transparenzregister identify the principal behind a nominee? The Transparenzregister is designed to record the ultimate beneficial owner. In a nominee structure, the principal should be filed as the UBO if they meet the ownership or control threshold. Whether the filing is accurate and current is a separate question. Access requires a declared legitimate interest under the post-CJEU access regime.

Is the Handelsregister free to access? The Handelsregister has been accessible without registration or access fee since 01.08.2022 under the DiRUG reform. Documents are delivered as PDF scans. No structured data export is available. The professional service provides the removed path: entity identification, language, document assembly, and analytical output.

What does a nominee report establish that a direct search does not? A direct search returns documents. A report cross-references the Gesellschafterliste against the director register, the Transparenzregister filing, and the insolvency record; identifies nominee indicators in the constitutional documents; and states explicitly where the chain of control breaks and why. The ceiling of what the sources allow is stated before payment.

What is not in the public record? The Treuhandvertrag — the private agreement between nominee and principal — is not filed anywhere publicly accessible. Its existence may be inferred from the pattern of filed documents. Its terms cannot be established from public sources.
