Director and ubo in Estonia: what can be established

Estonian company law places the management board member on public record. The shareholder list is filed and retrievable. The beneficial owner, however, sits in a separate register with access conditions that depend on who is asking and why. Control over an Estonian entity can be traced — to a defined ceiling. That ceiling is stated before any payment is made.

The question this page answers is what can be established from official sources, from which sources exactly, at what cost, and where the record stops. It does not answer what those facts mean for any particular legal position.

What the Estonian Business Register records about directors

The Äriregister is the primary source for management board composition. Every OÜ and AS (public limited company) must register each board member by name. The entry includes the date of appointment and, where applicable, the date of removal.

The register is accessible online. Retrieval does not require a national identifier from the requester. The language of the register is Estonian; documents are filed in Estonian unless a translation is submitted alongside.

Signatory rights are recorded separately from board membership. A board member may hold individual signatory authority, joint authority requiring co-signature, or no external signatory right at all. The register entry states which applies. This distinction matters for establishing who can bind the company without a co-signatory.

Historical board composition — former directors, dates of tenure — is retrievable from the same source. The record does not expire. A director removed five years ago remains visible in the history layer.

Shareholder structure in an OÜ: what the filed list shows

Estonian private limited companies (OÜ) maintain a shareholders' register. For most OÜ entities, this list is filed with the Business Register and is publicly accessible. The list names each shareholder, states the nominal value of each share, and records the percentage of the share capital held.

Transfers of shares in an OÜ must be notarised and registered. The register therefore reflects the ownership position as of the last notarised transfer. A transfer agreed but not yet notarised does not appear. This gap between economic agreement and registered title is a known feature of the system, not an anomaly.

For an AS (public limited company), the shareholder register is maintained by the company itself or by a central securities depository. Public access to the AS shareholder list is more limited than for an OÜ. The report scope and depth differ accordingly.

Pledges over shares are recorded in the register. A pledged share is visible as such. The identity of the pledgee is part of the record.

Beneficial owner: the separate register and its access conditions

Estonia implemented the EU beneficial ownership register requirement through the Tegelike kasusaajate register, maintained by the Rahapesu Andmebüroo (Financial Intelligence Unit, RAB). Companies are required to declare their beneficial owners — defined as natural persons who ultimately own or control more than 25% of shares or voting rights, or who otherwise exercise control.

Access to this register is not identical to access to the Business Register. Following the Court of Justice of the EU ruling in joined cases C-37/20 and C-601/20, unrestricted public access to UBO registers across EU member states was curtailed. Estonia adjusted its access regime accordingly.

As of the verification date, access to the Estonian beneficial owner register for a party without a national identifier or a demonstrated legitimate interest requires a formal request. The register does not return full beneficial owner data to anonymous online queries in the same way the Business Register returns director data.

What the register contains when accessed: the name of the beneficial owner, the nature and extent of the beneficial interest, and the date of registration of that interest. The declaration is made by the company itself. The register does not independently verify the declaration against underlying ownership documents.

This is the structural limit: the register records what the company declared. It does not record what an independent audit of the ownership chain would establish.

The limit of what the sources allow

The Äriregister shows the registered director and the registered shareholder. It does not show who instructed the director, who funded the share acquisition, or who holds an undisclosed economic interest through a nominee arrangement.

The beneficial owner register shows the declared beneficial owner. Declaration accuracy depends on the company's own filing. The register does not cross-reference the declaration against share transfer deeds, loan agreements, or trust arrangements that may sit outside the Estonian registry system.

Where the shareholder is a legal entity — a holding company in another jurisdiction — the Estonian register records that entity as shareholder. The register does not pierce the holding layer. Establishing who controls the holding company requires a separate inquiry into the jurisdiction where that entity is incorporated.

For an AS with shares held through a central securities depository, the shareholder list is not publicly accessible in the same form as for an OÜ. The depository holds the record; access requires a formal request with stated purpose.

The chain of control can be traced through Estonian sources to the point where it exits Estonia. Beyond that point, the sources are those of the jurisdiction where the next layer is registered. The report states explicitly at which link the chain exits Estonian records and names the jurisdiction where the next inquiry would be directed.

A negative result in the insolvency register does not confirm the absence of a filed petition. Processing delays between filing and registration are a known feature of insolvency systems generally.

Where the sources disagree

The declared beneficial owner in the RAB register and the registered shareholder in the Business Register may name different persons. This is not automatically a discrepancy indicating concealment. It may reflect a legitimate trust or nominee structure that is itself disclosed elsewhere.

Where the two records name different persons without any filed explanation, that divergence is itself a finding. The report records it as such, without qualification of what it means legally.

The registered director and the person with actual operational authority over the company may also differ. The Business Register records the legal appointment. Operational authority is established from a different layer of sources — filed contracts, power of attorney records, and court filings where available.

Where sources disagree, the report presents each source's record separately, states the nature of the divergence, and identifies what additional source would resolve or confirm it.

Insolvency and enforcement: what the court record shows

Estonian insolvency proceedings are registered in the Kohtute infosüsteem (court information system) and published in the Ametlikud Teadaanded (Official Announcements gazette). Both are accessible without registration.

The court record shows: the date a petition was filed, the date a proceeding was opened, the name of the appointed trustee, and the current status of the proceeding. It does not show the list of creditors or the value of claims in the public layer.

Enforcement proceedings against a company or its director are recorded in the enforcement register (Täitemenetluste register). Access conditions for the enforcement register differ from the Business Register. The report states what was retrievable at the time of extraction.

A director subject to a disqualification order in Estonia is recorded in the Business Register as ineligible to serve. The record is visible in the director history layer.

FAQ

What is the difference between the registered shareholder and the beneficial owner in Estonia? The registered shareholder is the person or entity whose name appears in the Business Register as holding shares. The beneficial owner is the natural person who ultimately controls or benefits from those shares, as declared to the Financial Intelligence Unit. The two may be the same person. They may also differ where a holding company or nominee arrangement sits between the beneficial owner and the registered share.

Can the beneficial owner register be accessed by a foreign party? Access depends on the requester's status and the stated purpose of the request. The register does not return full data to anonymous online queries following the 2022 adjustment to the EU UBO access regime. A formal request with a stated legitimate interest is the standard path. The report documents the access method used and what was returned.

What happens if the shareholder is a company in another jurisdiction? The Estonian register records that company as the shareholder. It does not record who owns or controls that company. Establishing the next layer requires a separate inquiry into the jurisdiction where the holding company is incorporated. The Extended tier covers up to three such layers.

Does a clean insolvency record confirm the company is solvent? No. The insolvency register records proceedings that have been opened and registered. A petition filed but not yet processed does not appear. A company with no insolvency record may still have outstanding enforcement proceedings or unpaid obligations not yet escalated to formal insolvency.

How current is the information in the report? Each finding is dated to the extraction date from the relevant source. The report does not represent the position as of any date other than the extraction date. Changes registered after that date are not reflected.

What does the report state when the chain exits Estonian records? The report names the point at which the ownership chain exits Estonia, identifies the jurisdiction where the next layer is registered, and states what source in that jurisdiction would be the appropriate next step. It does not speculate beyond what the available record shows.
