Board member in Italy

Who controls an Italian company is a question of record. The Registro delle Imprese, maintained by the local Chamber of Commerce (Camera di Commercio), holds the filed instrument of appointment, the scope of powers granted, and the date from which each board member acts. Control — meaning who can bind the company, who can sign contracts, and who can be removed — is established from that record before any other step.

The angle here is control: not the identity of the shareholder of record, not the tax position, but the specific question of who sits on the governing body, what authority each position carries, and what a shareholder can enforce against that structure.

Governing body structure in Italian companies

Italian law recognises three governance models for a società per azioni (S.p.A.): the traditional model (sistema tradizionale), the two-tier model (sistema dualistico), and the one-tier model (sistema monistico). Each produces a different set of filed positions.

Under the traditional model, the board of directors (consiglio di amministrazione) holds executive power. A sole director (amministratore unico) is permitted where the articles allow it. The board of statutory auditors (collegio sindacale) exercises supervisory functions and is filed separately.

For a società a responsabilità limitata (S.r.l.), the governing body is typically one or more amministratori. The S.r.l. does not require a statutory auditor unless it exceeds statutory thresholds or is subject to audit obligations.

The Registro delle Imprese records which model is in use, who holds each position, and the scope of powers — including whether a director acts jointly or severally.

Powers and signing authority on the Italian register

The filed record distinguishes between the power to manage (gestione) and the power to represent the company externally (rappresentanza). These may be held by the same person or split.

Where the articles or the shareholders' resolution limits signing authority — for example, restricting a director to transactions below a stated threshold — that limitation is filed and appears in the extract. A counterparty who transacts above the limit with a director whose authority is restricted cannot rely on apparent authority if the limitation was filed and therefore public.

This is the operative significance of the register for a buyer: the filed record determines what a board member can bind the company to, and what requires a further resolution.

Filed element What it establishes
Name and role Identity of the person holding the position
Date of appointment From when the authority runs
Term of office Expiry date, if fixed
Powers clause Scope of signing authority, joint or several
Limitations Transactions excluded from individual authority
Date of cessation When authority ended, if filed

What a shareholder can enforce

The shareholder's position in relation to the board depends on the corporate form and the articles.

In an S.p.A., the ordinary shareholders' meeting appoints and removes directors. Removal without cause (revoca senza giusta causa) triggers a right to compensation, which is a matter of civil law and not of the register. The register records the outcome — the new appointment or the cessation — not the underlying dispute.

In an S.r.l., the articles may grant individual shareholders the right to appoint a specific director (diritto particolare). That right, if it exists, is in the articles of association (statuto), which are filed with the Registro delle Imprese and retrievable as part of the company dossier.

The register does not record shareholders' resolutions in full. It records the outcome of those resolutions as filed by the notary or the company. A resolution that was passed but not yet filed is not visible in the register.

The limit of what the sources allow

The Registro delle Imprese shows the filed position. It does not show what has not been filed.

The 30-day filing window means a board change can be effective under corporate law before it appears in the register. A director who resigned yesterday is still on the register today. A director appointed last week may not yet appear.

The register does not show:

  • Informal or undocumented delegation of authority to persons not holding a filed position
  • Side agreements between directors or between directors and shareholders
  • The identity of the beneficial owner behind a corporate shareholder in the chain
  • Whether a filed limitation on authority is observed in practice
  • Resolutions passed but not yet filed

The UBO register (Registro dei titolari effettivi), established under Legislative Decree 231/2007 as amended, holds beneficial ownership data separately. Access to that register is subject to conditions that differ from those governing the Registro delle Imprese. The two sources must be read together; neither alone closes the control question.

Where the articles grant special rights to individual shareholders, those rights appear in the filed statuto. Where they arise from a shareholders' agreement (patto parasociale) that is not filed, they are not visible in any public source.

The ceiling of what the sources allow is stated before payment.

Where the sources disagree

The Registro delle Imprese and the company's own internal records may diverge in two common patterns.

First, a director may have been removed by internal resolution but the cessation has not yet been filed. The register shows the person as active. The company's minute book shows otherwise. The gap is a risk indicator, not a resolution.

Second, the statuto on file may differ from the version the company operates under if an amendment was passed but not yet registered. The filed version is the legally effective version for third parties; the internal version is not.

Where the extract and the filed statuto are inconsistent with each other, that inconsistency is reported as a finding. It is not resolved by the report; it is identified as a matter requiring further step.

FAQ

What does the Registro delle Imprese actually show about a board member? The extract shows the person's name, the position held, the date of appointment, the term if fixed, and the scope of signing authority — including any limitations. It shows the date of cessation if that has been filed. It does not show the underlying resolution in full, any side agreement, or any authority that was delegated informally.

How current is the information in the register? Italian law requires filing within 30 days of the corporate resolution. In practice, the register reflects the position as of the last filed document. A change that occurred within the filing window may not yet appear. The report notes the date of the most recent filing for each position.

Can a shareholder enforce removal of a board member? In an S.p.A., the ordinary shareholders' meeting has the power to remove directors. The articles may impose conditions. Removal without cause triggers a compensation right under civil law. The register records the outcome of a removal — the cessation and the new appointment — not the process or any dispute arising from it. The Standard and Extended tiers include a review of the statuto for any provisions affecting removal rights.

What is the difference between the Registro delle Imprese and the UBO register? The Registro delle Imprese records the persons who hold filed corporate positions. The UBO register (Registro dei titolari effettivi) records the natural persons who ultimately own or control the company, as declared by the company itself. The two sources address different questions. The Extended tier covers both.

What if the company has a corporate director or a corporate shareholder? A corporate director is permitted in some Italian structures. Where a legal entity holds a board position, the natural person acting on its behalf is identified in the filed document. The chain behind a corporate shareholder is not visible in the Registro delle Imprese extract alone; it requires tracing through the shareholder's own filing, which is part of the Extended tier.

Is the Registro delle Imprese publicly accessible? The register is accessible to any person with a stated legitimate interest. Access to individual documents — extracts, visure, filed instruments — is subject to the access conditions and fee structure of the relevant Chamber of Commerce. The report covers the cost of document retrieval as part of the fixed price at each tier.
