The Handelsregister is the primary source for establishing who holds authority in a German company. It names directors, states the scope of their signing power, and records changes in appointment. Control — who can bind the company, who can be removed, and on what terms — is readable from filed documents before any payment is made.
The angle here is control, not ownership. Shareholder lists (Gesellschafterlisten) for a GmbH are filed with the register and are part of the same public record. The question of who controls the company and what a shareholder can enforce begins with those two layers.

Source: Handelsregister · verified 2026-09-05 What the register does not showBeneficial owners above the registered shareholder layer are not disclosed in the Handelsregister. Nominee arrangements are not flagged. Source: Handelsregister · verified 2026-09-05German law distinguishes between the management board (Vorstand in an AG, Geschäftsführer in a GmbH) and the supervisory board (Aufsichtsrat). Both are registered. The register entry states the name, the type of authority — sole or joint — and any restrictions on that authority.
A Gesamtvertretung entry means the director cannot act alone. A Prokura entry names a commercial agent with statutory signing power. Both appear in the current register extract (aktueller Ausdruck) and in the chronological history (chronologischer Ausdruck).
The chronological extract is the instrument for tracing past appointments. It shows every registered change: appointment, resignation, change in authority scope, and the date each change was filed. The filing date and the effective date of a change are not always identical. The register records the filing date; the effective date is stated in the underlying document.

For a GmbH, the Gesellschafterliste is filed with the Handelsregister and is publicly accessible. It names each shareholder, states the nominal value of each share, and records the percentage held. This is the document that establishes who has voting weight.
The list is updated on each transfer of shares. A notarised transfer deed triggers an obligation to file a new list. The register holds the most recently filed version. It does not hold every historical version in a single searchable sequence; earlier versions may require a document-by-document retrieval.
The Gesellschafterliste does not disclose the economic terms of a shareholders' agreement. Side agreements, drag-along rights, veto provisions, and deadlock mechanisms are not filed. Their existence is not visible from the register.

The register entry states the form of representation authority. It does not state internal limits on that authority. A director registered with sole authority (Einzelvertretungsbefugnis) may be subject to internal consent requirements under the articles of association (Satzung or Gesellschaftsvertrag). Those internal limits bind the director but do not bind third parties who rely on the register.
The articles of association are filed with the register and are retrievable as a document. They state the internal governance structure: quorum requirements, reserved matters, and the procedure for removing a director. Reading the articles alongside the register entry gives a more complete picture of actual control than the register entry alone.
For an AG, the supervisory board appoints and removes the management board. The supervisory board composition is registered. The articles state the procedure for supervisory board elections. Both layers are in the public record.

Germany maintains a separate Transparenzregister for beneficial ownership disclosures. Since 2022, it operates as a full register: entities that previously relied on the Handelsregister as a substitute filing are now required to file directly.
Access to the Transparenzregister requires registration and a statement of legitimate interest following the CJEU judgment in C-37/20. The register is not open for unrestricted public search. Establishing the beneficial owner above the registered shareholder layer requires a separate access procedure.
The Handelsregister and the Transparenzregister are not linked in a single query interface. A complete control analysis requires both sources to be queried independently.

German GmbHs above the small-company threshold are required to file annual accounts with the Unternehmensregister. Filed accounts are publicly accessible. They show the balance sheet, profit and loss, and — for larger entities — notes disclosing related-party transactions and group structure.
Small GmbHs file a balance sheet only. Micro-entities file a shortened balance sheet. The filing obligation exists; the depth of disclosure varies by size category.
The accounts are filed after the financial year ends. The filing deadline is twelve months after the balance sheet date for small and micro entities. A gap between the most recent filed accounts and the current date is normal and does not indicate non-compliance.

Insolvency proceedings are recorded in the Insolvenzbekanntmachungen portal, which publishes court notices. A search by company name and registered court returns current and recent proceedings. The portal does not hold a complete historical archive; older proceedings may not appear.
A negative result in the insolvency portal does not confirm the absence of a filed application. An application may have been filed and not yet published. The register entry at the Handelsregister will reflect an insolvency administrator appointment once it is registered, but there is a lag between filing and registration.

The Handelsregister shows who is registered as a director and what authority that registration confers. It does not show who instructed the director to act, who holds economic rights above the registered shareholder, or what private agreements govern the relationship between shareholders.
The Gesellschafterliste shows registered shareholders and their nominal holdings. It does not show pledges over shares, options, or economic transfer arrangements that have not yet triggered a notarised deed.
The Transparenzregister shows the declared beneficial owner. It does not verify the declaration. The declared beneficial owner is the person the filing entity has named; independent verification of that declaration requires sources outside the register.
The articles of association show the internal governance rules as filed. Amendments take effect on filing. A version retrieved today reflects the most recently filed amendment, not necessarily the version currently in use if a recent amendment has not yet been filed.
The insolvency portal shows published notices. It does not show applications that have been filed but not yet published, or proceedings in jurisdictions outside Germany where a German entity has a centre of main interests.
The ceiling of what the sources allow is stated before payment. Where the record ends, the report says so explicitly.

What does the Handelsregister actually disclose about a board member? The register names the director, states whether authority is sole or joint, and records the date of appointment and any subsequent changes. It does not state the director's remuneration, the terms of the service agreement, or any internal restrictions on authority that are not visible to third parties.
Is the Gesellschafterliste always current? The list reflects the most recently filed version. A share transfer triggers a filing obligation, but the obligation falls on the notary and the managing director, not on the register itself. A gap between the actual ownership position and the filed list is possible during the period between a transfer and the filing of the updated list.
Can a foreign buyer access the Handelsregister without a German address or identifier? The register is publicly accessible without registration. Retrieving documents requires knowing the registered court (Registergericht) and the company number. Identifying those from a company name alone requires a name search, which the portal supports. No national identifier or electronic signature is required for document retrieval.
What is the difference between the Handelsregister and the Transparenzregister? The Handelsregister records the legal structure: directors, shareholders, authority. The Transparenzregister records the declared beneficial owner — the natural person who ultimately owns or controls the entity. The two registers are maintained separately and must be queried independently. Access conditions differ: the Handelsregister is open; the Transparenzregister requires a registered account and a statement of legitimate interest.
Does a negative insolvency search confirm solvency? No. A negative result means no published notice was found at the time of the search. An application may have been filed and not yet published. The insolvency portal is a notice board, not a real-time status database.
What does the Extended tier add that Standard does not? The Extended tier adds multi-year accounts, a mapped group structure to the limit of what the public record shows, and a written statement for each source identifying precisely where the record ends. It is designed for acquisitions where the buyer needs to document the limits of the due diligence record, not only its contents.
