Control in a German company is a layered question. The Handelsregister names the shareholders and their stakes. The Transparenzregister names the person who ultimately controls those shareholders. Both registers are official. Neither is complete on its own.
The gap between the two is where the analytical work begins. A Gesellschafterliste filed in the Handelsregister shows who holds shares at the time of filing. It does not show who instructs those shareholders. The Transparenzregister is designed to close that gap — but its entries depend on what the company itself has declared.

A negative result does not confirm absence of beneficial ownership. The Handelsregister is the primary commercial register for Germany. It is maintained at the local court (Amtsgericht) level and accessible centrally through handelsregister.de.
Since the DiRUG reform of 01.08.2022, the register delivers documents — including Gesellschafterlisten and, where filed, annual financial statements — without registration and without a per-document fee. The output is PDF or scanned image. There is no structured data export.
For a GmbH, the Gesellschafterliste names each shareholder and the nominal value of their share. The list is updated on each transfer of shares and must be filed by the notary within three business days of the transaction. The version on record is the most recently filed list — not necessarily the current state if a transfer has occurred and the notary has not yet filed.
For an AG, the Handelsregister does not name individual shareholders. Shares are held in bearer or registered form; the shareholder register (Aktionärsregister) is a private document held by the company. The Handelsregister records only the board composition and capital structure.
This distinction matters for control analysis. A GmbH ownership chain can be traced through filed Gesellschafterlisten. An AG chain cannot be traced through the Handelsregister at all.

Germany's Transparenzregister was established under the Geldwäschegesetz (GwG) to implement the EU Anti-Money Laundering Directives. Since 2021 it operates as a full register: companies can no longer satisfy their obligation by reference to other registers. Every entity subject to the GwG must file a beneficial owner declaration directly.
The declared beneficial owner is the natural person who directly or indirectly holds more than 25 percent of the shares or voting rights, or who exercises control by other means. Where no natural person meets that threshold, the legal representative is recorded as the notional beneficial owner (fiktiver wirtschaftlich Berechtigter).
The register records: full name, date of birth, nationality, country of residence, and the nature and extent of the economic interest. It does not record the address of the beneficial owner.
Access requires registration on transparenzregister.de and submission of a statement of legitimate interest. The register operator (Bundesanzeiger Verlag) reviews the stated interest. Access is not automatic. For foreign applicants, the registration process involves identity verification and, in some cases, submission of supporting documentation.

The Handelsregister and the Transparenzregister are maintained independently. They can and do diverge.
A Gesellschafterliste in the Handelsregister may name a holding company as the sole shareholder. The Transparenzregister entry for that holding company may name a natural person as the beneficial owner — or it may record a fiktiver wirtschaftlich Berechtigter if no natural person has been declared.
Where the two records diverge, the divergence is itself a finding. It may indicate a multi-layer structure, a nominee arrangement, or a filing that has not been updated following a change in control.
Cross-referencing both registers against each other, and against filed financial statements where available, is the minimum required to form a view on actual control.

A Gesellschafterliste filed in 2023 may name Shareholder A with a 100 percent stake. The Transparenzregister entry for the same company, filed in 2022, may name Person B as the beneficial owner. If no updated declaration has been filed, the register reflects the state as of the last filing — not the current state.
German law requires the entity to update its Transparenzregister entry within two weeks of any change. Non-compliance is a regulatory offence. The register does not flag entries that may be out of date.
An analyst reading the register cannot distinguish a current entry from a stale one without cross-referencing the Handelsregister filing dates and, where available, notarial transaction records.

The Handelsregister shows the shareholder of record at the time of the most recent Gesellschafterliste filing. It does not show who controls that shareholder, who has given instructions, or what contractual arrangements govern the exercise of voting rights.
The Transparenzregister shows what the company has declared. It does not independently verify the declaration. A declaration that a natural person holds 26 percent and therefore qualifies as the beneficial owner is accepted as filed. The register does not audit whether that person acts independently or under instruction.
Neither register shows:
The chain of beneficial ownership can be traced through the official sources to the point of the last filed declaration. Beyond that point, the sources stop. The report states where the chain ends and on which link it ends — and why.
This is the ceiling. It is stated before any engagement begins.

Does the Transparenzregister show the address of the beneficial owner? No. The register records name, date of birth, nationality, country of residence, and the nature and extent of the economic interest. Residential address is not disclosed.
Can a foreign entity access the Transparenzregister directly? Yes, with registration and a declaration of legitimate interest. The registration process requires identity verification. For foreign applicants, this involves additional documentation steps. Access is not automatic and is not immediate.
What happens if the company has not filed a beneficial owner declaration? Non-filing is a regulatory offence under the Geldwäschegesetz. The register will show no entry. An absent entry does not confirm that no beneficial owner exists — it confirms that no declaration has been made. The Handelsregister is then the primary source, and the analysis proceeds from the Gesellschafterliste.
Does a GmbH with a single corporate shareholder require further tracing? Yes. Where the sole shareholder is a legal entity rather than a natural person, the Transparenzregister entry for that entity must be retrieved separately. The chain is traced entity by entity until a natural person is identified or the sources stop.
What does 'fiktiver wirtschaftlich Berechtigter' mean in practice? It means the company has declared that no natural person meets the 25 percent threshold and that control cannot be attributed to a specific individual. The legal representative is then recorded as the notional beneficial owner. This entry does not identify the person who actually controls the company; it records that the company has not identified one.
Is the Handelsregister free to access? The register is accessible without a per-document fee since 01.08.2022. Documents are delivered as PDF and scans. What the report provides is the removed path: registration where required, national identifier lookup, language, and cross-referencing across multiple filings and registers.
This register is public and free of charge. What you are paying for is the removed path: registration, national identifier, language, electronic signature, declaration of legitimate interest.
