Authorised representative in Italy

The Registro delle Imprese records the authorised representative of every Italian company. The entry names the person, defines the scope of their powers, and states whether they act alone or jointly. What it does not record is who instructed that appointment — or who can reverse it.

The angle here is control. An authorised representative is the visible layer. The question for a cross-border buyer is whether that layer reflects the actual decision-making structure, or whether it screens it.

What the Registro delle Imprese records

Every Italian company — S.r.l., S.p.A., branch, and most other forms — must file the identity of its legal representative with the Registro delle Imprese, maintained by the local Camera di Commercio. The filing is a public record.

The entry specifies:

  • the representative's full name and tax code
  • the title or role (amministratore unico, consigliere delegato, procuratore, and so on)
  • the scope of powers — whether general or limited to defined acts
  • whether the authority is sole or joint with another named person
  • the date of appointment and, where applicable, the date of expiry or revocation

An extract from the Registro delle Imprese is the primary document for establishing who holds signing authority at a given date. It is the document Italian banks, notaries, and counterparties require before executing a transaction.

The extract is a point-in-time record. A representative appointed yesterday is on record today. A representative revoked last week may still appear if the filing has not yet been processed.

The gap between authority and control

The Registro delle Imprese records authority. It does not record control.

An authorised representative acts on behalf of the company. The shareholders — or, in a group structure, the parent entity — appoint and remove that representative. The register shows the outcome of that decision. It does not show who made it, under what conditions, or whether the representative acts under instructions that are not filed anywhere.

In Italian corporate law, the amministratore of an S.r.l. may hold broad statutory powers while operating under a shareholders' resolution that restricts those powers internally. That resolution is not always filed. The restriction is enforceable between the parties but may not be visible to a third party consulting the register.

For a cross-border buyer, this gap matters in three situations:

  • where the representative is a nominee or a professional fiduciary
  • where the company is a subsidiary and the parent's instructions are not on record
  • where a shareholders' agreement governs appointment and removal outside the articles

Establishing control requires reading the articles of association (statuto), the shareholders' register (libro soci), and any filed resolutions — not the representative entry alone.

Procura and special powers of attorney

Beyond the statutory representative, Italian companies may grant a procura — a notarised power of attorney — to a third party. A procura can be general or limited to a specific transaction or category of acts.

A procura granted before a notary and filed with the Registro delle Imprese is a public record. A procura granted privately, or one that has expired or been revoked without a corresponding filing, may not appear.

The practical consequence: a counterparty who presents a procura as authority to act should be verified against the current register extract. The extract confirms whether the procura is on record and whether it has been revoked.

A procura not on the register is not necessarily invalid — Italian law recognises private mandates — but it cannot be verified from the register alone.

Branch representatives and foreign companies

A foreign company operating in Italy through a branch (sede secondaria) must register a permanent representative (rappresentante stabile) with the Registro delle Imprese. That representative has authority to bind the branch in Italy.

The branch entry records the representative's identity and powers. It does not record the governance structure of the foreign parent. Verifying who controls the parent requires a separate registry search in the parent's jurisdiction.

Where the parent is incorporated in a jurisdiction with limited public disclosure — certain offshore structures, for example — the chain of control visible from the Italian register stops at the branch representative. The analysis must name that stopping point explicitly.

Shareholder rights and the representative layer

A shareholder in an Italian S.r.l. holds rights defined by the Civil Code and the company's statuto. Those rights include the right to appoint and remove the amministratore, to approve the financial statements, and to inspect certain company books.

The authorised representative is not a shareholder right. The representative is an officer. The shareholder's ability to enforce rights against the company depends on the governance structure — whether decisions require a simple majority, a qualified majority, or unanimity — and on whether the statuto grants veto rights or reserved matters to any class of shareholder.

None of that is visible from the representative entry alone. The statuto is a filed document and is part of the Registro delle Imprese record. Reading the representative entry without the statuto gives an incomplete picture of what a shareholder can enforce.

The limit of what the sources allow

The Registro delle Imprese is a filing system, not a verification system. It records what has been filed. It does not confirm that what has been filed is accurate, current, or complete.

Specific limits that apply to this object:

Timeliness. Italian law sets filing deadlines, but processing delays occur. An extract reflects the state of the register at the moment of retrieval, not the state of the company at that moment. A representative appointed or revoked in the preceding days may not yet appear.

Internal mandates. Instructions given by shareholders to the representative — whether by resolution, side letter, or oral agreement — are not filed. The register shows authority; it does not show how that authority is exercised in practice.

Beneficial ownership. The Registro delle Imprese records direct shareholders in the libro soci for S.r.l. entities. It does not systematically record the beneficial owner behind a corporate shareholder. The Italian UBO register (Registro dei titolari effettivi) is a separate system; access conditions and completeness are subject to ongoing regulatory development and should be verified at the time of the request.

Revoked or expired powers. A procura or appointment that has been revoked may remain visible in the register if the revocation has not been filed or processed. The absence of a revocation entry is not confirmation that authority is current.

Cross-border structures. Where the appointing shareholder is a foreign entity, the register records the Italian layer only. The foreign layer requires a separate search.

The analysis names the stopping point in the chain. It does not assert facts beyond what the filed record supports.

Where the sources disagree

Discrepancies between the representative entry and the statuto are not uncommon. The statuto may define the scope of the amministratore's powers differently from what appears in the summary entry. Where the two documents conflict, the statuto governs — but the entry is what a counterparty sees first.

A second category of discrepancy arises between the Registro delle Imprese and the company's internal books. The libro soci may record a transfer of shares that has not yet been reflected in a filed update. The representative entry may name a person whose appointment was superseded by a shareholders' resolution not yet processed.

Where discrepancies are identified, they are reported as findings, not resolved by assumption.

FAQ

What does the Registro delle Imprese entry confirm about an authorised representative? The entry confirms the representative's identity, the scope of their filed authority, and whether that authority is sole or joint. It confirms the state of the record at the moment of retrieval. It does not confirm that the representative is currently acting, that their authority has not been informally restricted, or that no subsequent appointment has been made but not yet filed.

Can a foreign buyer request an extract from the Registro delle Imprese directly? Extracts are available through the relevant Camera di Commercio. The process requires identifying the correct provincial chamber, the company's fiscal code or registration number, and the document type requested. The extract is issued in Italian. No Italian company registration is required to make the request, but the procedural steps and any applicable fees are set by the individual chamber.

What is the difference between an amministratore and a procuratore in Italian law? The amministratore is the statutory representative of the company, appointed by the shareholders and recorded in the Registro delle Imprese. The procuratore holds a delegated power of attorney, which may be general or limited. Both can bind the company within the scope of their respective authority. The distinction matters when verifying who can execute a specific type of transaction.

Does the Registro delle Imprese show who owns the company? For an S.r.l., the libro soci records direct shareholders. For an S.p.A., shareholding above certain thresholds may be on record. Neither record systematically shows the beneficial owner behind a corporate shareholder. The UBO register is a separate system with separate access conditions.

What happens if the representative entry and the statuto conflict? The statuto governs the internal relationship between the company and its officers. A third party dealing with the company in good faith may rely on the filed entry. Where a discrepancy is identified, it is a material finding that requires separate analysis — it is not resolved by reading one document alone.
