Transaction in Germany: what can be established

A transaction in Germany requires a clear picture of who controls the target and what the shareholder can enforce. The Handelsregister provides the statutory layer: directors, registered capital, filed shareholder lists and amendments. The Unternehmensregister aggregates filed financial statements and capital-market disclosures. Both are official sources. Neither is a substitute for the other.

Control in a German GmbH or AG is established through the Gesellschafterliste — the shareholder list filed with the Handelsregister. The list names each shareholder, states the nominal value of each share and records the date of the last amendment. Where a holding company appears as shareholder, the chain does not continue inside the Handelsregister. That is the ceiling of the source.

Governance structure: what the Handelsregister records

The Handelsregister is maintained by the local courts (Amtsgerichte) and centralised for search through handelsregister.de. Since 01 August 2022, document retrieval — including the Gesellschafterliste and filed instruments — is available without registration and without a per-document charge. Output is PDF and scanned images; no structured data feed is provided.

The Gesellschafterliste is the primary instrument for establishing shareholding. It is filed by the notary on each transfer of shares. The date of the most recent filing is visible in the register. A gap between the filing date and the transaction date is itself a finding: it may indicate an unfiled transfer or a pending amendment.

Directors are listed by name, date of birth and scope of authority (sole representation or joint representation). Restrictions on authority — for example, a prohibition on self-dealing — appear in the register if they have been filed. Not all restrictions are filed.

A Beherrschungsvertrag (domination agreement) or Gewinnabführungsvertrag (profit transfer agreement) is filed and disclosed if it exists. These instruments define formal control relationships within a corporate group. Their absence from the register does not exclude informal group control.

Filed financial statements: depth and gaps

Disclosure obligations under the Handelsgesetzbuch (HGB) depend on company size. Large and medium-sized entities file full financial statements including balance sheet, profit-and-loss account and notes. Small entities file an abbreviated balance sheet. Micro-entities file a balance sheet only.

Filed statements are available through the Unternehmensregister. The filing deadline is twelve months after the end of the financial year for small entities; nine months for medium and large entities. Late filing is common among smaller GmbHs. A gap in the filing history is a finding, not a data-retrieval failure.

Consolidated accounts are filed separately from individual accounts. Where the target is a subsidiary, the individual accounts reflect only the entity's own position. The group picture requires the parent's consolidated filing, which may be filed in a different jurisdiction.

Insolvency and enforcement records

Insolvency proceedings in Germany are published in the Insolvenzbekanntmachungen portal, maintained by the federal states. A search by company name and registered seat returns current and recent proceedings. The portal does not provide a consolidated national archive with guaranteed completeness across all Länder for historical periods.

A negative result in the insolvency portal does not certify the absence of a filed application. An application filed in the days before a search will not yet appear. The finding is: no proceeding was visible at the time of search.

Enforcement notices (Zwangsvollstreckungsmaßnahmen) against a company do not appear in the Handelsregister. They are recorded in separate court files and are not publicly searchable by company name through a single national portal.

Beneficial ownership: the structural ceiling

Germany maintains a Transparenzregister under the Geldwäschegesetz (GwG). Following the CJEU judgment in Case C-37/20, public access to the Transparenzregister is restricted. Access requires demonstration of a legitimate interest. The procedure for establishing legitimate interest is defined by the Bundesanzeiger Verlag, which administers the register.

Where the Gesellschafterliste names a natural person as direct shareholder, the beneficial owner is established at the first level. Where the Gesellschafterliste names a legal entity, the chain continues to the next entity's own register filing. The chain is followed source by source. At each step, the source is named and its coverage level is stated.

For a holding structure spanning multiple jurisdictions, the chain may terminate at a jurisdiction where the equivalent of the Gesellschafterliste is not public, or where the register does not record shareholders at all. That termination point is stated in the report.

Where the sources disagree

The Gesellschafterliste and the Transparenzregister may name different persons as the controlling party. The Gesellschafterliste records the registered shareholder. The Transparenzregister records the declared beneficial owner. These are not the same concept. A discrepancy between the two is a finding that the report states explicitly, without resolving it as a legal matter.

Filed financial statements may show a capital structure inconsistent with the Gesellschafterliste — for example, a loan from a shareholder not named in the current list, or a profit transfer to an entity not identified as a group parent in the register. These inconsistencies are recorded and sourced. They are not interpreted.

The limit of what the sources allow

The Handelsregister records what has been filed. It does not record what has been agreed but not filed. A share transfer is effective between the parties from the date of the notarial deed. It appears in the Gesellschafterliste only after the notary files the updated list. The register may lag the legal reality by days or weeks.

The Unternehmensregister records what has been submitted. It does not audit the figures. A filed balance sheet that understates liabilities passes through the register without correction.

The insolvency portal records proceedings that have been opened and published. A creditor's application filed but not yet decided does not appear.

The Transparenzregister records the declared beneficial owner. It does not verify the declaration against the underlying ownership structure.

The ceiling of what the sources allow is stated before payment. The report names the source, the date of extraction, the coverage level and the point at which the chain terminates. It does not state what lies beyond that point.

FAQ

What does the Gesellschafterliste show, and when is it updated? The Gesellschafterliste names each shareholder of a GmbH, states the nominal value of each share and records the date of the last amendment. It is filed by the notary on each transfer. The register reflects the most recently filed version. A transfer completed after the last filing date will not appear until the notary submits the updated list.

Can the beneficial owner be established from public sources in Germany? Where the direct shareholder is a natural person named in the Gesellschafterliste, the beneficial owner is established at the first level from that source. Where the direct shareholder is a legal entity, the chain continues to that entity's own register. Access to the Transparenzregister for deeper verification requires a legitimate-interest declaration. The report states at which level the chain terminates and why.

What does a negative insolvency search result mean? It means no proceeding was visible in the Insolvenzbekanntmachungen portal at the time of the search. It does not certify the absence of a filed application that has not yet been published. The date of the search is recorded in the report.

Why are filed financial statements sometimes missing? Filing deadlines under HGB allow up to twelve months after the financial year-end for small entities. Late filing is common. A gap in the filing history is recorded as a finding. The report notes the last filed year and the gap period.

What is the difference between the Signal and Standard tiers for a transaction review? Signal establishes the registered governance layer: directors, shareholders and insolvency status. Standard adds the financial filing history and the first level of chain tracing, which is typically the minimum required for a pre-deal review where the target has a holding parent. Extended covers multi-entity structures and cross-border chain verification.
