Jurisdiction — France: timeline and cost

A shareholders agreement signed without a prior jurisdiction review is a document that assumes facts not yet established. In France, the question of control — who directs the company, who holds the voting rights, and what constraints bind the shares — runs through at least four official layers. Each layer has its own access path, its own turnaround, and its own ceiling.

The review below maps those layers. It states what each source shows, what it does not show, and where the chain stops.

What the RCS shows — and what drives the turnaround

The RCS entry for a French société (SAS, SARL, SA or other form) contains the registered name, SIREN number, registered address, date of incorporation, legal form, share capital, and the identity of the statutory manager or president. For a SARL, the gérant is named. For an SAS, the president is named; other officers may or may not appear depending on what the statuts require to be filed.

The statuts themselves — the articles of association — are filed at the greffe and retrievable as a document. They govern voting thresholds, reserved decisions, and transfer restrictions. Reading the statuts is the first step in mapping control for an SAS, because the SAS form grants wide contractual freedom: the law sets almost no default rule on governance, and the statuts fill that gap.

Turnaround for an RCS extract (Kbis) is typically same-day via the electronic portal. Document retrieval — statuts, actes modificatifs — takes one to three working days depending on the greffe's queue and whether the documents have been digitised.

The beneficial ownership register — access conditions after CJEU C-37/20

France implemented the EU beneficial ownership register as the Registre des bénéficiaires effectifs (RBE). The RBE is held at the greffe alongside the RCS file.

Following the Court of Justice ruling in joined cases C-37/20 and C-601/20 (November 2022), unrestricted public access to UBO data is no longer available across EU member states. France aligned its access rules accordingly. A third party seeking RBE data must demonstrate a legitimate interest. The greffe assesses that interest; the standard is not defined by a fixed checklist.

For a pre-signing review, the declared purpose — verifying the identity of a counterparty before entering a shareholders agreement — is a recognised basis. The request must be submitted in writing, in French, with supporting documentation. Turnaround varies by greffe; allow three to seven working days.

What the RBE shows when access is granted: the identity of any natural person holding, directly or indirectly, more than 25% of the capital or voting rights, or exercising control by other means. What it does not show: the intermediate holding structure above that threshold, the terms of any shareholders agreement binding those persons, or any trust arrangement governed by foreign law.

Insolvency and enforcement — Bodacc and the judicial layer

Bodacc publishes notices of insolvency proceedings (sauvegarde, redressement judiciaire, liquidation judiciaire), court-ordered transfers, and enforcement actions. The database is searchable by company name and SIREN. It is publicly accessible without registration.

A negative result in Bodacc does not confirm the absence of a filed petition. A petition filed but not yet the subject of a court order will not appear. The gap between filing and first publication can run to several weeks depending on the court's calendar.

Enforcement records against individual directors or shareholders are held at the tribunal judiciaire, not at the greffe. Accessing those records requires a separate request and, in some cases, a demonstrated legal interest.

Filed accounts — what is available and what is withheld

Annual accounts (comptes annuels) are filed at the greffe and made available via infogreffe.fr. The filing covers the balance sheet, income statement, and notes. For consolidated groups, the consolidated accounts are filed separately.

Two categories of company are exempt from full disclosure. Micro-enterprises (below the thresholds set by article L. 123-16 of the Code de commerce) may file confidentially: the balance sheet is deposited but not disclosed to third parties. Small companies (petites entreprises) may file an abridged balance sheet. In both cases, the income statement may be withheld.

The practical consequence: for a target that qualifies as a micro-enterprise or small company, the filed accounts will not reveal revenue, operating result, or net income. The balance sheet total and equity position may still be available.

Turnaround for account retrieval via infogreffe.fr is one to two working days for digitised filings. Older filings may require a paper request to the greffe.

The limit of what the sources allow

The RCS, RBE, Bodacc, and filed accounts together cover the formal layer of corporate control in France. They do not cover the contractual layer.

A shareholders agreement (pacte d'actionnaires) is a private contract. It is not filed at the greffe. It does not appear in the RCS. Its existence is not disclosed by any public source. The agreement may contain drag-along and tag-along clauses, pre-emption rights, voting undertakings, and deadlock mechanisms — none of which are visible from the official record.

The statuts of an SAS may incorporate some governance rules, but the parties routinely keep the most sensitive provisions in a separate private agreement precisely because it is not public.

The RBE identifies the beneficial owner above the 25% threshold. It does not identify persons exercising control through contractual means below that threshold, through nominee arrangements, or through foreign holding structures that have not been notified to the French greffe.

Filed accounts for micro-enterprises and small companies are partially or fully withheld. A target that has elected confidential filing will not disclose its financial position through the official channel.

Insolvency proceedings that have been filed but not yet the subject of a court order do not appear in Bodacc.

The ceiling of what the sources allow is stated before payment.

Where the sources disagree

The RCS entry states the share capital as last amended. The filed accounts state the equity position as at the last balance sheet date. These two figures measure different things and will routinely differ. A discrepancy between them is not an error; it reflects the difference between nominal capital and accumulated retained earnings or losses.

The RBE identifies the beneficial owner as declared by the company's legal representative. The filed accounts may show a different ownership structure if the company has undergone a capital transaction since the last RBE update. The RBE is updated on each qualifying change, but the obligation rests on the company; late filings occur.

Where the statuts and a private shareholders agreement conflict, the agreement governs as between the parties but the statuts govern as against third parties and the greffe. A buyer reviewing only the statuts will not see the private agreement.

FAQ

What is the minimum turnaround for a France jurisdiction review? The Signal tier can be completed in two to three working days. The Standard tier requires the RBE request, which adds three to seven working days at the greffe. The Extended tier adds the tribunal judiciaire enforcement check; allow ten to fifteen working days in total.

Does the RBE always identify the ultimate beneficial owner? The RBE identifies any natural person holding more than 25% of capital or voting rights, or exercising control by other means, as declared by the company's legal representative. It does not trace intermediate holding structures above that threshold. If control is exercised through a foreign holding company, the French RBE will show the French entity's declared beneficial owner, not the full chain above it.

Can a shareholders agreement be identified from public sources? No. A pacte d'actionnaires is a private contract and is not filed with any French public authority. Its existence, parties, and terms are not visible from the RCS, RBE, Bodacc, or filed accounts. The only way to establish its content is through disclosure by the parties.

What happens if the target has elected confidential filing? A micro-enterprise that has elected confidential filing under article L. 123-16 of the Code de commerce will have its balance sheet deposited at the greffe but not disclosed to third parties. The income statement will also be withheld. The Signal and Standard tiers will note the confidential filing election and its consequence. The Extended tier will state what can and cannot be established as a result.

Is the Bodacc search sufficient to confirm no insolvency proceedings are pending? A Bodacc search confirms the absence of published insolvency notices. It does not confirm the absence of a filed petition that has not yet produced a court order. The gap between filing and first publication can be several weeks. The Extended tier includes a note on this structural limit.
