Control in a German company is a question the Handelsregister answers in part — and only in part. The register names directors, lists shareholders of a GmbH, and holds filed documents. It does not name the person who instructs those shareholders. That gap is the starting point for any cross-border verification in this jurisdiction.
The angle here is control: who holds the formal position, who holds the economic interest, and where the official record stops distinguishing between the two.

A negative result does not confirm the absence of a filed application. Source: Insolvenzbekanntmachungen · verified 2026-10-01The Handelsregister is Germany's central commercial register. It is maintained by the local courts (Amtsgerichte) and accessible nationally through a single portal.
For a GmbH — the most common vehicle for holding assets and operating businesses — the register contains:
For an AG (Aktiengesellschaft), the register records the management board and supervisory board members, the articles, and capital structure. Shareholders of an AG are not listed in the Handelsregister; bearer shares were abolished in 2019, but registered shares are held in a separate shareholder register maintained by the company itself — not publicly accessible.
The Gesellschafterliste is updated on each change of shareholding. The current list is the operative document. Historical lists filed before a change remain in the document archive and are retrievable.

The Handelsregister establishes formal control at the first level. If a natural person holds shares directly in a GmbH, the register names that person. If a corporate entity holds those shares, the register names the entity — not the person behind it.
This is the structural limit of the source. A GmbH held by a Dutch BV held by a Cypriot holding company presents three layers. The Handelsregister shows layer one. Layers two and three require separate registry queries in separate jurisdictions.
Germany introduced a transparency register (Transparenzregister) to record beneficial owners — natural persons holding more than 25 percent of shares or voting rights, or exercising equivalent control. Following the CJEU ruling in cases C-37/20 and C-601/20, public access to UBO registers across the EU was suspended pending national legislative adjustments. Access to the German Transparenzregister for non-registered parties is subject to a demonstrated legitimate interest. The practical conditions for access by a foreign buyer require verification against current administrative practice before any query is submitted.
The consequence for a cross-border buyer: the Handelsregister alone does not establish who controls a company where the shareholder is itself a legal entity. The report maps the chain to the point where it exits the German record and identifies the next jurisdiction.

The Handelsregister lists each Geschäftsführer with full name, date of birth, and the scope of their authority to represent the company. A director with Einzelvertretungsbefugnis acts alone; a director with joint authority (Gesamtvertretung) must act with at least one other director or a Prokurist.
Prokura — a statutory commercial power of attorney — is also registered. A Prokurist can bind the company in all commercial matters. The register names each Prokurist and the scope of their authority.
What the register does not show: whether a director acts on instructions from a third party, whether a shareholder agreement restricts the director's formal authority, or whether a parallel management structure exists outside the registered framework. Shareholder agreements (Gesellschaftervereinbarungen) are not filed in the Handelsregister and are not publicly accessible.

GmbH companies above the small-company threshold are required to file annual financial statements with the Bundesanzeiger (Federal Gazette). The Handelsregister links to filed accounts. Since the DiRUG reform, filed documents are accessible without charge through handelsregister.de.
Small GmbH companies (kleine Gesellschaften) file an abbreviated balance sheet only; the profit and loss account is not publicly available. Medium and large companies file fuller accounts.
The accounts show the balance sheet structure, equity, and — for larger entities — the profit and loss account and notes. They do not show intercompany loan terms, dividend distributions to shareholders, or management remuneration unless specifically disclosed in the notes.
For a buyer assessing financial control, the accounts establish the reported financial position at the filing date. They do not establish current liquidity or off-balance-sheet obligations.

Insolvency proceedings in Germany are published in the Insolvenzbekanntmachungen portal, operated by the courts. The portal is publicly accessible. A search by company name or registered number returns published notices of insolvency applications, openings of proceedings, and appointments of insolvency administrators.
A negative result — no notice found — does not confirm the absence of a filed application. An application may have been filed and not yet published, or may have been filed in a court whose publication has a processing delay.
The Schuldnerverzeichnis (debtor register) records individuals and entities against whom enforcement measures have been taken — specifically, those who have sworn a statement of assets (Vermögensauskunft). This register is maintained by the central enforcement courts (Zentrales Vollstreckungsgericht) and is accessible to parties with a demonstrated legal interest.

The Handelsregister is a strong first-layer source. It names directors and GmbH shareholders with precision. It holds filed documents going back to the point of digitisation. Access is free and does not require registration.
The ceiling is structural, not procedural:
The register records formal positions, not economic relationships. A nominee shareholder arrangement — where a person holds shares on behalf of another under a private agreement — is invisible in the register. The register shows the nominee; the agreement is not filed anywhere publicly accessible.
Where the shareholder is a legal entity, the chain continues outside Germany. The Handelsregister does not cross jurisdictions. Establishing the natural person behind a multi-layer structure requires parallel queries in each jurisdiction where an intermediate entity is registered.
The Transparenzregister was designed to close this gap. Current access conditions for parties without a registered account are subject to the post-CJEU adjustment process. The report states, at the point of delivery, which layer of the chain was reached and which layer could not be penetrated from public sources.
The insolvency record is a snapshot, not a guarantee. A filed application that has not yet been published does not appear in the search result.
Annual accounts reflect the reported position at the filing date. The gap between the filing date and the date of the query can be up to twelve months for companies on the standard filing cycle.
These are not limitations of the analysis. They are limitations of the sources. The report names them explicitly.
A discrepancy between the current Gesellschafterliste and the articles of association on file is itself a finding. The articles may describe a shareholding structure that no longer matches the current list. The report notes the discrepancy and identifies the date of each document.
A discrepancy between the registered director and the person who signed a contract presented in due diligence is a separate finding. The register establishes who had authority to represent the company at the date of registration. Whether that authority extended to the specific transaction requires a reading of the articles and any shareholder resolutions on file.
Where the filed annual accounts show a different equity figure from the one stated in a sale agreement, the report records both figures and the dates to which each refers.
Discrepancies are findings, not errors. The report presents them as such.
This register is public and free of charge. What the service covers is the removed path: identification of the correct court register, retrieval of the current Gesellschafterliste and director entries, extraction of filed documents, language, and a structured summary of what the record shows and where it stops.

Does the Handelsregister show who ultimately owns a German company? For a GmbH with natural persons as direct shareholders, yes — the Gesellschafterliste names them with share amounts. Where a corporate entity holds shares, the register names the entity. The natural person behind that entity is not shown in the Handelsregister. Establishing the full chain requires queries in the jurisdiction where the intermediate entity is registered.
Is access to the Handelsregister free? Since 01.08.2022, handelsregister.de provides register content and filed documents without charge and without registration. Output is in PDF and scanned-image format. What the service provides is the structured path: correct court identification, document retrieval, language, and a summary of findings with source citations.
What does the Transparenzregister show, and can it be accessed? The Transparenzregister records beneficial owners — natural persons with more than 25 percent of shares or equivalent control. Following the CJEU ruling on public access to UBO registers, access for parties without a registered account requires a demonstration of legitimate interest. The current administrative practice governing access for foreign buyers is verified at the time of each query.
What does a negative insolvency search result mean? It means no published notice was found at the time of the search. It does not confirm the absence of a filed application. An application may have been filed and not yet published. The report states the date and scope of the search.
How current are the filed annual accounts? Companies on the standard filing cycle may have accounts that are up to twelve months old at the time of the query. The report states the filing date of each document retrieved.
Can the report establish whether a director acts on instructions from a third party? No. The register records formal authority. Whether a director acts independently or on instructions from a shareholder or third party is not recorded in any public source. The report establishes the formal position; it does not qualify the economic relationship.
