Swedish law requires most registered companies to file annual financial statements with Bolagsverket, the Swedish Companies Registration Office. The filed document is a public record. Who controls the company — and whether the reported figures reflect that control — is a separate question the financial statements alone cannot answer.
The angle here is control: what the filed statements reveal about the economic position of the entity, and where the document stops being useful for a buyer verifying an object across jurisdictions.

Source: Bolagsverket · verified 2026-10-01 LanguageFiled documents are in Swedish. No official English translation is provided by the registry. The annual report filed with Bolagsverket follows the structure required by the Annual Accounts Act (Årsredovisningslagen). For an aktiebolag, the document includes:
The filing covers the legal entity. It does not consolidate subsidiaries unless the entity is required to prepare consolidated accounts. A holding company filing a standalone report shows only the parent's position.
Larger companies — those meeting two of three thresholds under the Annual Accounts Act — are subject to statutory audit. Smaller companies may file without an auditor's report. The presence or absence of an auditor's signature is itself a fact the extract establishes.

Filed financial statements establish the reported economic position of the legal entity. For a buyer verifying control, the document answers a limited set of questions.
What the statements can establish:
The balance sheet shows equity, liabilities, and asset values as reported. Intercompany loans, pledges over assets, and contingent liabilities appear in the notes if the preparer has disclosed them. The board report may describe material events after the balance sheet date.
What the statements do not establish:
The filed annual report does not name shareholders. It does not show who holds voting rights or who exercises de facto control. It does not disclose the terms of any shareholders' agreement. It does not identify the ultimate beneficial owner.
For a cross-border buyer, the financial statements are one layer of a verification stack. They confirm that the entity exists, files on time, and has been audited — or has not. They do not confirm who controls the entity or on what terms.

Swedish companies must file their annual report within seven months of the end of the financial year. Bolagsverket publishes the filing date alongside the document. A late filing is a fact the extract records.
The most recent filed report may be up to nineteen months old at the point of retrieval, depending on the company's financial year-end and filing date. A buyer relying on filed figures for a current assessment must account for this gap.
Bolagsverket does not publish management accounts, interim reports, or unaudited figures. The filed annual report is the only financial document the registry holds.

The filed financial statements at Bolagsverket establish what the company reported. They do not establish whether the reported figures are accurate, whether assets have been transferred since the balance sheet date, or whether undisclosed liabilities exist.
The registry does not cross-reference the filed statements against tax records, customs data, or court judgments. A company with a clean annual report may simultaneously be subject to enforcement proceedings or tax reassessment. Those facts sit in separate registries.
The shareholder register (aktiebok) is maintained by the company itself for private companies, not by Bolagsverket. It is not part of the filed annual report. Identifying shareholders requires a separate step.
For companies listed on Nasdaq Stockholm or NGM, major shareholding disclosures are filed with Finansinspektionen under the transparency directive. That register is separate from Bolagsverket.
The ceiling of what the sources allow is stated before payment. An order for a financial statements extract will return what Bolagsverket holds — no more, no less.
A filed annual report may conflict with other available data in two recurring patterns.
First, the reported equity may differ from valuations implied by recent transactions involving the same entity. Filed figures are historical cost unless the company applies revaluation. The discrepancy is not an error in either source; it reflects different measurement bases.
Second, the auditor's report may contain qualifications or emphasis-of-matter paragraphs that are not visible in the headline figures. The notes and auditor's report must be read alongside the balance sheet, not separately.
Where a conflict between the filed statements and another source is identified during extraction, it is recorded in the report as a factual discrepancy — not resolved or explained away.

Does Bolagsverket provide financial statements in English? Filed documents are in Swedish. Bolagsverket does not provide official English translations. The Signal and higher tiers include a summary translation of key figures prepared by VLO Law Firm.
How current is the most recent filed report? The filing deadline is seven months after the financial year-end. A company with a December year-end must file by July of the following year. At any point in the calendar, the most recent available report may cover a period ending up to nineteen months earlier. The extraction confirms the filing date.
Can the financial statements identify the beneficial owner? No. The annual report filed with Bolagsverket does not name shareholders or beneficial owners. Shareholder identification requires a separate extraction from the company's own share register or, for listed companies, from Finansinspektionen's transparency filings.
What if the company has not filed on time? A missing or late filing is itself a fact the extract records. Bolagsverket may impose a late-filing fee and, in persistent cases, initiate dissolution proceedings. The extract will show the filing status as of the retrieval date.
Is the financial statements extract sufficient for due diligence? The extract establishes the reported financial position of the legal entity. It does not establish control structure, beneficial ownership, litigation exposure, or tax compliance. It is one layer of a verification stack, not a standalone due diligence instrument.
What is the turnaround time? Retrieval from Bolagsverket is typically completed within one to three business days. Translation and analysis add time depending on the tier selected. Estimated delivery is confirmed at the time of order.
