Poland's National Court Register system holds filed financial statements as a matter of public record. Control over a Polish entity is partly readable through those filings: the composition of equity, the scale of related-party transactions, and the presence or absence of an auditor's opinion each carry information about who holds economic weight inside the structure. This page states what the extract contains, what the source does not reach, and what the procedure costs.
The angle here is control. A filed financial statement does not name the person who controls the company. It names the numbers that reflect control: equity structure, retained earnings, loans from shareholders, and the auditor's qualification — or the absence of one.
The Repozytorium Dokumentów Finansowych is the dedicated sub-register within the KRS system for financial filings. Every entity obliged to file under the Ustawa o rachunkowości submits documents there. The repository is searchable by KRS number and by NIP (tax identification number).
A standard annual filing package for a limited liability company (spółka z ograniczoną odpowiedzialnością) includes:
Entities above statutory thresholds must also file an auditor's report (sprawozdanie biegłego rewidenta) and a management report (sprawozdanie z działalności). The thresholds are defined in Art. 64 of the Ustawa o rachunkowości and are subject to periodic revision; the applicable thresholds for a given filing year are those in force at the balance sheet date.
Filings submitted electronically after October 2018 are available in structured XML format (e-Sprawozdanie Finansowe schema). Earlier filings, and filings submitted in paper form subsequently scanned, are available as PDF images only. Structured data extraction from scanned PDFs requires manual processing.

A filed financial statement does not identify the ultimate beneficial owner. It does, however, carry several indicators that bear directly on the question of who controls the entity.
Equity structure. The balance sheet shows share capital, supplementary capital, and retained earnings. A disproportionately large supplementary capital relative to share capital may indicate historical profit retention under shareholder direction rather than distribution.
Shareholder loans. Long-term liabilities to related parties appear on the balance sheet. Where a single creditor — identified as a related party in the notes — holds a dominant position in the liability structure, that creditor exercises leverage over the entity independent of formal share ownership.
Auditor's opinion. The presence of a qualified opinion, a disclaimer of opinion, or the complete absence of an auditor's report where one was required is itself a finding. It indicates either a threshold breach that went unaudited or a material uncertainty the auditor declined to resolve.
Continuity of filings. A gap in the filing sequence — years missing from the RDF — does not prove non-filing. It may reflect a technical failure in the upload, a paper filing not yet digitised, or a genuine compliance failure. Each explanation has different implications for control assessment.

This register is public and free of charge. What the service fee covers is the removed path: locating the correct KRS number, navigating the Polish-language portal, identifying the correct filing year, verifying that the document retrieved corresponds to the entity under review and not a homonymous entity, converting XML schema output into a readable format, and confirming that the filing sequence is complete.
The RDF portal operates in Polish. Entity names in the portal are recorded in Polish legal form. A search by name alone carries a material risk of retrieving the wrong entity where common corporate names are involved. The correct retrieval path runs through the KRS number, which must first be established from a separate source.
For entities that have changed their registered name, merged, or been subject to transformation proceedings, the filing history may be distributed across multiple KRS numbers. Consolidating that history requires cross-referencing the transformation register entries with the financial repository.

Poland operates a separate Central Register of Beneficial Owners (Centralny Rejestr Beneficjentów Rzeczywistych, CRBR). The CRBR records the declared ultimate beneficial owner of entities registered in Poland. The financial statements in the RDF and the CRBR entries are maintained independently and are not cross-validated by the registrar.
A discrepancy between the equity structure visible in the financial statements and the ownership chain declared in the CRBR is a finding in its own right. It does not establish which record is incorrect. It establishes that the two official sources disagree, and that the disagreement requires explanation.
The CRBR is a declared register: the entry reflects what the obliged entity reported, not what an independent verification established. The financial statements reflect what the entity's management signed and, where applicable, what an auditor reviewed. Neither source substitutes for the other.

The RDF shows what was filed. It does not show what was omitted, what was filed late, or what was filed incorrectly. The following categories fall outside what the source can establish:
Intra-group transactions not disclosed in notes. Related-party disclosures in Polish financial statements follow the scope required by the applicable accounting standard. Transactions below the disclosure threshold, or transactions structured to fall outside the related-party definition, do not appear.
Management accounts and interim statements. The RDF contains only annual statutory filings. Monthly or quarterly management accounts, where prepared, are internal documents and are not filed.
Statements for years before KRS registration. If the entity was previously registered under a different legal form or in a different jurisdiction, the financial history prior to the current KRS registration is not in the RDF.
Statements for entities exempt from filing. Certain categories of entity — including civil law partnerships (spółki cywilne) and sole traders below the statutory threshold — are not registered in the KRS and have no filings in the RDF.
Auditor working papers. The auditor's report is filed; the underlying working papers, management letters, and internal control findings are not.
The ceiling of what the sources allow is stated before payment. Where a filing gap, a missing auditor's report, or a related-party structure requires explanation beyond what the RDF contains, the report states that explicitly and identifies what additional source, if any, could address it.
Two categories of disagreement arise with regularity in Polish financial statement retrieval.
RDF versus KRS main register. The KRS main register records the composition of the management board and supervisory board. The financial statements record who signed the statements. Where the signatories do not match the currently registered board members, the discrepancy may reflect a filing delay, an unregistered change in management, or a signing by an unauthorised person. The source does not resolve which explanation applies.
RDF versus CRBR. As noted above, the declared beneficial owner in the CRBR and the equity structure in the balance sheet are maintained independently. Where the shareholding implied by the balance sheet equity structure differs from the CRBR declaration, both facts are reported and the discrepancy is flagged.

What is the difference between the KRS main register extract and the financial statements extract? The KRS main register extract records the legal structure of the entity: registered address, management board, share capital as registered, and shareholders where disclosed. The financial statements extract records the financial position: assets, liabilities, equity, and income. The two sources are complementary. Neither substitutes for the other in a control assessment.
How far back do the RDF filings go? The RDF was established progressively from 2016 onwards. Filings for years before the entity's inclusion in the electronic system may be available as scanned documents or may require a separate request to the relevant court registry (sąd rejestrowy). Availability varies by entity and by the court that held the paper file.
Does the absence of a filing mean the entity did not file? Not necessarily. A missing document in the RDF may reflect a technical upload failure, a paper filing not yet digitised, or a genuine compliance failure. The report identifies the gap and states which explanation the available evidence supports, without asserting a conclusion the source does not permit.
Is the CRBR entry legally binding as to beneficial ownership? The CRBR entry is a declaration by the obliged entity. It is not an independent verification. Polish law imposes penalties for false declarations, but the register does not independently verify the accuracy of entries. The report treats CRBR entries as declared facts, not established facts.
Can the financial statements be used in legal proceedings? The report is a factual compilation from official sources. It is not a legal opinion and does not constitute evidence prepared for litigation. Whether and how the documents retrieved may be used in a specific proceeding is a question of procedural law in the relevant jurisdiction and requires separate legal advice.
