Obtaining filed financial statements extract in Italy

Italy's Registro delle Imprese holds filed financial statements for most incorporated entities. The extract shows what the company declared to the registry. It does not show what the company earned.

Control — who holds it, who can enforce it, and on what terms — is partly visible in filed financials. Equity structure, retained earnings, and intercompany balances appear in the notes to the accounts. The extract is one layer of that picture.

What the filed financial statements extract contains

The bilancio d'esercizio is the statutory annual account. It is filed with the local Camera di Commercio and held in the national Registro delle Imprese database.

A standard extract for an S.r.l. or S.p.A. includes:

  • Balance sheet (stato patrimoniale)
  • Income statement (conto economico), unless abbreviated filing applies
  • Notes to the accounts (nota integrativa)
  • Directors' report (relazione sulla gestione), where required
  • Auditor's report, where statutory audit applies

The notes to the accounts are the most analytically dense section. They disclose related-party transactions, intercompany receivables and payables, and the composition of equity. For a buyer assessing control, these entries are the primary target.

Filing deadlines run from the close of the financial year. Ordinary companies file within 30 days of shareholder approval; approval must occur within 120 days of year-end, or 180 days where extended. A gap between the year-end and the filing date is normal. An extract ordered today may reflect accounts approved several months ago.

Filing tiers and what they reveal about control

Italian law permits three filing formats depending on company size. The format determines what is visible.

Filing format Entities eligible Income statement filed Notes filed
Ordinary (ordinario) All entities above micro/small thresholds Yes, full Yes, full
Abbreviated (abbreviato) Small companies below art. 2435-bis thresholds No Yes, reduced
Micro-entity (micro-imprese) Micro-entities below art. 2435-ter thresholds No No

An abbreviated or micro-entity filing conceals revenue and operating margin. The balance sheet remains, but without the income statement the extract cannot support a revenue or profitability assessment.

This is not a data gap in the registry. It is a legal entitlement of the filing entity. The extract will confirm which format was used.

Procedure and timeline

The Registro delle Imprese is administered by the network of local Camere di Commercio and centralised through InfoCamere's Telemaco platform.

Retrieval follows this path:

  1. Identify the entity by codice fiscale or REA number at the relevant Camera di Commercio
  2. Locate the deposited bilancio for the target year or years
  3. Request the document in the required format — visura, copia semplice, or copia autentica
  4. Receive the document electronically (Telemaco) or by post (certified copy)

Turnaround for electronic retrieval via Telemaco is typically same-day to 48 hours. Certified paper copies take longer; the registry's own published timelines should be consulted at the time of order.

The registry charges a tariff for each document retrieved. The tariff is set by the Camera di Commercio and published in its official fee schedule. No exact figure is stated here because the tariff is subject to revision; the current rate is available on the InfoCamere and individual Camera di Commercio websites.

Control signals visible in the extract

The filed accounts do not name shareholders directly. That information sits in the visura camerale and, for S.r.l. entities, in the Libro Soci or the Registro delle Imprese shareholder list. The financial statements are a different document.

What the accounts do show, and what is relevant to a control assessment:

  • Equity composition: share capital, reserves, retained earnings, and any revaluation reserves. Unusual reserve structures can signal prior restructuring.
  • Intercompany balances: receivables from and payables to related parties, disclosed in the notes. Large intercompany positions indicate economic dependency on entities not visible in this filing.
  • Guarantees and contingent liabilities: disclosed in the notes where the company has guaranteed third-party obligations. A guarantee to a parent or affiliate is a control signal.
  • Auditor identity: where statutory audit applies, the auditor's name and opinion appear. A qualified opinion or an emphasis-of-matter paragraph is a material finding.
  • Continuity disclosures: where the directors have assessed going-concern risk, the note is required to say so.

None of these items constitute a legal qualification of the company's position. They are factual entries in a filed document.

The limit of what the sources allow

The Registro delle Imprese shows what was filed. It does not verify what was true.

Several structural limits apply:

Filing lag. The most recent accounts in the registry may be 12 to 18 months old at the time of retrieval, depending on the company's year-end and approval timeline. A company with a December year-end may not have filed its accounts until the following October.

Abbreviated and micro-entity formats. As noted above, a significant proportion of Italian S.r.l. entities file in abbreviated or micro format. Revenue and operating results are not disclosed. The extract will confirm the format but cannot supply the missing data.

Consolidated accounts. Italian law does not require every parent entity to file consolidated accounts at the Italian registry. A holding company may file only its standalone accounts. The group picture requires separate retrieval at each relevant entity level, and in some cases at foreign registries.

Voluntary non-filing. Late or missing filings are a compliance breach, not a registry error. The registry will show the absence of a filing for a given year. It will not explain why the filing is absent.

Unaudited entities. Companies below the statutory audit threshold file accounts that have not been independently verified. The figures are self-reported.

The extract establishes what was declared. It does not establish what was earned, what was transferred, or what was concealed.

Where the sources disagree

A filed bilancio may conflict with other sources in the following ways:

Registry vs. tax authority. The tax return (dichiarazione dei redditi) is not public. Where a buyer has access to both the filed accounts and the tax return, discrepancies between declared revenue and taxable income are a standard due diligence finding. The extract alone cannot surface this.

Registry vs. banking records. Credit bureau data and banking records are not part of the Registro delle Imprese. A company may show a clean balance sheet while carrying undisclosed credit exposures.

Current year vs. filed year. The extract reflects the most recently filed period. Material events after the balance sheet date — asset disposals, new debt, change of control — are not in the filed accounts unless disclosed in a subsequent filing.

When the filed accounts and other available sources produce inconsistent pictures, the inconsistency is itself a finding. The extract does not resolve it; it defines one side of it.

FAQ

What is the difference between a visura camerale and a bilancio extract? The visura camerale is the company registration record: legal form, registered address, directors, and share capital. The bilancio extract is the filed annual account. They are separate documents held in the same registry. A control assessment typically requires both.

Can accounts be retrieved for any year? The Registro delle Imprese holds filings from the date of the company's registration. Older filings may be held in archive format rather than electronic format. Availability of specific years should be confirmed at the time of order.

Does an abbreviated filing mean the company is small? Abbreviated filing is available to companies below the thresholds set in art. 2435-bis of the Codice Civile. Meeting those thresholds does not mean the company is commercially insignificant. A company may be a subsidiary of a large group and still qualify for abbreviated filing on a standalone basis.

What if no filing appears for a recent year? The absence of a filing is itself a finding. It may indicate a late filing, a pending approval, or a compliance breach. The extract will confirm the absence. It will not explain the reason.

Is the extract sufficient for a full financial due diligence? No. The extract establishes what was declared to the registry. A full financial due diligence requires management accounts, tax returns, banking records, and direct engagement with the target. The extract is the starting point, not the conclusion.
