Portugal's Registo Comercial is the authoritative source for corporate identity, capital structure, and directorship. An extract from that register is the baseline document for any cross-border verification of a Portuguese entity. It establishes who is registered as controlling the company — and where the official record stops.
Control, in the register's terms, means the persons named as directors and the shareholders on record. The extract does not resolve whether those persons act on their own account or on behalf of an undisclosed principal. That boundary is stated before any order is placed.
What it showsLegal name, registered address, share capital, current directors, and filed shareholder list. Source: Registo Comercial (Instituto dos Registos e do Notariado) · verified 2026-09-15 Access conditionExtracts are available to any requester with a stated legitimate interest. Registration with the national portal is required for electronic access. Language of issuePortuguese. Certified translation is a separate step, arranged outside the register. What it does not showBeneficial ownership beyond the registered shareholder layer; pledges over shares not filed with the register; side agreements between shareholders. The Registo Comercial holds the mandatory filings of all commercial entities incorporated in Portugal. Every sociedade por quotas (Lda.) and sociedade anónima (SA) must file incorporation documents, subsequent amendments, and changes to the management body.
The extract — certidão permanente or certidão de registo comercial — reproduces the current state of those filings. It names the entity's legal form, tax identification number (NIPC), registered office, share capital, and the persons currently registered as directors or managers.
For a sociedade por quotas, the shareholder list (lista de sócios) is part of the filed record and appears in the extract. For a sociedade anónima with bearer shares issued before the 2017 dematerialisation requirement, the register may not identify individual shareholders by name. Post-2017 SA structures hold shares in book-entry form through a central securities depository; the register itself does not reproduce that depository's data.
The extract carries a unique access code (código de acesso) that allows any third party to verify its authenticity on the IRN portal without ordering a new copy.
The extract is ordered through the IRN's online portal (ePortugal or the dedicated Registo Comercial platform) or in person at a conservatória do registo comercial. Electronic orders are processed faster than counter requests.
The requester must identify the entity by name or NIPC. For a foreign requester without a Portuguese tax number, identification by company name and registered office is accepted. A declaration of legitimate interest is standard practice for third-party requests, though the register does not always enforce it at the point of electronic submission.
The certidão permanente is issued as a PDF with a digital signature from the IRN. It is valid for six months from the date of issue. After six months, a new extract must be ordered to confirm the current state of the record.
Processing time for electronic orders is typically one to three business days. Counter orders at a conservatória may be issued the same day for simple entities.
The extract names the current directors and, for Lda. structures, the current shareholders with their respective quota percentages. This is the registered control layer.
It does not confirm:
The NIPC on the extract allows cross-reference with the tax authority's public VAT register (VIES for intra-EU transactions) and with the Citius court information system for insolvency filings. Those are separate queries, not part of the extract itself.
The Registo Comercial records what has been filed. It does not audit whether filings are complete or current.
A director change takes effect legally upon registration, but the filing may lag the actual change by weeks. The extract reflects the date of registration, not the date the change occurred. A shareholder who transferred a quota and whose name still appears on the extract remains the registered holder until the transfer is filed and registered.
For SA structures, the register identifies the management board and supervisory board but does not identify individual shareholders unless they hold registered shares and have filed a notification. Institutional shareholders and nominees are not distinguished from direct holders in the register's output.
The beneficial ownership register (Registo Central do Beneficiário Efetivo, RCBE) is a separate database. Access to RCBE data for third parties is subject to conditions set by the Instituto dos Registos e do Notariado following the CJEU ruling in joined cases C-37/20 and C-601/21. The extract from Registo Comercial does not include RCBE data. A separate RCBE query is a distinct product.
The ceiling of what the sources allow is stated before payment. Where the chain of ownership cannot be resolved from filed documents, the report names the point at which it stops and the reason.
The Registo Comercial and the RCBE are maintained by the same authority (IRN) but updated on different cycles and through different filing obligations. A shareholder appearing on the Registo Comercial extract may not match the beneficial owner declared in the RCBE if the RCBE filing has not been updated following a transfer.
The Citius insolvency register and the Registo Comercial are not synchronised. An entity may be subject to an insolvency plan (plano de insolvência) approved by the court without that fact appearing on the commercial register extract until the administrator files the relevant notation.
Where the two sources produce conflicting data, the report records both states and the date of each filing. The discrepancy itself is a finding.

What is a certidão permanente and how does it differ from a standard extract?
A certidão permanente is a continuously updated digital certificate issued by the IRN. It carries an access code that allows any third party to verify its current content online. A standard extract (certidão de registo comercial) is a point-in-time document. For cross-border verification purposes, the certidão permanente is the preferred format because its authenticity can be confirmed without apostille in most contexts.
Does the extract show the ultimate beneficial owner?
No. The extract shows the registered shareholder layer. For a Lda., that means the quota holders on record. For an SA, it means the management and supervisory boards, and registered shareholders where applicable. Beneficial ownership data is held in the RCBE, which is a separate register with separate access conditions. The Extended tier includes an RCBE query subject to access conditions at the date of order.
How long is the extract valid for cross-border transactions?
The certidão permanente is valid for six months from issue. Many counterparties and notaries in other jurisdictions require an extract dated within three months of the transaction date. The order should be timed accordingly.
Can a foreign company order the extract directly?
Yes. The IRN portal accepts requests from foreign entities. The requesting party must identify the target entity by name or NIPC. A declaration of legitimate interest may be required. In practice, the electronic portal does not always prompt for this declaration, but the IRN retains the right to request it. VLO Law Firm handles the ordering process, language barrier, and delivery annotation as part of each tier.
What happens if the register shows a director who has already resigned?
The extract reflects the date of registration of the change, not the date the resignation took effect. If a resignation has not been filed, the outgoing director remains on the register. The Standard and Extended tiers include a review of filed amendments that may reveal pending but unregistered changes.
Is the Registo Comercial a free public source?
The register is a public official source. Electronic access to basic entity data is available through the IRN portal. Ordering a certified extract carries a fee set by the IRN tariff schedule. What VLO Law Firm provides is the removed path: portal registration, NIPC identification, Portuguese-language navigation, source annotation, and delivery in a format usable for cross-border due diligence.
This register is public and free of charge. What you are paying for is the removed path: registration, national identifier, language, electronic signature, declaration of legitimate interest.
