Obtaining companies register extract in Ireland: procedure

An Irish companies register extract is a document drawn from the Companies Registration Office (CRO). It records what has been filed — not what has been agreed privately. The question of who controls an Irish company is answered in part by the register, and in part by instruments the register does not hold.

The angle here is control: who appears as director, who is listed as secretary, what share structure has been filed, and where the official record ends. That boundary is stated before any order is placed.

What the CRO record contains

The CRO is the statutory register for companies incorporated under the Companies Act 2014. Every Irish company has a CRO number. That number is the retrieval key for all filed documents.

A standard extract covers:

  • Company name, CRO number, and registered office address
  • Date of incorporation and company type (private limited, designated activity company, public limited, etc.)
  • Current and resigned directors, with dates of appointment and cessation
  • Company secretary
  • Issued share capital and, where filed, the names of shareholders appearing on the Annual Return
  • Filed Annual Returns, including financial statements where the company is not exempt
  • The company's constitution (memorandum and articles, or constitution under the 2014 Act)

The register is updated as documents are filed. A director appointment takes effect when the relevant form reaches the CRO and is registered. The extract reflects the filed position, not the operational position on any given day.

Shareholder information: what is filed and what is not

The Annual Return (Form B1) includes a list of members as at the return date. For a private company limited by shares, this list names shareholders and the number of shares held. It does not record the price paid, the date of transfer, or any encumbrance over the shares.

Share transfers between Annual Return dates do not appear in the CRO until the next return is filed. A company with a 31 December year-end and a filing deadline in the following year may show a shareholder position that is up to twelve months old.

The constitution sets out the class rights attached to each share class. It does not record side agreements between shareholders. A shareholders' agreement — governing drag-along, tag-along, pre-emption, or voting arrangements — is a private contract. It is not filed at the CRO.

Control, in the operational sense, may rest with a person who holds no shares and appears on no CRO document. Identifying that person requires sources beyond the register.

The Register of Beneficial Owners (RBO)

Ireland implemented the EU's beneficial ownership requirements through the European Union (Anti-Money Laundering: Beneficial Ownership of Corporate Entities) Regulations 2019. The Register of Beneficial Owners (RBO) is maintained separately from the CRO.

Following the Court of Justice of the EU ruling in Joined Cases C-37/20 and C-601/20 (WM and Sovim), public access to the RBO was restricted. Access is no longer available to the general public without a demonstrated legitimate interest.

[СВЕРИТЬ местным консультантом до публикации] The current access regime for the Irish RBO — including what constitutes a legitimate interest, how applications are assessed, and whether access is granted to non-resident applicants — requires verification against the current RBO operational rules before any order is placed.

The CRO extract alone does not establish beneficial ownership. The two registers serve different statutory purposes and must be read together.

Filed financial statements: coverage and gaps

Irish companies are required to file financial statements with their Annual Return. Certain small companies may qualify for an audit exemption and may file abridged accounts. The abridged format omits the profit and loss account and certain notes.

What filed accounts show:

  • Total assets and liabilities at the balance sheet date
  • Share capital and reserves
  • Charges registered against the company (via the CRO charges register)
  • Directors' names as at the accounts date

What filed accounts do not show:

  • Intra-group transactions at transaction level
  • Off-balance-sheet arrangements not required to be disclosed under Irish GAAP or IFRS
  • The terms of any shareholder loan

The charges register at the CRO records security interests registered over company assets. A charge that has not been registered within the statutory period is void against a liquidator and creditors. The register of charges is part of the company's CRO file and is included in a full document order.

Procedure: how a CRO extract is ordered

The CRO operates an online portal (core.ie). Document orders are placed per document. The CRO charges a fee per document retrieved; the fee schedule is published on the CRO website and is subject to revision.

[СВЕРИТЬ местным консультантом до публикации] Exact current fees for individual document retrieval and certified copy orders should be confirmed against the CRO's published tariff at the time of order.

Per-document retrieval for analytical purposes is permitted under the CRO's terms. Bulk re-use of CRO data requires a separate licence from the CRO. Reports produced by VLO Law Firm draw on per-document retrieval only.

The CRO issues documents in PDF format. Certified copies carry the CRO seal and are suitable for use in legal proceedings or regulatory submissions. Uncertified copies are sufficient for due diligence analysis.

Timeline for standard document retrieval: same-day to next business day for online orders. Certified copies by post take longer; the CRO publishes current processing times on its website.

The limit of what the sources allow

The CRO record is a filing record. It shows what has been submitted to the registrar, not what has been agreed between parties or what reflects the current operational reality of the company.

What the CRO does not show:

  • The identity of the beneficial owner, where that person is not a registered director or named shareholder
  • The terms of any shareholders' agreement
  • Share transfers that occurred after the last Annual Return date
  • Security interests that were not registered within the statutory period
  • Intra-group arrangements not reflected in filed accounts
  • The identity of any person exercising control through a nominee arrangement

Where the chain stops: For an Irish private company, the CRO establishes the legal layer — incorporation, officers, filed capital structure, and filed accounts. The beneficial ownership layer sits in the RBO, subject to access restrictions. The contractual control layer — shareholders' agreements, side letters, voting proxies — is not filed anywhere and cannot be established from official registers alone.

A report drawn from the CRO names the point at which the official record ends. It does not assert that the filed position reflects actual control.

Where the sources disagree

The CRO member list (from the Annual Return) and the RBO beneficial ownership record may name different persons. This is not an error in either register. The two registers answer different questions under different statutory frameworks.

A discrepancy between the named shareholder and the named beneficial owner is itself a material finding. It indicates that the legal title to shares is held by a person other than the person who ultimately owns or controls them. The report records both positions and identifies the gap.

Similarly, the registered director list may differ from the persons named in filed accounts as having authority to bind the company. Where such a discrepancy appears, it is recorded as a finding, not resolved by the analyst.

FAQ

What is a CRO number and why is it needed to order documents? The CRO number is the unique identifier assigned to every Irish company at incorporation. It is the retrieval key for the company's file on the CRO portal. Without it, document orders cannot be placed. VLO Law Firm identifies the correct CRO number as part of the order process.

Does the CRO extract show who really controls the company? The extract shows who is registered as director and what share structure has been filed. It does not show beneficial ownership, shareholders' agreements, or nominee arrangements. The report identifies the filed position and states where the official record ends.

How current is the information in a CRO extract? The CRO record reflects what has been filed. Annual Returns are filed once per year. A director appointment or share transfer takes effect in the register when the relevant form is filed and processed. The gap between an event and its appearance in the register can be weeks or months.

Is the RBO included in the report? The Extended tier includes an RBO application where access is available under the current access regime. Access to the RBO is subject to restrictions following the CJEU ruling in C-37/20. The report states whether access was obtained and, if not, why.

Can the report be used in legal proceedings? The report is a factual compilation from official sources. Certified copies of CRO documents, ordered separately, carry the CRO seal and are suitable for use in proceedings. The analytical report itself is not a certified document.

How long does the report take? Signal tier: two to three business days. Standard tier: three to five business days. Extended tier: five to ten business days, depending on document volume and RBO access.
