Individual buyers are the most common counterparty in cross-border transactions. A natural person acquiring a stake, a founder selling a company, a shareholder disputing a governance decision — each of these is a transaction, and each requires the same factual layer that a corporate buyer would commission. VLO Law Firm accepts engagements from individuals at every stage of a deal.

The governance angle determines what is established: who controls the target, what rights attach to each class of shares, and what the shareholder can enforce. That question is answered from official sources — registers, filed articles, shareholder agreements where filed — not from representations made by the counterparty.

Scope of Engagement for Individual Clients

An individual client brings a specific set of needs that differ from an institutional buyer. The transaction may be smaller in headline value. The timeline is often compressed. The counterparty may resist disclosure that a corporate buyer would treat as standard.

None of these factors changes the analytical method. The sources are the same. The governance questions are the same. The limit of what the sources allow is the same.

VLO Law Firm does not apply a reduced standard to individual engagements. The report delivered to an individual buyer covers the same factual layer as the report delivered to a fund.

What changes is the format of the engagement. An individual does not maintain a procurement department. The request process is direct: a single point of contact, a fixed scope agreed before work begins, a written output that the client can read and act on without translation into internal formats.

What the Report Establishes

The governance layer of a transaction report addresses three questions.

Who controls the target. Control is established from the register of directors, the shareholder list, and — where filed — the beneficial ownership register. Where the chain runs through intermediate holding companies, each link is traced to the point at which the source stops disclosing. That stopping point is named explicitly.

What rights attach to each share class. Share class rights are established from the articles of association or equivalent constitutional document as filed with the relevant registry. Where the filed document is silent on a right, that silence is recorded. No inference is drawn from market practice.

What the shareholder can enforce. Enforcement rights are established from the constitutional documents and, where applicable, from filed shareholder agreements. Rights that exist only in an unfiled side agreement are outside the scope of what official sources allow. That boundary is stated before the report is commissioned.

Cross-Border Transactions Involving Individuals

A cross-border transaction involving an individual buyer introduces jurisdictional complexity at the governance layer. The target may be incorporated in one jurisdiction, controlled through a holding company in a second, and the individual buyer may be resident in a third.

Each jurisdiction has its own register, its own disclosure rules, and its own conditions of access. Some registers are open and free of charge. Others require a national identifier, a registered address, or a declaration of legitimate interest. Some require a local representative to submit the request.

VLO Law Firm operates across 35 jurisdictions. The access path — registration, identifier, language, electronic signature, declaration — is handled as part of the engagement. The individual client does not need to navigate each registry independently.

Where a source is open and free of charge, that fact is stated. What the client pays for is the removed path: the identification of the correct registry, the submission in the required form, the extraction of the relevant documents, and the analysis of what those documents establish and what they do not.

Individuals as Sellers and Founders

An individual selling a company or a stake faces a symmetrical set of questions. A buyer will commission a governance report. The seller benefits from knowing in advance what that report will show.

VLO Law Firm accepts engagements from individual sellers. The scope is the same: control structure, share class rights, enforcement position. The output is a factual record of what the official sources show about the target — which is also what the buyer's advisers will find.

A founder exiting a company may also need to establish what governance rights survive the transaction. That question is answered from the constitutional documents and the shareholder register as they stand at the date of the report.

The Limit of What the Sources Allow

Official sources do not disclose everything. The ceiling is fixed by the disclosure rules of each jurisdiction, not by the effort applied to the search.

Common limits across jurisdictions include the following.

Beneficial ownership registers in EU jurisdictions are not uniformly open to the public following the CJEU ruling in Case C-37/20. Access conditions vary by member state. Where a register is restricted, the restriction is stated and the accessible layer is described.

Shareholder agreements that are not filed with the registry are not visible in the official record. Their existence may be inferred from the constitutional documents, but their content cannot be established from public sources.

Intermediate holding companies incorporated in jurisdictions with limited disclosure — including certain US states — do not disclose their members in the public register. The chain is traced to the point at which disclosure stops, and that point is named.

Insolvency registers record proceedings that have been filed and accepted. A negative result does not confirm the absence of a filed application that has not yet been processed.

The report states what the sources show, what they do not show, and where the chain stops. No inference is drawn beyond what the source supports.

Frequently Asked Questions

Does VLO Law Firm work with individuals who are not represented by a corporate entity? Yes. An individual buyer, seller, or shareholder may engage VLO Law Firm directly. No corporate vehicle is required. The engagement is structured around the individual's position in the transaction.

Is the scope of the report reduced for an individual client? No. The analytical method and the sources consulted are the same regardless of whether the client is an individual or an institution. The format of the output is adapted to the client's needs.

What if the target is incorporated in a jurisdiction where I have no presence? Access conditions for each jurisdiction's registry are handled as part of the engagement. The individual client does not need a local address, a national identifier, or a registered agent in the target jurisdiction.

What does the report cost? Scope and fee are confirmed after a request is submitted. There are no standard tiers applicable to this page. The fee depends on the number of jurisdictions, the depth of the governance layer, and the access conditions of the relevant registries.

How long does the report take? Timeline depends on the jurisdictions involved and the access conditions of the relevant registries. Some registries return documents within one business day. Others require a formal request process that takes longer. The timeline is stated before work begins.

What is not included in the report? The report does not include legal advice, qualification of the facts established, or a recommendation on whether to proceed with the transaction. It is a factual compilation from official sources. For advice on the implications of the findings, a separate legal engagement is required.

Can the report be used in a dispute or enforcement proceeding? The report is a factual record of what official sources show at the date of extraction. Its use in a dispute or enforcement proceeding depends on the rules of the relevant forum. VLO Law Firm does not advise on admissibility or evidentiary weight.
